14 <br /> <br />c. Default by Seller. If Seller fails to convey title to the Property in <br />accordance with Section 4 hereof, or to consummate this Agreement for <br />any reason (other than Buyer’s default), or if any of the Conditions <br />Precedent to Buyer’s performance specified in this Agreement have not <br />been satisfied or waived by Buyer , Buyer may (a) elect to enforce the <br />specific performance of this Agreement or (b) terminate this Agreement <br />and receive a refund of the Earnest Money. <br /> <br />d. Cure Period. A party shall be in default under this Agreement only if such <br />party fails to cure an alleged default within 10 days of receipt of written <br />notice from the non-defaulting party. <br /> <br />25. Time. Time is of the essence with this Agreement. <br /> <br />26. Counterpart/Electronic Signatures. This Agreement may be executed in any <br />number of counterparts, and, each shall have the same effect as if each copy were signed <br />by all parties. The parties to this Agreement further agree that electronic and/or facsimile <br />signatures on this Agreement or any agreement related hereto shall be treated with the <br />same force and effect as original signatures. <br /> <br />27. Unenforceable or Inapplicable Provisions. If any provision hereof is for any <br />reason unenforceable or inapplicable, the other provisions hereof will remain in full force <br />and effect in the same manner as if such unenforceable or inapplicable provision had <br />never been contained herein. <br /> <br />28. Calculation of Time Periods. Unless otherwise specified, in computing any <br />period of time described in this Agreement, the day of the act or event after which the <br />designated period of time begins to run is not to be included and the last day of the period <br />so computed is to be included, unless such last day is a Saturday, Sunday, or legal <br />holiday, in which event the period shall run until the end of the next day which is neither <br />a Saturday, Sunday, or legal holiday. The Effective Date shall be the date shown on the <br />attached Receipt of Title Company. <br /> <br />29. Intentionally deleted. <br /> <br />30. Special Provision Regarding the Associated Contract. Buyer and Seller <br />acknowledge and agree that Buyer is also a party to that certain Real Estate Contract for <br />the purchase of real property located at 7691 Lake Drive Lino Lakes, Minnesota, (the <br />“Associated Contract”). Buyer and Seller hereby acknowledge and agree that this <br />Agreement is mutually contingent upon the Associated Contract, such that if Buyer <br />terminates the Associated Contract, this Agreement shall also automatically terminate <br />without any further written notice to Seller.
