This MOA applies to the National Settlement Agreements and the Bankruptcy <br /> Resolutions.4 <br /> 2. This MOA will also apply to future National Settlement Agreements and <br /> Bankruptcy Resolutions with Opioid Supply Chain Participants that include <br /> structural or payment provisions requiring or anticipating the participation of both <br /> the State and its political subdivisions, and allows for the allocation between the <br /> State and its political subdivisions to be set through a state-specific agreement. <br /> 3. The Parties acknowledge that this MOA does not excuse any requirements placed <br /> upon them by the terms of the National Settlement Agreements or any Bankruptcy <br /> Resolution, except to the extent those terms allow for a State-Subdivision <br /> Agreement to do so. <br /> B. When MOA takes effect. <br /> 1. This MOA shall become effective at the time a sufficient number of Local <br /> Governments have joined the MOA to qualify this MOA as a State-Subdivision <br /> Agreement under the National Settlement Agreements or as a Statewide <br /> Abatement Agreement under any Bankruptcy Resolution. If this MOA does not <br /> thereby qualify as a State-Subdivision Agreement or Statewide Abatement <br /> Agreement, this MOA will have no effect. <br /> 2. The Parties may conditionally agree to sign on to the MOA through a letter of <br /> intent, resolution, or similar written statement, declaration, or pronouncement <br /> declaring their intent to sign on to the MOA if the threshold for Party participation <br /> in a specific Settlement is achieved. <br /> C. Dispute resolution. <br /> 1. If any Party believes another Party has violated the terms of this MOA, the <br /> alleging Party may seek to enforce the terms of this MOA in Ramsey County <br /> District Court, provided the alleging Party first provides notice to the alleged <br /> offending Party of the alleged violation and a reasonable opportunity to cure the <br /> alleged violation. <br /> 2.
