Property for agricultural purposes and for completion of crop harvest. Seller shall assign <br />any and all of its right under said written lease agreement to Buyer. Buyer shall be <br />responsible for any crop damage arising from such inspection work as identified in <br />Section 8 and shall indemnify and hold Seller harmless from all costs, expenses and <br />liabilities relating to such work. Rental income for the fiscal year will be prorated <br />between Seller and Buyer based on the Closing Date and a agricultural season of April 1 <br />through October 31. <br />14. Assignment. Buyer may not assign its rights under this Agreement without written <br />consent of the Seller. <br />15. Survival. All of the terms of this Agreement will survive and be enforceable after the <br />Closing. <br />16. Notices. Any notices required or permitted to be given by any party to the other shall be <br />given in writing, and shall be (i) hand delivered to any officer of the receiving party, or <br />(ii) mailed in a sealed wrapper by United States registered or certified mail, return receipt <br />requested, postage prepaid, or (iii) properly deposited with a nationally recognized, <br />reputable overnight courier, properly addressed as follows: <br />If to Seller: Lester & Deidra Winter <br />L. & D. Notices shall be deemed effective on the earlier of the date of receipt or in the case of <br />such deposit in the mail or overnight courier, on the first business day following such <br />deposit. Any party may change its address for the service of notice by giving written <br />notice of such change to the other party. <br />18. Captions. The captions appearing in this Agreement are for convenience only, are not a <br />part of this Agreement and are not to be considered in interpreting this Agreement. <br />19. Entire Agreement. Buyer understands the Property is for sale AS IS. Everything on the <br />Property becomes the asset/liability of Buyer including the residence and contents. Seller <br />
