THE BONDS <br />General Description <br />The Bonds are dated as of July 15, 2007 and will mature in the amounts and on the dates <br />shown on the cover of this Official Statement. The Bonds are being issued in book entry form. <br />Interest on the Bonds is payable February 1, 2008 and semiannually thereafter on August 1 and <br />February 1. Interest on the Bonds will be payable to the holder (initially Cede & Co.) registered <br />on the books of the Registrar as of the fifteenth day of the calendar month next preceding such <br />interest payment date. Principal of and interest on the Bonds will be paid as described in the <br />section herein entitled "Book Entry System." U.S. Bank National Association, St. Paul, <br />Minnesota will serve as Registrar for the Bonds. The City will pay for registration services. <br />Optional Redemption <br />The City may elect on February 1, 2018, and on any day thereafter, to prepay Bonds due on or <br />after February 1, 2019. Redemption may be in whole or in part and if in part at the option of the <br />City and in such order as the City shall determine. If Tess than all the Bonds of a maturity are <br />called for redemption, the City will notify DTC of the particular amount of such maturity to be <br />prepaid. DTC will determine by lot the amount of each participant's interest in such maturity to <br />be redeemed and each participant will then select by lot the beneficial ownership interests in <br />such maturity to be redeemed. All prepayments shall be at a price of par plus accrued interest <br />to the date of redemption. <br />Book Entry System <br />The Depository Trust Company ( "DTC "), New York, New York, will act as securities depository <br />for the Obligations. The Obligations will be issued as fully- registered securities registered in the <br />name of Cede & Co. (DTC's partnership nominee) or such other name as may be requested by <br />an authorized representative of DTC. One fully- registered certificate will be issued for each <br />maturity of the Obligations, in the aggregate principal amount of such maturity, and will be <br />deposited with DTC. <br />DTC is a limited - purpose trust company organized under the New York Banking Law, a <br />"banking organization" within the meaning of the New York Banking Law, a member of the <br />Federal Reserve System, a "clearing corporation" within the meaning of the New York Uniform <br />Commercial Code, and a "clearing agency" registered pursuant to the provisions of Section 17A <br />of the Securities Exchange Act of 1934. DTC holds and provides asset servicing for securities <br />that its participants ( "Direct Participants ") deposit with DTC. DTC also facilitates the post -trade <br />settlement among Direct Participants of sales and other securities transactions in deposited <br />securities through electronic computerized book -entry transfers and pledges between Direct <br />Participants' accounts. This eliminates the need for physical movement of securities <br />certificates. Direct Participants include securities brokers and dealers, banks, trust companies, <br />clearing corporations, and certain other organizations. DTC is a wholly -owned subsidiary of The <br />Depository Trust and Clearing Corporation ( "DTCC "). DTCC, in turn, is owned by a number of <br />Direct Participants of DTC and members of the National Securities Clearing Corporation, Fixed <br />Income Clearing Corporation, and Emerging Markets Clearing Corporation (NSCC, FICC, and <br />EMCC, also subsidiaries of DTCC), as well as by the New York Stock Exchange, Inc., the <br />American Stock Exchange LLC, and the National Association of Securities Dealers, Inc. Access <br />to the DTC system is also available to others such as securities brokers and dealers, banks, <br />trust companies and clearing corporations that clear through or maintain a custodial relationship <br />with a Direct Participant, either directly or indirectly ( "Indirect Participants "). The DTC Rules <br />applicable to its Participants are on file with the Securities and Exchange Commission.
