pursuant to the terms herein, to be specifically assumed by or paid by <br />Purchaser. <br />A Taxpayer Identification Number Certificate as required by Title <br />Company. <br />Such documents evidencing the legal status, good standing and authority <br />of Seller that may be required by Title Company for issuance of the Title <br />Policy. <br />Seller shall also deliver to Purchaser at Closing a confirmation of all representations and <br />warranties herein as of the Date of Closing. Seller shall have no liability for failure to reconfirm <br />warranties if Seller, in good faith, believes such warranties not to be true as of the Date of <br />Closing and provide to Purchaser all information as to why such warranties are not true; <br />provided, however, nothing shall release Seller from liability for representations or warranties <br />made herein prior to the Date of Closing. <br />Purchaser shall deliver to Seller the following instruments and documents: <br />(a) The payments to be paid herein by Purchaser. <br />(b) Such other documents and instruments as may reasonably be <br />required to carry out the terms of this Agreement. <br />At Closing, Seller and Purchaser shall jointly deliver a closing statement to each other, and <br />Purchaser shall provide the certificate of real estate value, if any is required in connection with <br />the filing of said Warranty Deed. <br />9. Matters to Take Place Prior to Closing. Prior to the Date of Closing, the <br />following shall take place: <br />(a) Purchaser shall have the right to survey, inspect and to take soil <br />borings or tests for Regulated Substances at Purchaser's sole risk, cost and <br />expense in order to determine the characteristics of the Subject Property. <br />Purchaser shall pay all costs of such survey, inspection, soil borings and tests. <br />Subject to the above, Purchaser may enter upon the Subject Property prior to the <br />Date of Closing for purposes of examination, survey, and inspection and taking <br />• <br />• <br />• <br />
