Seller or the Subject Property, nor are any such proceedings contemplated by <br />Seller. <br />(n) No work has been performed or is in progress at, and no materials <br />have been furnished to, the Subject Property or any portion thereof by or on <br />behalf of Seller which could give rise to any mechanic's, materialman's or other <br />liens and no such liens are outstanding. <br />(o) Seller has received no notice of condemnation of any portion of <br />the Subject Property from any governmental authority. <br />(p) To the best of Seller's knowledge, there are no deferred <br />development fees or deferred park dedication fees applicable to the Land which <br />Seller has requested to be deferred or which arise out of improvements which <br />have been authorized by the City of Lino Lakes as of the date hereof. <br />(q) To the best of Seller's knowledge, no obligations exist under any <br />development agreements in respect to the Subject Property. <br />(r) The consummation of the transactions contemplated by this <br />Agreement will not violate any provisions of or constitute a default or result in <br />the breach of any term or provision of any contract or written agreement to <br />which Seller is a party so as to adversely affect the consummation of such <br />transactions. <br />(s) To the best of Seller's knowledge, the Subject Property has never <br />been used as a dump or landfill except as disclosed in the documents listed on <br />Exhibit F. <br />(t) The Land is three separate parcels for taxing and conveyancing <br />purposes and approved as such by the City of Lino Lakes and Anoka County. <br />(u) There are no existing leases on the Subject Property. <br />In the event any of the representations and warranties contained herein become untrue on <br />or before the Date of Closing (hereinafter defined) as a result of information received by Seller or <br />occurrences subsequent to the date hereof or otherwise, Seller shall promptly notify Purchaser. <br />Seller will indemnify Purchaser, its successors and assigns, against and will hold Purchaser, its <br />successors and assigns, harmless from, any loss, claim, damage or expense, including reasonable <br />attorneys' fees, that Purchaser incurs because of the breach of any of the above representations <br />• <br />• <br />
