Seller's Restrictions. From and after the date hereof, and except as herein <br />expressly provided, Seller shall not directly or indirectly: (i) make any alterations or changes in <br />or about the Subject Property; (ii) create or incur or permit to exist any mortgage, lien, pledge or <br />other encumbrance not presently in existence in any way affecting the Subject Property or any <br />refinancing thereof or replacement, extension or renewal thereof other than liens, pledges, or <br />encumbrances which do not prevent or interfere with Purchaser's rights herein, and other than the <br />lien of unpaid real estate taxes; (iii) commit any waste or nuisance on the Subject Property; (iv) <br />convey any interest in the Subject Property; or (v) advertise or take affirmative steps to market or <br />sell or negotiate or carry on discussions for the sale of the Subject Property to any third party. <br />21. (Intentionally Deleted) <br />22. Relationship. Nothing contained in this Agreement shall constitute or be <br />construed to be or create a partnership, joint venture or any other relationship between Seller and <br />Purchaser other than the relationship of a buyer and seller of real or personal property as set forth <br />in this Agreement. <br />23. Exhibits/Modifications. All exhibits attached hereto contain additional terms of <br />this Agreement. Typewritten or handwritten provisions inserted in this form or attached hereto <br />shall control all printed provisions in conflict therewith. <br />
