The Board or its designated representatives may enter <br />upon lands within or outside the Vadnais Lakes Area Watershed to make surveys and <br />investigations to accomplish the purposes of VLAWMO and the Act. The Board shall be liable <br />for actual damages resulting therefrom, but every person who claims damages shall serve the <br />Chair or Secretary of the Board with a notice of claim as required by M.S. Section 466.05. <br />Subdivision 11. Legal and Technical Assistance. The Board may obtain and provide legal and <br />technical assistance in connection with litigation or other proceedings between one or more of its <br />Members and any other political subdivision, commission, board or agency relating to the <br />planning or construction of facilities to drain or pond storm waters within the Area. <br />Subdivision 12. Permits. VLAWMO shall cooperate with appropriate local, state, and federal <br />agencies in obtaining required permits and shall review permits issued by local units of <br />government to accomplish the purposes identified in Section I of this Agreement. <br />Subdivision 13. Office. VLAWMO shall maintain an office within the Area. All notices to <br />VLAWMO shall be delivered or submitted to such office. <br />Subdivision 14. Insurance. VLAWMO may contract for or purchase such insurance as the <br />Board deems necessary for its protection. <br />Subdivision 15. Financial Records. The Board shall maintain the books and accounts of <br />VLAWMO consistent with generally accepted accounting principles and provide the <br />separate accounting of operations and capital improvement projects. <br />Subdivision 16. Audit. The Board shall have an independently completed annual audit of the <br />books and accounts of VLAWMO. <br />Subdivision 17. Claims. VLAWMO shall be liable for actual damages resulting from actions <br />or in- actions by the Board, but every person who claims damages shall serve the Chair or <br />Secretary of the Board of Commissioners with a Notice of Claim as required by M.S. Section <br />466.05 and such claims if approved will be paid from VLAWMO funds. <br />Subdivision 18. Employees. The Board may employ certain persons to fulfill defined <br />responsibilities of VLAWMO with the approval of a majority of the Board. <br />Subdivision 19. Contracts. The Board may make such contracts and enter into such <br />agreements as necessary to fulfill its obligations under this Agreement. Any such contract or <br />agreement shall be in accordance with the Uniform Municipal Contracting Law, M. S. Section <br />471.345, and the Joint Powers Act, M.S. Section 471.59. <br />Subdivision 20. Annual Report to Members. The Board shall make and file a report to all of <br />the Members at least once each year including the following information: <br />1) the financial condition of VLAWMO; <br />2) the status of all VLAWMO projects and work; and <br />3) the business transacted by VLAWMO and other matters which affect the interests of <br />VLAWMO. <br />Copies of said report shall be transmitted to the administrator of each Member. <br />Subdivision 21. Records. VLAWMO's books, reports and records shall be available for and <br />open to inspection at reasonable times. <br />
