4. OUALITY OF PRODUCTS. When any party purchases furniture, equipment, supplies, commodities or ancillary <br />services through a Wayzata purcha.se contract, such party shall exercise its own due diligence with respect to the <br />rnanufart;uer, the vendor, the quality of the products, the quality of the installation and all other aspects of any <br />purchase. Wayzata School District shall have no obligation to perkcnnt such due diligence on behalf of any other <br />party nor shall Wayzata School District have any liability with respect to any aspect of a purchase by named <br />Applicant, including without limitation, any liability for defective or negligently manutacttem ed ntcrhandise, <br />defective or negligent installation, failure to deliver merchandise, or late delivery of merchandise. <br />5. REPORTS. On or before January 30th of each calendar year, Applicant shall verify with Wayzata School <br />District the total dollar volume of merchandise ordered through Wayzata procurement contracts and provide <br />Wayzata such information about such purchases as Wayzata should reasonably require. <br />6. ADMMI ISTRATION FF•E. Wayzata School District reserves the right to charge a vendor an administrative fee <br />to compensate for the services rendered in administering the procurement contract. All such fees, if anti, 1hs+11 belong <br />to Wayzata School District. <br />7. TERM. Either party may terminate this Joint Powers Agreement without cause of action ails governing body <br />and written notice of such action to the other party. <br />8. RELATIONSHIP OF PARTIES. This Agreetent shall not act to create a separate entity nor shall it create any <br />agency, partnership or joint venture between the parties. Neither parry shall have the anthnrity to bind the other party <br />in any contract except that a purchase order made by an Applicant pursuant to a Wayzata procurement contract shall <br />bind Applicant pursuant to the teams of such contract. <br />9. EFFECTIVE DATE. This agreement shall take effect upon approval by the governing bodies of both parties. <br />10. AMENDiNTS.
