• <br />• <br />of the following signature formats: /s/ Printed Name; Electronic Signature; or scanned signature <br />block. <br />ARTICLE XIV- ACTION WITHOUT MEETING <br />Unless otherwise restricted by Minnesota Statutes or the Articles of Incorporation, any <br />action of Members, Board Members, or of any committee thereof, may be taken without a <br />meeting if a written consent thereto is signed by all members, all Board Members or committee <br />members and such written consent is filed with the minutes of the meeting of Members, Board <br />Members or committee, as the case may be. <br />ARTICLE XV - CONTRACTS, CHECKS, DRAFTS, BANK ACCOUNTS, ETC. <br />Section 1. Contracts- How Executed. <br />Except as otherwise provided in these By -Laws, the Board of Directors may authorize <br />any two (2) officers of the Corporation to enter into any contract or execute and deliver any <br />instrument in the name of or on behalf of the Corporation. Such authority may be general or <br />confined to specific instances. Unless so authorized by the Board of Directors, no officer shall <br />have any power or authority to bind the Corporation by any contract or engagement or to pledge <br />its credit or to render it liable peculiarly for any purpose or for any amount. <br />Section 2. Bids. <br />The Corporation must exercise a bid or request for proposal process on projects which <br />exceed dollar amounts determined by the Executive Committee. <br />Section 3.
