RESOLUTION NO. 18-60
RESOLUTION AUTHORIZING EXECUTION OF
ENGAGEMENT LETTER FOR CIVIL LEGAL SERVICES
WHEREAS, the City Council directed staff to request proposals for civil legal services for the
City of Lino Lakes; and
WHEREAS, the City Council directed staff to engage the firm of Rupp, Anderson, Squires &
Waldspurger, P.A. to provide civil legal services for the City.
NOW, THEREFORE BE IT RESOLVED by the City Council of the City of Lino Lakes that
the mayor and city clerk be authorized to execute an engagement letter with the law firm of
Rupp, Anderson, Squires & Waldspurger, P.A.
BE IT FURTHER RESOLVED that a 60 -day written notice of termination be given to Ratwik,
Roszak & Maloney in accordance with the Letter of Engagement executed December 2008.
Adopted by the City Council of the City of Lino Lakes this 14th day of May 2018.
The motion for the adoption of the foregoing resolution was introduced by Council Member
Rafferty and was duly seconded by Council Member Stoesz and upon
vote being taken thereon, the following voted in favor thereof:

INTRODUCTION
The City Council is being asked to approve Resolution 18-60, authorizing execution of
engagement letter with Rupp, Anderson, Squires & Waldspurger, P.A.
BACKGROUND
The City Council requested and received proposals from various law firms to provide civil
legal services for the City. Follow the review of proposals and interviews with four law firms,
the City Council directed staff to engage the services of Rupp, Anderson, Squires &
Waldspurger, P.A. The firm would begin providing legal services to the City 60 days after a
written notice of termination is given to Ratwik, Roszak & Maloney.
RECOMMENDATION
Staff recommends approval of Resolution No. 18-60, Authorizing Execution of Engagement
Letter for Civil Legal Services with the firm of Rupp, Anderson, Squires & Waldspurger, P.A.
in order to carry out the Council's directive.

RE: City Attorney — Letter of Engagement
Dear Mr. Karlson:
This letter is to formally acknowledge the City Council's decision to engage Rupp,
Anderson, Squires & Waldspurger, P.A. as City Attorney.
We will provide all legal services set forth in the City's RFP and any services
related thereto. We understand the City retains separate bond counsel as needed. Legal
services include attendance at City Council meetings and other meetings as requested.
Our hourly rate will be $160.00 for general services, $200 for litigation, and $225
for third -party paid fees. We will hold these rates for three years, but would like a mutual
commitment to revisit the rates after that time. Costs and disbursements will be per our
proposal dated December 11, 2017.
I understand that we will formally assume the City Attorney position upon
expiration of the sixty (60) day notice of termination to Ratwik, Roszak & Maloney. The
position has no definitive term. In order to provide an appropriate transition in the event
that either party decides to terminate this relationship, 60 days written notice of
termination will be given to the other party.
