Adjourn EDA MINUTES May 2, 2022 DRAFT 1 DATE : May 2, 2022 1 TIME STARTED : 5:32 p.m. 2 TIME ENDED : 6:20 p.m. 3 MEMBERS PRESENT : EDA Members Rafferty, Lyden, Stoesz, 4 Cavegn, Ruhland 5 MEMBERS ABSENT : none 6 OTHERS PRESENT : Community Development Director 7 Michael Grochala; City Administrator 8 Sarah Cotton 9 10 The meeting was called to order at 5:32 p.m. by EDA President Ruhland 11 12 CONSIDERATION OF THE MINUTES OF JANUARY 24, 2022 13 14 Economic Development Authority (EDA) Member Stoesz moved to approve the minutes 15 of January 22, 2022 as presented. EDA Member Lyden seconded the motion. Motion 16 carried on a voice vote. 17 18 DISCUSSION ITEM 19 20 President Ruhland read a statement explaining the need to close the meeting, as allowed 21 under law, in order to discuss an offer and counter offer for the sale of certain property 22 (Lots 1-3, Block 2 and Outlots B & C, The Village No. 4). 23 24 EDA Member Cavegn moved to close the meeting. EDA Member Lyden seconded the 25 motion. Motion carried on a voice vote. 26 27 Upon completion of discussion of the above matter, a motion was taken to open the 28 meeting. The motion was approved on a voice vote. 29 30 The meeting was recorded and the recording will be maintained in the Office of the City 31 Clerk as required. 32 33 The meeting was adjourned at 6:20 p.m. 34 35 36 37 38 Julianne Bartell, City Clerk Rob Rafferty, Mayor 39 40 SCRIPT TO CLOSE AND REOPEN THE EDA MEETING To Close: • President to read the following statement: Pursuant to Minnesota Statutes, Section 13D.05, subdivision 3(c)(3), the meeting will be closed to discuss offers for the purchase of real property owned by the EDA and located at 500 Block of Town Center Parkway (Lots 1-3 and Outlots B & C, Block 2, the Village No. 4) all in the City of Lino Lakes, Minnesota and the potential development of such property. Motion by EDA Commissioner: I make a motion to go into closed session pursuant to Minnesota Statutes, section 13D.05, subdivision 3(c)(3) to discuss offers or counteroffers for the purchase or sale of real or personal property located at 500 Block of Town Center Parkway and the potential development of such property. • Obtain a second • Roll call vote Motion by EDA Commissioner to Open Meeting (while in the closed session): • I make a motion to return to open session • Obtain a second • Roll call vote RULES A public body may close a meeting pursuant to Minn. Stat. Section 13D.05, subd. 3(c)(3) to develop or consider offers or counteroffers for the purchase or sale of real or personal property. Before holding a closed meeting under this exception, the public body must identify on the record the particular real or personal property that is the subject of the closed meeting. Vik v. Wild Rice Watershed Dist., No. A09-1841 (Minn. Ct. App. Aug. 10, 2010) (unpublished opinion) (holding that this exception authorizes closing a meeting to discuss the development or consideration of a property transaction and is not limited to the discussion of specific terms of advanced negotiations). DPO 08-001. DPO 14-014. The closed meeting must be tape recorded. The recording must be preserved for eight years and must be made available to the public only after all real or personal property discussed at the meeting has been purchased or sold, or after the public body has abandoned the purchase or sale. The real or personal property that is being discussed must be identified on the tape. A list of members and all other persons present at the closed meeting must be made available to the public after the closed meeting. The actual purchase or sale of the real or personal property must be approved at an open meeting, and the purchase or sale price is public data.
