Joint Powers Agreement with City of Centerville 3/5 Vote Required Peltier Island is a 30 -acre island on the north end of Peltier Lake and lies within the Rice Creek Chain of Lakes Regional Park Reserve. Peltier Island and the surrounding lake contain a very unique and environmentally sensitive ecosystem. This area is sensitive because of the shallow water depths, unique aquatic vegetation, and a muddy bottom that is rich in nutrients. The area is also sensitive because of the unique colony of Great Blue Herons and Great Egrets that nest on the island. In fact, Peltier Lake Island is classified as the second largest heron colony in the Twin Cities Metropolitan Area. Records of the herons nesting habits in the Rice Creek Chain of Lakes Park Reserve have been maintained since 1945. Historically, there were three nesting sites in the Lino Lakes area. The birds appeared to have migrated to a single nesting area located on Peltier Island. In June of 2000, the herons and egrets began deserting the island, leaving behind nests, eggs, and offspring. In 2001, the colony was abandoned once again. On January 23, 2002, a task force of stakeholders met to discuss the problem. The group identified a number of possible reasons that may have led to the disappearance of the birds. Several strategies were formulated to protect both the bird colonies on Peltier Island, as well as the unique vegetative and aquatic features on the North side of the island. The creation of a no -wake zone area around the north side of the island was suggested and unanimously supported by the task force. ANALYSIS The purpose of the no -wake zone is to minimize human disturbance to adjacent nesting birds, aquatic vegetation and water quality around the island. The need for buffer areas around nesting birds is well documented. Research indicates the need for at least a 300 -meter nesting and buffer zone for Great Blue Heron nests, and that the birds tend to abandon nests when larger disturbances occur within 500 meters. Butler, 1992. • The effects of intensive motorized watercraft use in shallow lake areas is also well documented. The proposed ordinance would establish a no -wake zone lying north of the southern section lines of Section 10 and 11, Township 31 N, Range 22W starting at the southern boundary of Rehbeins Peltier View Subdivision of Lino Lakes (Attachment 1). The defined area, as proposed, is generally consistent with a 500 -meter buffer around the bird nesting habitat. The no wake zone would be in effect 24 hours a day all year. Regulating the use of Lakes in Minnesota is delegated to local governments. Regulation is achieved through local ordinance establishment. There are two local governments involved in the issue of regulating use on Lake Peltier. They are the Cities of Lino Lakes and Centerville. As part of the ordinance adoption process, the two cities will need to pass a joint powers agreement (JPA). The JPA is an agreement between the two cities to jointly adopt and enforce the ordinance requirements. Anoka County would be responsible for posting and notification of this area on the Lake. The Anoka County Sheriff's Department and the DNR Conservation office would be responsible for the enforcement of this ordinance. A letter of support for adoption of the ordinance, from Anoka County, is attached for council review. The Peltier Lake Association met on March 4, 2002 to discuss this issue. Staff • understands that the association is proposing a modification of the proposed no wake zone that would be acceptable to association members. Staff would welcome any modifications that alleviate association member concerns while still addressing the stated environmental concerns. • OPTIONS 1. Approve the Joint Powers Agreement with the City of Centerville and approve the 1st Reading of Ordinance 03 -02 regulating the surface use of motorized watercraft on Peltier Lake in the Peltier Lake Island area. 2. PARTIES. This Agreement is made and entered into by and between the CITY OF LINO LAKES, a municipal corporation and political subdivision of the State of Minnesota, (herein "Lino Lakes), and the CITY OF CENTERVILLE, a municipal corporation and political subdivision of the State of Minnesota (herein "Centerville "). II. RECITALS. Lake Peltier is located within the corporation boundaries of Lino Lakes and Centerville and has a public access for boats. The waters of Lake Peltier are used extensively by the public for boating, fishing and other recreational purposes. Lake Peltier Island contains a unique Great Blue Heron and White Egret nesting colony. Regulation of boating traffic on Lake Peltier is necessary in order to minimize adverse impact on natural resources and to protect the health, safety and welfare of the residents of Lino Lakes and Centerville who reside on properties surrounding Lake Peltier and of those people who use Lake Peltier for recreational purposes. By means of this Joint Powers Agreement adopted pursuant to Minn. Stat. §§ 459.20 and 471.59, Lino Lakes and Centerville will establish guidelines applicable to the adoption of ordinances by each City restricting the speed and use of motorized watercraft on Lake Peltier. . III. TERMS AND CONDITIONS. In Consideration of the mutual undertakings herein expressed, Lino Lakes and Centerville agree as follows: A. Each City shall adopt an ordinance which incorporates the following guidelines: 1. Adopts the definitions of Minn. Stat. §86B.005. 2. As you may be aware, Peltier Island is a 30 -acre island located on the north end of Peltier Lake and harbors the second largest heron colony iri the Twin Cities Metropolitan Area and also contains an active Bald Eagle nest. According to Minnesota DNR and county officials, the island itself and the surrounding aquatic vegetation communities are biologically unique and contain rare plants and animals that are of local, regional, and state -wide significance. This resource area is considered to be the highest quality natural feature of the entire 2,500 acre Rice Creek Chain of Lakes Regional Park Reserve. Unfortunately, over the previous two nesting seasons (2000 and 2001), the herons and egrets have suddenly and unexpectedly abandoned their nests and their young in June of each year. A Peltier Island Rookery Task Force was assembled with representatives from the City of Lino Lakes, City of Centerville, Minnesota DNR (Conservation Officer, Non -Game Wildlife, Fisheries, and Aquatic Plant Management), Anoka County (Parks and Recreation Department and Sheriff's Department), University of.Minnesota, Peltier Lake Citizen, Anoka County Citizen at large, Rice Creek Watershed District, and the St. Paul Water Utility. On January 23, 2002, the task force met to examine the following items: • • History and significance of the Peltier Island Heron Rookery and surrounding natural communities. • Rookery abandonment observations and theories discussion. • Identification and discussion of potential strategies and solutions to address rookery abandonment and Tong -term protection of the high quality habitat at the north end of Peltier Lake. • Roles and responsibilities to implement strategies. Several management goals and strategies have been documented during these planning efforts which specifically include controlling boat traffic around Peltier Island to prevent disruption to the herons. Therefore, special consideration in the way of supporting a "Slow /No Wake Zone" on the north end of Peltier Lake is clearly consistent with various comprehensive plans recently adopted by Anoka County. This lake has two different distinct water quality areas. The area to the south of the island is largely shallow water (mean depth 7 feet) with very few rooted aquatic macrophytes. This portion of the lake is very high in nutrients and experiences excessive growth of phytoplankton (algae). The growth of algae limits light penetration into the water column, therefore limiting the available habitat for rooted macrophyte growth. Large algal growths can also contribute to low periods of dissolved oxygen during low light conditions. This is caused by plant respiration or decomposition of the algal material. The area north of the island has a different water quality characteristic. This area of the lake is generally 3 to 5 feet deep and has extensive rooted aquatic macrophyte coverage (mainly coontail). The density of rooted macrophytes helps consolidate the lake bottom sediments and also consumes available nutrients, therefore leaving less available nutrients for algal uptake. The water clarity in the northern portion of Peltier Lake is generally much clearer than in the southern portion. During much of the growing season (May through September) the rooted macrophytes would consume nutrients from both the water column and also have some nutrient uptake through the root systems. Removal of aquatic macrophytes would have some impact on the water quality of the north basin. Some possible impacts would be redistribution of bottom sediments, and introduction of additional nutrients to the water column. Without adequate plant material to buffer wave action caused by boating and wind, bottom sediments would suspend and be transported either into the south basin or into the water column of the north basin. This action could increase the nutrient load to the water column, decrease water clarity, cause stress on resident fish populations, and potentially give algae the competitive edge to expand their range and have even more severe blooms. Rooted aquatic macrophytes benefit the water quality of lakes. There is evidence that healthy aquatic macrophytes do not excrete large quantities of nutrients into the water • • • — 2 — March 1, 2002 column during active growing periods (Barko and Smart, 1980). They do tend to concentrate sediment- supplied nutrients in their tissue. These nutrients are partially recycled to the lake when the plant dies, decays, or goes into senescence. Management of extensive aquatic macrophyte growth may be beneficial to late season nutrient release. Generally we are not concerned with nutrient release over the late fall and winter months because algae blooms are dependant on water temperature at this time. The north basin also serves another important function to the lake ecosystem. This area is probably acting as a spawning area for many fish species and also as a nursery area for young fish. Many species of freshwater fish require macrophytes to lay eggs on. This keeps the fish eggs out of the anoxic sediments and allows oxygenated water to freely pass by the eggs. Northern pike spawning is very dependant on some type of plant growth to adhere their eggs to. High speed boating in this area may cause sediment resuspension, nutrient release from the sediments, and severe damage to the existing aquatic macrophyte community. All of the above mentioned items could be detrimental to the overall water quality and biological health of Peltier Lake. I feel that the area north of the island on Peltier Lake deserves some special protection. VonDeLinde Director March 8, 2002 Marty Asleson Environmental Specialist City of Lino Lakes 600 Town Center Parkway Lino Lakes, MN 55014 Re: Anoka County's Recommendation for Geographical Placement of the Proposed "Slow /No Wake Zone" Boundary Line on Peltier Lake Dear Mr. Asleson, Based on a comprehensive review and analysis of scientific literature and considering the public testimony provided at the Lino Lakes City Council Work Session on March 6, 2002, the Anoka County Parks and Recreation Department is submitting the following recommendation, in the way of two(2) alternatives, to the City of Lino Lakes and City of Centerville regarding the geographical placement of the proposed "Slow /No Wake Zone" boundary line on the north end of Peltier Lake: Alternative #1 A "Slow /No Wake Zone" north of a line running east and west located along the surface water segments of the southern parcel line of Sections 10 and 11, Township 31 North — Range 22 West (within the City of Lino Lakes, Minnesota) and angling approximately 50 degrees north northeast from a point on the Section 11 parcel Tine located directly south of the southeast corner of the island to the east shore of the lake as marked by buoys. The point on the east shoreline is located on Ronald Marier's property, due west of the southernmost of the two outbuildings and would be identified with a permanent survey marker. The point on the west shoreline is located on Anoka County's property, and would be identified by a permanent survey marker. Alternative #2 A "Slow /No Wake Zone" north of a line running east and west located 200 feet south of the south end of the island and angling approximately 60 degrees north northeast from a point directly south of the southeast corner of the island to the east shore of the lake as marked by buoys. The point on the east shoreline is located on Ronald marier's property, due west of the southernmost of the two outbuildings and would be identified with a permanent survey marker. The point on the west shoreline is located on Anoka County's property, and would be identified by a permanent survey marker. (Please refer to the attached map that clearly illustrates both of the above alternatives) From a scientific perspective, "Alternative #1" will provide the best protection for the Peltier Island Heron Rookery and the surrounding high quality natural communities, however, considering a variety of other expressed human interests, "Alternative #2" appears to be a more popular solution among several private Lakeshore owners on Peltier Lake. Therefore, the Anoka County Parks and Recreation Department is recommending that the City of Lino Lakes and the City of Centerville consider adopting "Alternative #2 ", unless there is a majority of support and testimony towards "Alternative #1 ". If the proposed "Slow /No Wake Zone" ordinance is passed, the Anoka County Parks and Recreation Department will conduct a survey of the "Slow /No Wake Zone" boundary, place permanent survey points on the island and on each shoreline, provide buoy placement, maintenance, and removal and will also place a sign at the public access illustrating the area of the "Slow /No Wake Zone ". A minimum number of buoys would be placed to effectively delineate the "Slow /No Wake Zone ". MEETING DATE: March 11, 2002 TOPIC: Lino Lakes Market Place 2nd Addition: Preliminary Plat BACKGROUND In August of 2001 City Council approved the PDO (Ordinance 16 -01) for Lino Lakes Market Place. Final Plat for the development was approved in October of 2001 and included Outlot D and Outlot E. The two Outlots were intended to be combined with the remnant parcel created from the Apollo Drive right -of -Way acquisition per the approved PDO Site Plan. Ordinance No. 16 -01 states, under Section 2.D.3 entitled "Special Provisions," the following: Development of Outlot D and Outlot E as depicted in the site Plan shall be contingent on the developer acquiring title to the adjacent parcel and follow platting requirements of the Lino Lakes Subdivision Ordinance. Development of said lots as specified herein and in conformance with the Site Plan (Exhibit C) shall not require amendment to the Planned Development Overlay (PDO). The applicant, Ryan Companies US, Inc., is in the process of purchasing the Apollo Drive remnant parcel from the City of Lino Lakes and requesting preliminary plat approval in accordance with Ordinance 16 -01. The Market Place 2nd Addition is a replat of Lot 2, Block 1, Outlot D and Outlot E of Lino Lakes Market Place and includes the Apollo Drive remnant parcel. This will allow for the development of the site consistent with the PDO approval. This report is based on the most current submittal, consisting of the preliminary plat prepared by Westwood Professional Services, Inc., dated February 5, 2002. City Council Meeting Lino Lakes Market Place 2 °d Addition March 11, 2002 ANALYSIS Zoning Site is zoned Planned Development Overlay District. The Underlying zoning is SC, Shopping Center. Lots, Blocks The submitted information indicates the establishment of three lots, as follows: Lot 1 = 45,803 sq. ft. Lot 2 = 57,690 sq. ft. Lot 3 = 42,764 sq. ft. The proposed lots are consistent with the Site Plan approved as part of the Lino Lakes Market Place PDO. Stormwater Management Grading, Drainage and Erosion Control Plans were approved with the Market Place PDO. Grading for individual lots will be subject to the site plan review process. Utilities Utility Plans to service the proposed lots were approved with the Market Place PDO. Transportation The proposed lots will be serviced by a private road per the Market Place PDO and by the easterly extension of Apollo Drive from Lake Drive. The dedicated right -of- access along Lake Drive should be extended to the southerly boundary of Lot 2, Block 1. Drainage and Utility Easements All drainage and utility easements are provided as required. P & Z MEETING The above report was presented at the February 13, 2002 meeting of the Planning and Zoning Board. While the PDO established the general use and design parameters within the Market Place development, the Special Provisions section of Ordinance No. 16 -01 requires that the development of single tenant buildings on the site, including the proposed bank, be subject to site plan review approval in accordance with the Lino Lakes Zoning Ordinance. The applicant, TCF Bank, has now submitted an application to construct a 4,500 sq. ft. building upon a 57,690 sq. ft. lot, as previously proposed in the PDO. The property is being platted by Ryan Companies US, Inc. under separate application and in conformance with the Lino Lakes Market Place PDO. This review is based on the most current submittal, consisting of the following plans: • Site Plan dated 2.4.02; received 2.4.02. • Grading Plan dated 2.4.02; received 2.4.02 • Utility Plan dated 2.4.02; received 2.4.02 • Landscape Plan dated 2.4.02; received 2.4.02. • Photometric Lighting Plan dated 2.4.02; received 2.4.02 • Exterior Elevation Plan dated 2.6.02; received 2.7.02 • Site Detail Plans (undated); received 1.14.02 A City Council Meeting TCF Bank Site Plan Review March 11, 2002 ANALYSIS Lot Area Requirements The 57,690 sq. ft. lot is consistent with the approved Lino Lakes Market Place PDO Site Plan Setbacks As shown below, all applicable building and parking lot setbacks have been satisfied. Building Materials Building materials for the site are specified within the Market Place PDO, under "Design Guidelines" (Section 2.B), which delineate a number of materials, colors, finishes and accents to be used for any building constructed within the Market Place complex in order to achieve a uniform architectural aesthetic. Building material requirements for single use tenants are particularly noted in Section 2.B.5, which states: "Single use tenants shall substantially comply with the development standards outlined above while still maintaining their retail dress image. It is strongly encouraged that each building incorporate the gable end roof form and standing seam metal over the entry or on the corners to reflect the vernacular established by other buildings on the site." Materials to be used on the proposed bank include a brick face and gabled roof. The proposed material colors are consistent with the Market Place PDO specifications. Building Height According to the Zoning Ordinance, no building within a Shopping Center (SC) Zoning District may exceed 45 feet in height. At 31 feet in height, the proposed bank complies with the Ordinance requirement. Landscaping • In accordance with site and building plan submission requirements, a landscape plan has been provided for review. The landscape plan includes both trees and shrubs adequate City Council Meeting TCF Bank Site Plan Review March 11, 2002 • for screening and aesthetic purposes. The landscape plan meets with CPTED approval and is consistent with the approved Market Place PDO Landscaping Plan. Green Area Plans show the site at 78% impervious surface coverage. The SC District requires that impervious surface coverage not exceed 75 %. Access /Circulation Access to the site from Lake Drive (C.S.A.H. 23) is via either Apollo Drive or the secondary entrance at Market Place Drive. A private road connecting Apollo Drive and Market Place Drive borders the eastern side of the site. An entrance /exit driveway is located at the northeastern corner of the site. The site contains a drive -thru lane, as proposed with the approved Market Place PDO. Accessory drive -thru facilities are subject to the following requirements: 1. The architectural appearance and functional plan of the building and site shall not be so dissimilar to the existing buildings or area so as to cause impairment in property values or constitute a blighting influence within a reasonable distance of the lot. • The Site and Building Plans are consistent with the approved Market Place PDO. • 2. At the boundaries of a residential use or district, a strip of not less than ten feet shall be landscaped and screened in compliance with Section 3, Subd. 4.S. of this Ordinance. The site does not abut any residential districts. Landscaping is provided around the perimeter of the site in accordance with the approved Market Place PDO Landscaping Plan. 3. Parking areas shall be screened from view of abutting residential districts in compliance with Section 3, Subd. 4.S. of this Ordinance. The site does not abut any residential districts. 4. Parking areas and driveways shall be curbed with continuous curbs not less than six inches high above the parking lot or driveway grade. Curbing complies with regulations. 5. Vehicular access points shall be limited, shall create a minimum of conflict with through traffic movements, shall comply with Section 3, Subd. 5. Of this Ordinance and shall be subject to the approval of the City Engineer. City Council Meeting TCF Bank Site Plan Review March 11, 2002 Access to the site is limited to the northeast corner of the site in conformance with the Market Place PDO site plan. Adequate provisions for traffic separation and stacking have been made.. 6. The entire area shall have a drainage system which is subject to the approval of the City Engineer. A drainage plan has been submitted for review by the City Engineer. 7. The entire area other than occupied by buildings or structures or plantings shall be surfaced with a material which will control dust and drainage and which is subject to the approval of the City Engineer. Bituminous surfacing of parking areas is proposed in conformance with city requirements.. Parking Financial Institutions and Banks are required to provide parking at a rate of four off - street parking spaces for each 1,000 square feet of floor area. A minimum of 18 stalls are thus required by City Ordinance for the proposed bank building. The proposed site plan provides 30 stalls. Pedestrian Circulation Plans show sidewalks on the south and east sides of the site, linking the site to the other businesses within the Marketplace development. Sidewalks within the larger Marketplace site link to a planned trail along Lake Drive. Sidewalks will be constructed by Ryan Companies, the developer of the Marketplace complex. Lighting Lighting fixtures are shoebox style with downcast lighting, in conformance to City standards and similar to fixtures within the rest of the Market Place complex. The Market Place PDO requires that any building mounted accent lighting should conform to standards noted in the PDO. The lighting plan meets with the approval of the CPTED review. Signage The Lino Lakes Market Place PDO, Section 2.C.1.d, states that wall signage for single tenant buildings within the Lino Lakes Marketplace complex "shall be designed in accordance with the sign requirements of the Shopping Center (SC) Zoning District as specified in Ordinance No. 12 -97" (Lino Lakes Sign Ordinance). • City Council Meeting TCF Bank Site Plan Review March 11, 2002 According to the Lino Lakes Sign Ordinance, signage in the SC District is limited to one wall sign limited in size to 20% of the building face. Building signage for the proposed bank will be on the west facade, facing Lake Drive, and measure approximately twenty - six (26) square feet (2 X 13). Eighteen inch -high raised black plastic letters spelling out "TCF BANK" will be installed. A 12 -foot high x 9 -foot wide monument sign with a 35 square foot sign face was approved with the Market Place PDO. The proposed TCF monument sign will need to conform to the design requirements of the PDO approval. Standard small directional signage will be located throughout the site. Trash Trash equipment will be confined to a fully enclosed structure, which will be constructed of brick to match the principle building and located at the southeast corner of the site. The group has experience in mixed -use redevelopment in Robbinsdale, Hopkins, Sauk Rapids and Oakdale. They are also the proposed master developers for the redevelopment project in downtown Circle Pines. Mr. Bill Beard is asking the city for an exclusive period of 90 days to allow him to determine the economic feasibility of the Village Master Plan. This type of agreement gives developers some assurance that the city is willing to work with them before they invest time and money into the project. This agreement states that the city will not consider any other developer during that time period and will not review or approve any applications on the city - owned part of the site. This is a predevelopment agreement and does not commit the city to anything beyond the exclusive period. During this time, staff will work with the developer to provide information that can assist with the feasibility study, including an analysis of public assistance opportunities. When the exclusive period is complete the developer will provide a report to the council. OPTIONS: 1. Approve Resolution No. 02 -18, authorizing a preliminary development agreement with the Beard Group for a 90 -day exclusive development right on the city -owned property in the Village. 2. Do not approve the Resolution. 3. Return to staff for further consideration RECOMMENDATION: Option 1 • • CITY OF LINO LAKES RESOLUTION NO. 02-18 RESOLUTION APPROVING A PRELIMINARY DEVELOPMENT AGREEMENT FOR THE VILLAGE PROJECT WHEREAS, The City has developed a Village Master Plan for the southeast quadrant of the I -35W /Lake Drive interchange that envisions mixed -use housing, commercial, retail, civic and recreational uses, and WHEREAS, The City is seeking development proposals to implement the Village Master Plan, and WHEREAS, The Beard Group, Inc., a Hopkins based real estate development company, has requested the City grant the company an exclusive period of ninety (90) days to determine the economic feasibility of the Village Master Plan; NOW, THEREFORE, BE IT RESOLVED, the Lino Lakes City Council hereby approves a 90 -day exclusive period under the terms of the Preliminary Development Agreement, attached hereto as Attachment A, in which the City agrees it will not consider other developers or development proposals for the city -owned portion of the Village project. Bergeson, Mayor • • • DRAFT FOR WORKSHOP PURPOSES ONLY PRELIMINARY DEVELOPMENT AGREEMENT THIS AGREEMENT, made and entered into as of the day of March, 2002, by and between THE CITY OF LINO LAKES FOR THE CITY OF LINO LAKES, MINNESOTA, as Minnesota public body corporate and politic, the ( "City "), whose address is 600 Town Center Parkway, Lino Lakes, MN 55014, and THE BEARD GROUP, INC. a Minnesota corporation ( "Developer ") whose address is 10 -11th Avenue South Hopkins, MN 55343. BACKGROUND The purpose of this Agreement is to set forth the understanding between the parties with respect to the Development of portions of the area contained in the Lino Lakes Center Master Plan, The Village, dated October 26, 2000 (a copy of which is to be attached hereto as Exhibit A). The portions of the Development area, which are included in this Agreement, are described in Section 2 below. BASIC TERMS AND CONDITIONS The following is a list of the terms and conditions under which the Developer will proceed on an exclusive basis for the term of this agreement to determine the economic feasibility of the Village Master Plan. If the Developer determines that the Village Master Plan is economically feasible a definitive Development Agreement for the Project intended to define the responsibilities and roles of the respective participants regarding the proposed Development of the Project would then need to be negotiated between the City and the Developer 1. Term. The term of this Agreement will be for a period of ninety days from the date listed above. Said exclusive period shall continue, unless earlier terminated as provided herein, or until such later date as the parties may mutually agree. 2. Development Property. The Development Property known as the Village is located in the SE quadrant of Lake Drive and Interstate 35W. The Village is bounded on the north by I -35W, on the west by Lake Drive, on the south by Town Center Parkway, and on the east by Anoka County Rice Creek Regional Park. The Site equals 42 (plus /minus) acres of land together with all improvements and structures located on the land and easements and rights benefiting or appurtenant to the land. The exact dimensions and square footage of the project shall be determined by survey. The parties agree that the Site may be enlarged to include other lands at the mutual agreement of the parties. 3. Undertaking and Exclusive Rights. In consideration of the time, effort and expenses to be incurred by Developer in pursuing the undertakings set forth herein and in further consideration of the amount of $1.00 paid to the City, the receipt of which is hereby acknowledged, the City hereby agrees that for the term of this agreement it will not: (i.)solicit requests from any third party for development of the Village Master Plan, (ii.) provide or enter into an agreement for provision of financial assistance to any third party in connection with any proposed development of the Village Master Plan; and (iii.) condemn or agree to proceed with the condemnation of any property within the Site. During such period the Developer shall have the exclusive right to work with the City in determining the economic feasibility of the Village Master Plan pursuant to Section 8, Step 2 (b) of this Agreement. The above notwithstanding the city recognizes that any development proposals or applications on property not owned or controlled by the City do not extend to this agreement and will be accepted. 4. The Project. The project will consist of the Development of the properties set forth in Exhibit B and will include, but not be limited to, the development of new office, retail, and hotel sites, and the relocation of certain existing businesses within the Site, the development of housing units, which may include, the development of rental multi - family housing ( condominiums /townhomes /apartments) and /or the development of owner - occupied single family /multi family home sites, the relocation and redesign of several streets, the development of public spaces: branch, library, tech services, conference and meeting facilities. The Village Master Plan is intended to serve as part of the system 1 • • of pedestrian networks to link neighborhoods to each other and connect them to parks, and the regional trail systems. 5. Public Assistance. In order to achieve the foregoing multi -use Development, it is anticipated that the definitive Development Agreement will contain provisions addressing a variety of forms of public assistance that may be necessary in order to accomplish the Development. Although no commitment is presently being made to provide any form of public assistance, examples of public assistance which may be ultimately be agreed upon may include, but are not limited to, the following: a. Site Assembly & Land Write -Down. The City may consider acquisition of some or all of the Development Property based upon terms and conditions contained in the Development contract. Acquisition may be through negotiated purchase, or, after a good faith effort to acquire the site, condemnation or a combination. Acquired properties may be conveyed to the Developer at a write -down, subject to all of the applicable provisions of law. The write -down price may take into consideration any pending or levied special assessments. The difference between the City's assembly costs and the sale price may be paid to the Developer out of Project tax increment. b. Grant. The City, as well as other outside sources such as the Metropolitan Council may be requested to provide grants and /or loans in the form of cash to permit the Developer to redevelop the Project. The City will cooperate with and support the Developer in any efforts to secure grants or similar funding. The use of any grant(s) and the amount of such grant(s) will not be known until the exact scope and anticipated use of the Project are finally determined and established, and the availability of certain types of grants, and a definitive budget for the Development Project are established. The parties will need to agree on how to address these matters prior to execution of any Development contract. c. Tax Increment Financing. The City, acting as the Economic Development Authority, may be asked to establish a tax increment financing district to support the Development Project; and agrees to give due consideration to any such request. d. Debt. The City may be asked to provide certain loans to the Developer to support the Development Project. Any agreement by the City to make such loans will be subject to the absolute discretion of the City and will also depend upon a clearly available source of funding, and appropriate security. 6. Developer's Proposed Use, Minimum Improvements. The minimum improvements will be made pursuant to plans, which are acceptable to and approved by the City as part of the final Development agreement. The minimum improvements will be substantially consistent with the Lino Lakes Town Center Design & Development Guidelines (Draft dated 10 /9 /00), incorporated herein by reference. 7. Ownership. It is expected that the final Development proposal will provide that the retail, office, and the rental housing portion of the Project (will be owned by the Developer or its assignees, and that certain condominiums, townhomes, or single family home sites will be sold by the Developer or its assignee to others. 8. Contemplated Development Schedule. It is expected that the Development Contract will address the following items which the parties acknowledge may be material to the Project: a. creation of a tax increment financing district, and determination of the portion of tax increment which will be made available to the Developer b. the acquisition of all or part of the Development Property by direct purchase or condemnation, on such terms and conditions acceptable to the City and as determined by the City in its sole and absolute discretion; c. Phase I and, if requested, Phase 11 environmental assessment. d. wetland delineation reports e. remediation of any environmental condition on the Property, prior to conveyance f. zoning modifications g. title commitment(s), for the Development Property h. soil test results i. ALTA 1997 survey, including all Table A optional requirements Nos. 1 through 16 inclusive j. reciprocal operating and easement agreements to provide the necessary access to permit construction of the Project, and to coordinate and facilitate vehicular and pedestrian ingress and egress to the Project and the joint use, maintenance and repair of all Project common areas, utilities and parking lots k. streetscape improvements depicted in the Lino Lakes Boulevard Framework Plan on the Project's streets. 3 -g 410 I. infrastructure (including but not limited to utilities, water, sanitary and storm sewer) necessary to support the Project. Affiliated Parties. The City acknowledges that the Developer may assign any or all of its duties hereunder to Dominium Development & Acquisition, Ryland Homes or another entity, which is controlled by William H. Beard and Paul Gamst. The City also acknowledges that William H. Beard and Paul Gamst are both owners of the Developer and are licensed real estate brokers in the State of Minnesota. The Beard Group, Inc. is a licensed real estate brokerage firm. Said entity or individuals may be entitled to real estate commissions and /or development fees arising out of the foregoing transactions. • • written. 11. Termination. This agreement may be terminated by the City upon the giving of written notice to the Developer that the Developer is not diligently pursing the Development of the portions of the property terminated. Developer shall have a reasonable time, but in no event less than 30 days to affect a cure of such default, or to demonstrate that it is diligently pursuing such cure. 12. Legislative Judgment. Developer understands that many of the actions which the City may be called upon to take require its reasonable discretion, and in some instances, its legislative judgment. Such actions may only be made following established procedures, and the City cannot agree, in advance, to any specific decision in such matters. 13. Notices.
