APPROVAL OF AGENDA The Board approved the agenda. OPEN MIKE No citizen comments were made. ACTION ITEMS A. I -35E Corridor Final AUAR Grochala stated the final AUAR had been approved by Council for final distribution to the State agencies. The agencies could file for an objection until the tenth day ending on Friday, October 14, 2005. Council vote for final approval was set for October 24, 2005. He clarified the purpose of the AUAR that it was not a land use plan or a Comprehensive Plan Amendment. It took the Comprehensive Plan to a more detailed level with more analysis in sewage and transportation issues. It analyzed two plans of development, when the City was fully developed. MNDOT had expressed concern that the infrastructure would be inadequate for Scenario 3. In 2008, a new Comprehensive Plan update was 1 DRAFT MINUTES ENVIRONMENTAL BOARD MEETING OCTOBER 12, 2005 required. This plan addressed how each piece fits into the entire region, and how to mitigate the issues that would arise. Chair O'Dea questioned if the next step would be to wait to see who would want to develop in the region. Grochala responded that they would, and address it against the plan. He added that Hardwood Creek wanted a change that required a Comprehensive Plan Amendment. Chair O'Dea inquired if a Comprehensive Plan change was discouraged. Grochala answered that property owners often requested changes and the Metropolitan Council required an update every ten years. Since 2002, there had been 2 -3 amendments approved. He indicated the Comprehensive Plan was a living document. Staff noticed two years ago that it was necessary to address the traffic issues. O'Connell mentioned how traffic was to be addressed in light of Hardwood Creek. Grochala responded MNDOT indicated they could not handle the volume of traffic. There was not enough infrastructure with the existing Comprehensive Plan. Hardwood Creek was only a component of it. County Road 14 and Interstate 35E was already not functioning well. There was a joint effort with Anoka County to begin the project. A monitoring program would be implemented. If there was no interchange, there would be no Hardwood Creek project. He indicated the City had applied for federal funding for an upgrade at Lake Drive and Interstate 35W, but explained the situation was highly competitive. The Hardwood Creek could be begun with development money, but local participation would also be necessary. The question remained would the system be able to handle the traffic when the entire region was fully developed. Hardwood Creek wanted an environmental assessment, so the City expanded the projections into the AUAR. Chair O'Dea stated that three communities converge at the intersection. Grochala stated the model took it into account. Without a regional document such as this one, decisions would be made on a micro - scale. He indicated that sanitary sewers were easy, but the real issues were stormwater management and traffic. Asleson commented on the quality of the analysis in the restoration and management plans. Grundhofer indicated the volumes of the recent rains have brought the issue of stormwater management to the forefront. Bauman noted that the AUAR could help with efficiently giving the developers the knowledge of the City's expectations. 2 DRAFT MINUTES • • • ENVIRONMENTAL BOARD MEETING OCTOBER 12, 2005 Grochala stated that this was volume control, and was the first time it had been intentionally addressed. Asleson added it was being dealt with adequately after eight years. Grochala noted that the AUAR was setting the limit, what were the resulting repercussions. They received good comments from the agencies. Dan Huff from the Friends of the Mississippi was invited staff to a meeting, but staff had already attended the workshop. Dan Huff indicated the organization had decided to concentrate on cities not adequately dealing with the issues. Grochala indicated that there was probably more internal struggle than with other agencies. He stated there was a 3 -2 vote for distribution, and commented it might not be approved. If approved, it would assist in the Comprehensive Plan update in the region. The other areas of the City were still unknowns. Kukonen asked for clarification that the scenarios were really aggressive. Grochala explained that each area needed a land use designation. They did not spend time analyzing the areas of low density. The focus was on the medium and high density areas, recognizing that things could change. Chair O'Dea questioned staff on comments that could be made to indicate the AUAR was a worst case scenario. She noted it was not explicitly stated that the scenarios were the extreme situation, and did not mean that development should occur this intensively. Grochala indicated there was no difference between the AUAR and the Comprehensive Plan for most people. Chair O'Dea clarified it needed to state that the AUAR was not and did not replace the Comprehensive Plan. O'Connell referred to page 5, "whenever a certain impact may or may not occur..." Grochala reviewed the requirement of the worst case scenario out of the Minnesota Rules. O'Dea mentioned it appeared the objections were that the document could not be supported, because the worst case scenario could not be supported. Grochala stated that the City now knew what could be mitigated, and the necessary measures for it. Kukonen inquired if "level of service standards" might come into play. Grochala affirmed that it would because the function of an intersection could be rated by measuring the time it takes to proceed through an intersection. In the mitigation plan, the levels of service standards were addressed on a global scale. He added the domino effect of micro - analysis was not good for long -term assumptions. In reviewing projects, if the developer met the requirements, the City did not have much of a margin of discretion. A developer could fund infrastructure improvements, or the project might not be approved because the present 3 DRAFT MINUTES ENVIRONMENTAL BOARD MEETING OCTOBER 12, 2005 infrastructure would be inadequate. Ultimate discretion would involve a Comprehensive Plan change. Bauman noted the control would not be with the AUAR tool, but with the Comprehensive Plan and the Zoning laws. Grochala stated a long range market analysis was done. Kukonen stated he could support it from a purely environmental standpoint. Asleson added that the surface water management was the primary concern. Kukonen referred to the Elm Crest area with 24th Avenue. Grochala clarified it was North of Hardwood Creek. Asleson stated the area was reviewed by a wildlife biologist. Kukonen noted there were no protection measures for the area in 11 -1 where rare animal and natural plant communities occurred. Asleson confirmed that there was a high quality wetland at that location. Grundhofer noted there were many birds in the Spring. Kukonen asked for clarification that it was conceptual, and they were not taking away the right to protect that area. After a brief discussion the motion was made by Bauman: The Environmental Board strongly supports the adoption of the final AUAR by the City of Lino Lakes. The Mitigation Plan within the document serves as an invaluable tool to identify and minimize environmental impact of developments. Adoption of the Final AUAR should not be interpreted or misconstrued as endorsing an aggressive development scenario. Grundhofer seconded the motion. Motion carried unanimously. 6. DISCUSSION ITEMS A. Hardwood Creek Update Grochala stated the Hardwood Creek representatives were requesting a Comprehensive Plan Amendment. Some information was updated since the last meeting. The were requesting MUSA to be extended, and were intending to conform to the AUAR parameters. The present amount of permanent open space was 27 -37% or 85 -95 acres. The open space was the tiled county ditch. The site is very large and the Comprehensive Plan Amendment was for mixed use. Planning and Zoning had reviewed the Comprehensive Plan Amendment, and had a special meeting recommending approval for a change of land use. Council 4 DRAFT MINUTES • • • • ENVIRONMENTAL BOARD MEETING OCTOBER 12, 2005 would be addressing the transportation issues on October 24, 2005. Staff did not believe it would be approved at that meeting, but would probably be tabled. Parts of County Road 21 would need to be upgraded. Rehbein was part of the team and they were planning to use innovative techniques to address the issues. Council had expressed concern over the number and type of housing units. The City wanted to integrate the high density. The developers wanted to create pocket parks. O'Connell stated that Heritage Ponds in Hugo had curb appeal. Grochala noted that they wanted to maximize the aesthetic design components. Market demands had changed, and they wanted to create a neighborhood mix with walkability to the commercial from the residential areas. B. Rice Creek Professional Building Grochala stated the building met the Shoreland District impervious requirement. There was little discretion for permitted uses, and so the plan went through the staff review and not the boards and Council. The process began in April, with permits in July. He indicated Asleson had expressed concern on infiltration issues on the site, but Rice Creek Watershed District was the permitting body for it, and had addressed many of the issues. The height requirement was met, and was under 35 feet. Chair O'Dea inquired since the Board did not make decisions, what would the harm be to obtain input from the Board. Grochala responded with the question, if the Board made recommendations that were not followed, what would be the perception. O'Connell referred to the Dairy Queen example with the lighting issue. O'Dea added that the people on the Board bring unique views. Perhaps similar sites could be brought to the Board as a discussion item, but not an action item. Asleson stated that there were some things he could miss in a staff review. Chair O'Dea asked for clarification that there were garages located underneath the building. With tuck -under garages, there were often issues of plowing and the resulting runoff. Grochala answered that the ponding areas were located between the building and the lake. Kukonen stated that the ponds might be too close to the lake. Grochala noted the site was about 6 acres of upland with about 30,000 square feet • buildable land. ADJOURN It was noted that the next meeting of the Environmental Board will be on November 30, 2005. Transcribed by: Brigette Biesi TimeSaver Off Site Secretarial, Inc. 6 DRAFT MINUTES • Agenda Item 5A Environmental Board Meeting Date: October 26, 2005 Topic: JADT /Lino Lakes Commercial Center /Sheet Metal Workers Credit Union/ Preliminary Plat Site Plan Review Background: The Sheet Metal Workers (SMW) Federal Credit Union has submitted plans for a building on the JADT site. The Environmental Board did a review for the JADT site in 1998. There were no specific individual site plans reviewed at that time. At that time the surface water plan for JADT was reviewed and approved by the RCWD. SMW is located on Lot 1, Blk 1 of the JADT 2nd Addition Plat. The SMW parcel is 2.756 acres in size. A cover letter from HTG Architects is included as Attachment 13. This site is located between the Wells Fargo Building now under construction and the multi- tenant building with Subway in it. Analysis: Lot Statistics • The lot area developed is 2.72 acres. There is 50.2% impervious cover or 1.36 acres and 49.8 % pervious cover or 1.35 acres. • Surface water TKDA will be reviewing the Stormwater Management Plan site for conformance to the previously accepted plan. Landscape The submitted landscape plan (Attachment 6) should be compared to the previously accepted plan of September 18, 2003 (Attachment 9) for conformance. This is important because the 2003 plan was the agreed upon minimum number of tree replacements on this site. The ponds at predevelopment were entirely wooded. Please note that there is now a retaining wall (Attachment 3 & 4) in the new landscape plan. The tree replacements of the 2003 plan must and can be accomplished by using the sloped areas of the pond. Species in the plan should conform to the species selected in the approved 2003 plan. Bur Oak is the selected tree species along Apollo Drive, therefore Bur Oak should be planted on Apollo Drive along lots 2 and 3. The landscape plan should show a ground cover plan as demonstrated in the 2003 plan. That is, the ponds should show the area planted with the City native seed mix sod areas should be shown and irrigation shown in all the sod areas. The seed mix labels must be verified by the City before seeding begins. The developer should hire a landscape company knowledgeable and experienced in the installation and maintenance of native seed mixtures. This landscape company should be hired for a minimum of three to five years and be an approved company to manage native vegetation by the City of Lino lakes. Since it has been some time since the ponds were constructed, the area is now inundated with non - native noxious plants. These plants should be total - killed prior to replanting the native mixtures. Infiltration areas should be constructed using low soil- compaction equipment. Any turf areas should be thoroughly tilled after top soil is spread. Tilling should be as deep as possible into the subsoil. Verification of this cultural practice should be done by the Environmental Coordinator. Some escrow should be held on to for this work. Tree Preservation Three large red oaks remain on the property. These trees were agreed upon to be saved. These oaks must have enough room to survive. An area equivalent to 1 foot of undisturbed area per diameter inch of tree is the minimum standard for needed tree space. The save area that the trees are located in appears to have the curb area almost bisecting at least one of the tree centers. Up to 50 % of the root zone of this tree will be impacted and most likely the trees will not survive, nor be firmly rooted enough to withstand wind storms. Regardless of the space concerns for these trees, the grading plan states that "The existing trees to remain, protect from damage." The developer should state how they are going to do this. There is also an oak tree that was saved in the Northern pond area. Any reconfiguration of this pond should leave an undisturbed area around this tree equivalent to the above stated standard or the tree should be replaced with a similar size and species. Lighting Attachments 11 and 12 show the lighting plan and fixtures. Light fixtures appear to be recessed, glare cut -off types of fixtures. Site plan photometric appears to be in conformance with City standards, Impervious areas The developer has indicated the required number of parking stalls is 88, and the proposed is 93. Although the proposed additional lots is more than required, the total number of lots is actually down in numbers from the 2003 proposal of 102. Recommend that the developer keep the new figure down to the minimum. Note: This a planned shared - parking area. Erosion Control Somewhere on the Erosion control plan, it must be indicated where on site the erosion control plan will be located along with the required weekly, and post rainfall events inspection reports. A contact and phone number should also be listed for the responsible on site NPDES supervisor. Maintenance notes indicate • • • that action will take place after silt fences are 1/2 full. This should be changed to 1/3 full and repaired within 24 hours of documentation. It should be noted that additional rock will be stockpiled or brought in should the rock entrance become non - functional due to rock space filling. All Storm sewer catch basins installed on the site must be protected from sediment deposition with an approved City device such as the Royal Infrasafe Collection Device. Best Management Practices A BMP plan was also submitted from Target (Attachment 10). JADT should duplicate this or work jointly with Target/Kohl's. A written plan on how this will be accomplished must be submitted to the City for approval. Options: 1. Approve recommendations and comments 2. GENERAL: SMW Federal Credit Union is proposing to build a new facility in lots 2 and 3 of the JADT Development at the intersection of Access Outlet and Apollo Drive. The Auto -bank (drive -up) has more than 100' of vehicular stacking space, or room for approximately 5- vehicles per lane. The YMCA site is located at the SE corner of the round -about and bordering the Rice Creek Regional Park (Attachment 16). Analysis: Pervious /Impervious / %Open Space All calculations for pervious, impervious, %open space was calculated for the project as a whole and within the context of the Environmental Assessment Worksheet, the Surface Water management plan, and permit requirements of the RCWD. Please note there is a proposed park area in the NE corner of the project. It is not labeled as such, but it is located in the square area immediately East of the Northern most parking lot. Surface water SEH will be reviewing the YMCA site for conformance to the previously reviewed and accepted plan. As part of the plan (but not shown on the plan), it is noteworthy to point out there will be two Stormwater /infiltration tanks located under the parking lot West of the building. Directly over these chambers there are two islands. These islands are shown with trees landscaped in them. It is possible to design these two islands as depressional to capture additional water draining the parking lot. I would recommend this change be looked at and a designed rain garden be installed should these islands become depressional. It is not recommended to plant trees directly over these Stormwater collection tanks. Landscape Infiltration areas should be constructed using low soil- compaction equipment. Any turf areas should be thoroughly tilled after top soil is spread. Tilling should be as deep as possible into the subsoil. Verification of this cultural practice should be done by the Environmental Coordinator. Some escrow should be held on to for this work. There are several suggested changes to the proposed landscape plant material pallet. I highly recommend changing some of the Autumn Blaze Maples to Northern Pin Oak. The Pin oaks will give the same appearance of bright fall color and are indigenous natives. Unless the YMCA is committed to a very rigorous pruning schedule with the Autumn Blaze there could be an expected loss of some of these trees 10 years down the road due to storm and wind • • • damage. I would also like to see some White or Bur oak substituted for Fall Gold ash. We have removed Fall Gold Ash from our planting list because of massive tree failure after a few years. This was experienced in Lino Lakes and in other municipalities in Minnesota. One of the original intents of the Village was to meld the landscape into that of the Regional Park. Therefore the same substitutions of Oaks for Willows could be made. The Niobe Weeping willow is not native. The proposed Scotch Pine and Austrian Pine should be changed to Red Pine and White Pine. Again we have used native trees in the past and experiences tree failure due to secondary stresses of Scotch and Austrian Pine. More trees (native oak, hackberry, green ash, cherry, red maple) should be designed along the area to the south bordering the wetlands that lost trees due to project clearing. Under the planting notes, loamy backfill into the planting holes should be avoided. This sets up the same soil- interface problem that is observed on all of our traditional landscaped sod areas where top soil is not incorporated into the subsoil. Trees should be backfilled with existing soils. In conjunction with this, turf areas should be thoroughly tilled after top soil is spread. Tilling should be as deep as possible into the subsoil. Verification of this cultural practice should be done by the Environmental Coordinator. Some escrow should be held on to for this work. Ponds and restoration South of the trail should show the area planted with the City native seed mix. Sod areas should be shown and irrigation shown in all the sod areas. The seed mix labels must be verified by the City before seeding begins. The developer should hire a landscape company knowledgeable and experienced in the installation and maintenance of native seed mixtures. This landscape company should be hired for a minimum of three to five years and be an approved company to manage native vegetation by the City of Lino lakes. Tree Preservation The YMCA should submit a detailed plan that identifies significant trees within 50 feet of their construction area. Clearing of trees within the construction area of the YMCA has already occurred, so trees remaining in the perimeter of the area should be shown on their Tree Preservation Plan with adequate fencing to stop equipment from damaging the trees within the tree protection area. This fencing must be installed before construction of the YMCA begins. Lighting Attachment 8 is the lighting plan. Light fixture types will be common throughout the PUD. Erosion Control • Somewhere on the Erosion control plan, it must be indicated where on site the erosion control plan will be located along with the required weekly, and post rainfall events inspection reports. A contact and phone number should also be listed for the responsible on site NPDES supervisor. It should be noted that additional rock will be stockpiled or brought in should the rock entrance become non - functional due to rock space filling. All Storm sewer catch basins installed on the site must be protected from sediment deposition with an approved City device such as the Royal lnfrasafe Collection Device. Geotextal fabric will tend to plug -up and not drain efficiently during large rainfall events. Best Management Practices /Impervious Areas A BMP for post development maintenance needs to be addressed. The plan should address Woods Edge as a whole and address the BMP's of Target/Kohls as well as the landscape materials and features of the development. YMCA should have an understanding of this need and be a willing cooperator. The plan should call out for plant replacement, plant irrigation and maintenance, surface water treatment feature inspection and repair, litter pick -up on a timely basis. Conservation Easement A Conservation Easement should be written somewhere through, if not all of the area to the SE and going to the South of the proposed trail length due South of the building. The City owns the YMCA property and there is already written agreement that such a conservation easement should be written before transfer of property ownership. This easement should name the City as the easement holder. The City will determine the exact location of the easement. The YMCA has a need for some outdoor recreation equipment so the easement will be written so that there is allowable recreation use in a designated area of the Conservation Easement. Signage should be placed along the perimeter of this easement indicating the location of the easement and that no cutting, dumping or filling should occur beyond the signs. A minimum amount of cutting or underbrush clearing most likely will be allowed in the recreation area of this easement. See Attachment 17 for more detailed view of the Proposed Trail, and Attachment 16 for the Conservation Easement area. Trails A trail system is planned for the Woods Edge project and extends to the South through the Regional Park. A portion of this trail is shown on the plan sections. This trail is located in as less intrusive of a place as possible, and should be a very nice link into the Regional park. All trees were surveyed in and the trail was placed in places that avoid as much tree removal as possible. Care was taken to ensure that the trail was not placed in ecological edge areas. Options: 1. AUNOL0305.03 DATE 08/03/05 DRAWING NO. 1 • • • Environmental Memo To: Michael Grochala From: Marty Asleson CC: Jeff Smyser Date: April 3, 2002 Re: Environmental Board Review /Recommendations /Stoneybrook Preliminary Plat The Environmental Board made the following recommendations of the Stoneybrook Preliminary Plat, at the March 27, 2002 Environmental Board Meeting: • O'Connell made a motion, seconded by Halen to deny the Stoneybrook Preliminary Plat proposal. • The developer needs to contact and send plans to the St. Paul Regional Water Utility and Vadnais Lakes Watershed District. If the development should go on for approval, than the Environmental Board made the following recommendations: • To pass on all staff recommendations highlighting the use of water quality design 1. Water basins and surface water management areas should be protected from compaction and planted with a buffer of native plants. 2. Basin filtration capacities should be enhanced with organic bed establishment in flow areas. 3. A sequencing and management plan should be submitted for all resource protection issues during construction and post development. Sequencing should include protective fence installation for trees and soil /wetland areas. Sequencing should include specific times the fencing will be removed. • Page 1 • • Sequencing should establish soil budgets and soil protection areas where possible, and the manner and location in which soils will be disturbed for general grading and utility installation. Sequencing should establish a place for concrete truck cleaning, and establish a time the cleaning area will be cleaned up post construction. Sequencing should include all issues that may result in disturbance or changes to an established tree or soil, wetland or surface water areas be addressed with City Staff before changes occur. Sequencing should establish equipment and materials staging. Sequencing should establish a method to restore soils to pre development densities where compaction is not necessary for civil engineering purposes. Management should include a plan to enforce buffers and include signage along property lines that inform no- mow /no- disturbance. The City should approve signs. Seed for buffers should be in accordance with City seed lists. A City approved contractor experienced in native plant establishment should plant buffer area. A three to five year contract should be established, and approved by the City, with a company experienced in native plant management. Covenants should be established with the HomeOwners Association prohibiting encroachment into buffer areas. An information sheet should be distributed to homebuyers at the pre - purchase time informing them of the buffers. This information sheet should be acceptable to the City of Lino Lakes, and proof given of pre- homeowner acknowledgment of receipt of the information sheet. Management should establish, and show that no changes to the surface or ground water will occur in the areas off the site to the West of the Preliminary Plat. No soils should be removed or imported to this site with out City approval. • Buffering should be provided for the pipeline easement in the NE corner lots. • Street lighting should be downward focused, and "no- spill." • A substitute should be used for the proposed Colorado blue spruce in the buffer along Birch Street. If evergreens are desirable, than white spruce would be better. Environmental Board Comment: As long as the Developer is asking for a rezoning, would he consider asking for a PDO to preserve open space, following the principles of development from the Handbook for Environmental Planning and Conservation Development? • Escrow Dollars should be received for: 1. Soil restoration • Page 3 CONSERVATION EASEMENT THIS CONSERVATION EASEMENT ( "Easement ") is made of this day of , 2003 by Tollefson Development, Inc., a Minnesota corporation ( "Grantor "). RECITALS A. Grantor is the owner of that certain real property lying and being within the County of Anoka, State of Minnesota legally described on attached Exhibit A (the "Property"); and • B. The City of Lino Lakes, Minnesota ( "Grantee ") is a Minnesota municipal corporation. C. Grantor desires and intends to grant and convey to Grantee, a conservation easement for the purposes set forth in this instrument, all as more fully set forth herein. WITNESSETH NOW, THEREFORE, for good and valuable consideration, the sufficiency of which is hereby acknowledged, Grantor hereby grants to Grantee a non - exclusive conservation easement over, under and across that portion of Grantor's Property legally described on attached Exhibit B (the "Easement ") on the teens and conditions set forth herein. The Easement area is depicted by a sketch attached hereto as Exhibit C. Exhibit C is for illustrative purposes only, and the legal description of the Easement contained in Exhibit B shall control. Section 1. Conservation Easement. 1.1 Grant. Grantor herewith grants to Grantee a conservation easement for the purposes, and subject to the terms herein specified, over and upon the Easement area legally described in Exhibit B. 1.2 Purpose. The purpose of the Easement is to assure that the Easement area shall, at all times hereafter, remain in its current undisturbed condition, constitute scenic surroundings, and constitute a suitable habitat for wetland vegetation and/or wildlife. This conservation easement shall in no way be construed so as to grant to the public any rights to use or improve the Easement area for any other public or private purpose. 1.3 Building Restrictions. No buildings or other structures of any kind, and no fences, roads, signs, poles, no wires, or other material of any kind shall be erected, installed, constructed, placed, or allowed to be erected, installed, constructed or placed on or within all or any portion of the Easement area. Pnaa 1 ref 6 . 1.4 Restriction on Removal of Vegetation. No trees, shrubs, or other vegetation shall be removed om the Easement area except for noxious weeds or for purposes of tree disease control by, or as directed by, a governmental agency. • 1.5 Storage Restrictions. No storage of any manmade objects, and no soil, trash, waste, or other materials or substances of any kind shall be dumped or placed, or allowed to be dumped or placed, as fill or for any other purpose, upon any portion of the Easement area. 1.6 Excavation Restriction. No soil or other material or substance shall be excavated, dredged, or removed from any part of the Easement area. 1.7 General/Environmental Restrictions. No activities detrimental to the drainage, water conservation, erosion control, soil conservation or wildlife and vegetative habit preservation of the Easement area, and no other activities detrimental to the preservation of the said area, shall be conducted or permitted on all or any part of the Easement area. No fertilizers, whether natural or chemical, no pesticides, herbicides, or insecticide may be sprayed or applied to the Easement area except by, or as directed by, a governmental agency. No surface use shall be made of all or any part of the Easement area which is detrimental to the preservation of its scenic beauty or its habitat for wetland vegetation and/or wildlife. 2. Maintenance. Grantor herewith grants to Grantee, its agents and employees the right, but not the obligation, to preserve, improve and enhance the slope, trees, vegetation, and natural habitat within the Easement area by altering, clearing, and removing trees or other vegetation, by changing the contour of the land, and by planting trees or other vegetation and to enter upon the Easement area at anytime to enforce •omPliance with the terms of this instrument. 3. Enforcement. 3d By Public Authorities. This Conservation Easement may be enforced, at law or in equity, by Grantee. • 3.2 By Private Parties. This Conservation Easement may be enforced, and any controversy or dispute involving the meaning of the language, or any term or condition, of this instrument, may be settled, in arbitration in accordance with the arbitration rules of the American Arbitration Association by a sole arbitrator. In addition to owners of any portion of the Property, Grantee shall have standing to initiate such arbitration proceedings. All owners of any portion of the Property, and Grantee, shall have the right to receive notice of the pendency of any such arbitration proceedings, and the right to participate therein. The arbitration proceedings shall be held in the Association's offices in Minneapolis, Minnesota, or at such other place as is agreed to by the parties. The arbitrator shall have the right, to be exercised in the discretion of the arbitrator, to award attorneys fees and costs to the opposing parties if the arbitrator determines that any party to any dispute or disagreement in connection with this instrument has acted in bad faith with respect to the Easement, the dispute, or the arbitration. Judgment upon any award rendered by the arbitrator may be entered in Anoka County District Court. Notwithstanding the foregoing, any person owning any portion of the Property, or possessing any rights hereunder, shall have the right to seek from Anoka County District Court equitable or provisional remedies (such as temporary restraining orders, temporary injunctions, and the like) before or after any arbitration. 4. Miscellaneous. 4.1 Severability. If any term, covenant or provision of this instrument, or any exhibit attached hereto, is held to be invalid or unenforceable for any reason whatsoever, such determination shall not be Page 2 of 6 deemed to alter, affect, or impair in any manner whatsoever any other portion of this instrument or any exhibit attached hereto. 4.2 Binding Effect. The Property shall be transferred, held, sold, conveyed, and occupied subject to and together with the Conservation Easement granted herein. The Conservation Easement shall be binding upon all parties having any right, title or interest in the Property, their heirs, successors and assigns, and shall inure to the benefit of each such parties and shall run with the land. 4.3 Duration. The duration of this Conservation Easement shall be perpetual. 4.4 Nonexclusive. The owners of any portion of the Property shall have the right to use the Easement area to the extent that such use is not inconsistent with the rights granted to Grantee by this instrument. 4.5 Title. Grantor represents and warrants that no other person has an interest in the Easement area other than Grantor, and that Grantor has good right, title and interest in the Property which is the subject to the Easement granted herein.
