The public hearing was opened and closed. There was no one in the audience to speak on the matter.) A. Consideration of Resolution No. 98 - 56, Authorizing the Issuance and Sale of $1,400,000 Industrial Development Revenue Bonds, Series A (Molin Concrete) and $2,000,000 Industrial Development Revenue Bonds, Series B (Molin Concrete) (Ms. Divine asked that the resolution be removed from the agenda pending new information from the State regarding industrial revenue bonds.) 4. The bonds are to finance the addition of two buildings, plus the purchase and installation of additional equipment. The Minnesota Municipal Industrial Development Act requires the city hold a public hearing and finalize the issuance of the bonds. Molin is receiving up to $3.4 million in both taxable and tax exempt bonds to finance the project. Industrial Revenue bonds are different from general obligation bonds in that the city is under no obligation with these bonds. In addition, all costs for issuance of the bonds will be paid by Molin. RESOLUTION AUTHORIZING THE ISSUANCE AND SALE OF $1,400,000 INDUSTRIAL DEVELOPMENT REVENUE BONDS (MOLIN CONCRETE PRODUCTS COMPANY PROJECT) SERIES 1998A AND $2,000,000 INDUSTRIAL DEVELOPMENT REVENUE BONDS (MOLIN CONCRETE PRODUCTS COMPANY PROJECT) SERIES 1998B TO FINANCE A PROJECT BE IT RESOLVED by the City Council of the City of Lino Lakes, Minnesota (the "Issuer "), as follows: 1. The Issuer has received a proposal from Molin Concrete Products, a Minnesota corporation (the "Company ") that the Issuer undertake to finance a certain Project as herein described, pursuant to Minnesota Statutes, Sections 469.152 through 469.165 (the "Act "), through issuance by the Issuer of its $1,400,000 Industrial Development Revenue Bonds (Molin Concrete Products Company Project) Series 1998A and $2,000,000 Industrial Development Revenue Bonds (Molin Concrete Products Company Project) Series 1998B. The Series 1998A Bonds and the Series 1998B Bonds are collectively referred to as the "Bonds ". 2. It is proposed that, pursuant to a Loan Agreement dated as of May 1, 1998, between the Issuer and the Company (the "Loan Agreement "), the Issuer loan the proceeds of the Bonds to the Company to finance a portion of the costs of the construction and equipping of an approximately 16,000 square foot building at the Company's existing manufacturing facility at 415 Lilac Street, Lino Lakes, Minnesota the "Project "). The basic payments to be made by the Company under the Loan Agreement are fixed so as to produce revenue sufficient to pay the principal of, premium, if any, and interest on the Bonds when due. It is further proposed that the Issuer assign its rights to the basic payments and certain other rights under the Loan Agreement to Norwest Bank Minnesota, National Association in Minneapolis, Minnesota (the "Trustee ") as security for payment of the Bonds under an Indenture of Trust dated as of May 1, 1998 (the "Indenture "). Payment of the Bonds is initially secured by an irrevocable Letter of Credit to be issued by Norwest Bank Minnesota, National Association in favor of the Trustee in an amount equal to the principal amount of the Bonds plus certain additional interest and premium, if any, thereon. The Bonds are intended to be privately placed with accredited investors by Norwest Bank Minnesota, National Association (the "Placement Agent "), pursuant to a Placement Memorandum (the "Memorandum ") and in accordance with a Bond Placement Agreement among the Issuer, the Company and the Placement Agent (the "Placement Agreement "). 3. Forms of the following documents have been presented to the Issuer and are proposed to be executed by the Issuer in connection with issuance of the Bonds: (a) The Loan Agreement 921019.1 2 (b) The Indenture (c) The Placement Agreement The use of the Memorandum is hereby authorized, but the Issuer has not participated in the preparation of or reviewed, and will not participate in the preparation of or review, the Memorandum and has not made and will not make any independent investigation of the facts and statements provided therein; accordingly, the Issuer assumes no responsibility with respect thereto, including without limitation as to matters relating to the accuracy, completeness or sufficiency of the Memorandum. 4. It is hereby found, determined and declared that: (a) it is desirable that the Bonds be issued by the Issuer upon the terms set forth in the Indenture; (b) under the provisions of Minnesota Statutes, Section 469.162, and as provided in the Loan Agreement and Indenture, the Bonds shall be and constitute only a special and limited revenue obligation of the Issuer, payable solely from the revenues pledged to the payment thereof pursuant to the Agreement and the Indenture; the Bonds shall never constitute an indebtedness, a moral or general obligation or a loan of the credit of the Issuer or a charge, lien or encumbrance, legal or equitable, against the Issuer's property, general credit or taxing powers; and no holder of any Bonds shall ever have the right to compel any exercise by the Issuer of its taxing powers to pay any of the Bonds or the interest or premium thereon, or to enforce payment thereof against any property of the Issuer except the interests of the Issuer in the Loan Agreement which have been assigned to the Trustee under the Indenture. 5. The Loan Agreement, Indenture and Placement Agreement are hereby authorized to be executed in the name and on behalf of the Issuer by the Mayor and City Clerk - Treasurer at such time, if any, as they in their discretion may deem appropriate. Any other documents and certificates necessary in connection with the issuance of the Bonds are similarly authorized to be executed and delivered by the appropriate Issuer officers. 6. The issuance of the Bonds in the form and upon the terms, including interest rate and maturity, set forth in the Indenture is hereby authorized. The offer of the Placement Agent to place the Bonds for sale with institutional "accredited investors" at par, is hereby accepted. 7. The officers of the Issuer are authorized to prepare and furnish to the Placement Agent certified copies of all proceedings and records of the Issuer relating to the Bonds, and such other affidavits and certificates as may be required to show the facts relating to the Bonds as such facts appear from the books and records in the officers' custody and control or as otherwise 921019.1 3 known to them; and all such certified copies, certificates and affidavits, including any heretofore furnished, shall constitute representations of the Issuer as to the truth of all statements contained therein. 8. The approval hereby given to the various documents referred to above includes approval of such additional details therein as may be necessary and appropriate and such modifications thereof, deletions therefrom and additions thereto as may be necessary and appropriate and approved by the Issuer officials authorized herein to execute said documents prior to their execution; and said Issuer officials are hereby authorized to approve said changes on behalf of the Issuer. City Clerk 921019.1 5 AGENDA ITEM 4 A STAFF ORIGINATOR: Mary Kay Wyland DATE: 4/22/98 TOPIC: Resolution No. 98-61 Comprehensive Plan Amendment to allow MUSA Designation at 415 Lilac Street ( Molin Concrete) to facilitate connection to City sewer (415th Vote) BACKGROUND: Molin Concrete is requesting MUSA designation to allow their facility to be connected to the City sewer which will soon be installed in front of their facility on Lilac Street (the project has been ordered by the City Council). The P and Z will recall recently approving an amended conditional use permit and site plan review for Molin to allow expansion of the use. The property consists of 54 acres and is Zoned General Industrial and Light Industrial and indicated as Industrial on the current and proposed land use plans. The property directly south is also Zoned General Industrial but is located within the MUSA boundary. These properties have requested the extension of sewer and water down Lilac to serve their businesses. Molin Concrete is also interested in the utilities expecially in like of their expansion efforts. We believe the Molin site would have been added to the MUSA upon completion of our overall Comprehensive Plan, however, that does not coincide with Molin's construction schedule. Staff has discussed this Comprehensive Plan Amendment with the Metropolitan Council and have been advised that they would look favorably upon the request. We believe this additional MUSA designation would come directly from the Metropolitan Council and not be taken from our existing Interim MUSA Reserve. It appears as if it would be in the best interest of both the applicant and the City to have this facility connected to city utilities, therefore, we would recommend approval of this Comprehensive Plan Amendment. The Planning and Zoning Board held a public hearing on April 8, 1998 to review this item and recommended approval. OPTIONS: 1. Adopt Resolution 98-61 approving MUSA expansion to allow connection to City utilities for Molin Concrete. 2. Return to staff for further consideration. There current septic system is failing and City sewer is in front of their property at Lilac and Apollo Drive. The Douglas' would like to connect their existing home to City sewer. Their property is currently zoned Rural and outside the MUSA boundary. The site is indicated as single family residential on the City's current land use plan. The proposed land use plan for the area indicates this site as general commercial and light industrial. Construction of a new on -site system in this location when city sewer is available does not seem reasonable. Staff has reviewed this request and would recommend the addition of this area to the MUSA to facilitate the connection of the existing single family home. We have discussed the amendment with the Metropolitan Council and have been encouraged to proceed with the amendment on an emergency basis. This amendment would serve only the existing homestead. The Planning and Zoning Board held a public hearing on April 8, 1998 and recommended approval of this request. OPTIONS: 1. Approve Comprehensive Plan Amendment to Add MUSA to 450 Lilac 2. Rd. J.) just west of Woodridge Drive. The Church has purchased a garage from the old Arsenal Site in Arden Hills and would like to move it onto their property for storage purposes. The garage would be located just north of the existing building as shown on the enclosed site plan within the setback requirements of the District. The Church property is Zoned R -1X Single Family Executive and churches are allowed by conditional use permit. According to the Zoning Ordinance, the proposed garage would be considered a permitted accessory use "incidental and customary to the uses permitted..." and the moving in of a building would require this site plan review. The subject property is indicated as single family residential on the current and proposed land use map. The Building Official and I have inspected the garage to be relocated and found it to be structurally sound and in good repair. The building is a 20 x 20 two door garage with side windows and 8" masonite siding. The intention is to paint the building to match the existing church. Staff would recommend approval with the following conditions: 1. Proper building permits are obtain and the structure is located according to UBC Standareds. 2. The building be painted to match the existing church structure. 3. The building be secured as recommended by the CPTED Officer. 4. The general drainage plan for the site be maintained and subject to the review of the City Engineer. The Planning and Zoning Board reviewed this item at their April 8, 1998 meeting and recommended approval with the conditions listed above. OPTIONS: 1. Staff review reveals that Universal Outdoor Inc. has substantially complied with the City regulations governing advertising signage. Based on this review, we are recommending the nine interim permits for advertising signage be approved with the following conditions: 1. Applicant identify the homes nearest to the proposed sign sites and demonstrate compliance with the 750 foot setback. 2. Applicant demonstrates that sign No. 1 meets the 1,200 foot setback requirements from the adjoining GB District. 3. A separate interim use permit for each affected property. The permit outlined that the signs shall be removed if the site is rezoned or redeveloped to add another principal use. Sign removal shall be the responsibility of the property owner and the applicant. Both the property owner and the applicant shall sign the approved interim use permit. 4. In light of the anticipated land use planning along I -35E, we would ask the applicant to reconsider the location and construction of Signs 1 and 2. 5. Sign construction plans be subject to review and approval of the City Building Inspector. 6. Applicant provide the City with copies of approved off - premise advertising device permits from MnDOT. ISSUE AND ANALYSIS Section V.E.3 outlines the conditions that must be met to accommodate advertising signs within an R -BR Zoning District. Setbacks. 1. Must not be within seven hundred fifty (750) radius feet of an existing residential structure or other advertising structure in a non - freeway area. Neither the site plans or the site location plan submitted by the applicant demonstrate the location of the nearest residential structure. The applicant should indicate the locations of the nearest homes in the area and verify that the aforementioned setback is satisfied. 2 Must not be closer than seven hundred fifty (750) radius feet of another advertising structure. Shall not be closer than twelve hundred (1,200) feet to another such advertising structure on the same side of an interstate freeway. For the purpose of this Ordinance, a back -to -back or V -type sign shall be considered as one structure. The applicant's site plans place the proposed signs in 1,200 foot intervals, measured from 80th Street North. The proposed signs are compliant with the required setback between advertising structures. 3. Must not be closer than twelve hundred (1,200) feet from any adjoining zoning district. Based on the plans submitted, Sign 1 displays a setback of Tess than 1,200 feet from the GB, General Business Zoning District to the south. The applicant should verify that the sign is placed at least 1,200 feet from the GB Zoning District. Sign Area. Maximum size of sign shall not exceed 675 square feet. The proposed signs have a sign area of (14 feet by 48 feet) 672 square feet and a height of 40 feet in accordance with sign ordinance standards. Site Area and Width. The site on which the sign is located shall comply with all area and width requirements of the base zoning district. The proposed sites all meet or exceed the R -BR lot area and width requirements. The signs display proper setbacks from the lot lines. Sign Removal. Removal of the sign shall be required with the rezoning of the site or redevelopment to add another principal use. Based on discussion during the comprehensive plan update, commercial and industrial expansion is anticipated to extend north along I -35E during the next 10 years. This expansion will likely encompass Signs 1 and 2. If this occurs, the signs may need to be removed after only a short period of time. In recognition of these circumstances, the applicant may wish to reconsider the location and construction of Signs 1 and 2. The interim use permit runs with the property. In this respect, it is important that both the property owner and the applicant be aware that upon rezoning or redevelopment of the site, the interim use signs must be removed from the site. The dismantling and removal of the sign is the responsibility of the property owner and applicant. In this respect, the terms, conditions and responsibility for removing the signs will be described in detail in the interim use permits. Additionally, the City should require both property owner and applicant to sign the interim use permit. It would be advisable that the property owner have the conditions for sign removal also included in their lease agreements. Sign Construction. The sign construction plan should be submitted for review and approval of the City Building Inspector. MnDOT Approval. In accordance with the Minnesota Outdoor Advertising Control Act, 1971, the Minnesota Department of Transportation must approve all advertising signs located along interstate freeways. As a condition of the interim use permit, the applicant must provide the City with written MnDOT approval for each sign being proposed. CONCLUSION Based on the preceding review comments, City staff is recommending approval of the nine interim use permits for advertising signs along I -35E subject to the conditions outlined in this report. Its permission'and limited power of 2itfomey to act in its behalf for the purpose of performing every act deemed necessary to Lessee to apply for and secure at its own expense the state and local building and sign permits, zoning variances, special uses, or changes in the zoning law relating to signs, necessary to erect, maintain and modify the advertising sign structure on the leased premises. This Lease is subject to the Lessee receiving the necessary Local and State permits needed to construct said structure. Lessor gives Lessee its permission to cut, trim or eliminate trees or other vegetation which in the opinion of Lessee is an obstruction to the visibility of the sign face(s). 5. All structures, displays and materials placed upon the Leased Premises by Lessee are Lessee's trade fixtures, trade names and trademarks, and shall be and remain Lessee's property, and may be removed by Lessee at any time prior to or within a reasonable time after the termination of this lease or any extensions thereof. Without Lessee's prior written consent, Lessor agrees that no liens or encumbrances may be placed upon or be permitted to remain upon Lessee's personal property. 6. Lessee shall indemnify and hold harmless Lessor from all liability to persons or property by reason of accidents resulting from the negligent acts of Lessee, its agents, employees or others employed in the erection, maintenance, operation, repair or removal of the advertising sign structure. 7. Lessor represents and warrants that it is the owner or title holder of the Leased Premises or the agent of such owner or title holder and has full authority to execute this lease and agrees to indemnify and save harmless Lessee from any and all claims and /or liability caused by Lessor's breach of this warranty. 8. In the event that: (a) the advertising sign structure becomes partially or entirely obstructed; (b) the value of the location for advertising purposes becomes diminished by change in highway or traffic conditions; (c) necessary state or local permits are refused or invalidated; (d) erection, maintenance, illumination or modification of the sign structure is prevented or restricted by state or local statute, rule, ordinance or regulation presently in effect or subsequently enacted, thereby diminishing the value or increasing the cost of Lessee's use of the Leased Premises for advertising; or (e) for any other legitimate reason Lessee has the option on ten (10) days' notice to Lessor by registered mail to reduce the rental required under paragraph 3 in proportion in decreased value of the Leased Premises for as long as such impairment continues, or Lessee may terminate this lease on ten (10) days' notice to Lessor by registered mail. Further, if such an obstruction or impairment is the fault of Lessor or its tenants, agents, employees, or other persons acting on Lessor's behalf, Lessee shall have the right to remove such obstruction or other impairment on ten (10) days' notice to Lessor and set -off against future rental payments to Lessor the cost of such removal or reduce the rent under paragraph 3 to five dollars ($5.00) per year so long as such obstruction or impairment continues. 9. This lease shall inure to the benefit of and be binding upon the personal representatives, successors, and assigns of parties hereto. Upon request, the parties agree to execute a recordable memorandum of this lease and further agree to execute any documents necessary to effectuate this, lease, including any documents necessary for the assignment of this lease. This lease may be assigned by either party without prior notice to or approval of the other party. 10. This lease, including each exhibit and addendum, attached hereto shall constitute the sole agreement of the parties relating to the leased premises. Neither party will be bound by any statements warranties, or promises oral or written, unless such statements warranties, or promises are set forth specifically in this lease. 11. If any provision of this lease is or becomes illegal, invalid or unenforceable because of present or future statutes ordinances, rules or regulations of any governmental authority, or becomes unenforceable for any reason, the intention of the parties hereto is that the remaining provisions of this lease shall not be effected. 12. The Board shall: (1) Develop plans for the physical development of all present and future city parks, based on the projected recreational needs of the city and its citizens. The plans shall include a topographical lay -out of the park and all facilities, plus development cost estimates, a proposed development time schedule, and an annual operating budget. (2) Develop policies and plans for a long -range city park acquisition program. The plan shall be consistent with the city's land use comprehensive land and park land dedication policy. The completed program shall include probable needed park locations, sizes and facilities plus acquisition and development cost estimates to include landscaping and equipment felt necessary and policy statement supporting the long -range plan. (3) Develop policies concerning recreational use of city park facilities. (4) Gather information concerning the conditions and trends in the provision of quality leisure services both current and prospective, with the purpose of determining whether or not such conditions and trends are appropriate with the goals of the city. (5) Develop and recommend to the council policies to foster and promote the improvement of leisure services and meet the social, economic, health and other requirements and goals of the city. (6) Report not less than once each year to the council on the state and condition of parks and recreation in the city and on the work of the board. (7) Make and furnish such studies or reports thereon and recommendations with respect to matters of policy and legislation as the council may request. (8) Examine and make recommendations on all park sites proposed to be dedicated to the city by those proposing to plat lands within the city and those who propose to give lands to the city for parks. (9) Make recommendations on the care, maintenance and development of existing parks. (10) Act as liaison between the council and people or organization which may wish to use, care for, have recommendations for the use of parks, or donate personnel, monies or equipment for parks and recreation in the city. (11) Work with the county on development of county park space within the city and county. (12) Review engineering and site plans for city improvements that may in any way change the characteristics of any city park or proposed park land. 211.04 Appointment and Compensation of Members The Board shall consist of seven (7) members and they shall be appointed by a majority of the Council and shall receive a quarterly salary of $150.00 ($50.00 per meeting) with the chair of the Board to receive $225.00 per quarter ($75.00 per meeting) consistent with the mayor /council relationship. Preserve and enhance water conveyances, water quality, and wetland habitat 5. Preserve and establish a healthy urban forest. 6. Promote bio- diversity (2) Review land use and development proposals, for compliance with the natural resource regulations, ordinances, and landscaping and forestry needs, and make recommendations for improvements and the mitigation of environmental impacts. (9) Cooperate with other municipalities, counties, state agencies and watershed groups on matters of environmental issues. Provide for environmental community education programs. Submit grant proposals to raise money for projects. Serve as a resource to other City advisory boards. Hold public meetings to address environmental issues. Develop and recommend to the council policies, ordinances, and procedures for the management, of natural resources and conservation development. Make recommendations on the planning, development, maintenance, and budget needs of natural, native, forest, and botanical improvement projects that are consistent with the Environmental Management Plan; and recommend a budget for materials, human resources, and equipment to provide for support of these functions. Arbor Day is traditionally set aside on the last Friday of April. We have for the last several years worked cooperatively with Lino Lakes Elementary in hosting an official Arbor Day Celebration. This year the celebration will be at Lino Lakes Elementary on Friday the 5th of May. The attached proclamation establishes this date as Arbor Day Lino Lakes, and recognizes the official day one week earlier. OPTIONS: 1. The project has been separated into phases such that the trunk utility improvements can be more closely coordinated with the residential subdivision development. This first phase of the project is located on the north side of Lilac Street from Appaloosa Lane to Mustang Lane(Laurie Avenue); and on Mustang Lane(Laurie Avenue) from Lilac Street to 1100 feet north. On March 23, 1998 the City Council approved the plans and specifications and ordered the Advertisement for Bids. Thirteen contractors submitted bids for the project, the bids were opened at 10 :00 A.M. on April 22, 1998 at the City Hall. As shown by the enclosed bid tabulation, all of the bids which were received were below the Engineer's Estimate with S. R. Weidema having the lowest bid. The Engineer's Estimate reflected an expectation that the contract prices would rise due to the limited working space on Lilac Street and the construction time frame of about one month. S. R. Weidema is the lowest responsible bidder, the amount of their bid is $232,768.70. OPTIONS: 1. Sealcoating places a thin layer of oil and rock on the street to enhance the surface. Candidate streets include new streets that received the wear course 2 - 3 years ago and all other streets are done on a 5 - 7 year cycle. This year, approximately 7 miles of streets will be sealcoated at an estimated cost of $75,000. The 1998 budget includes $58,850 for sealcoating. It is proposed to fund the difference between the budget amount and the final bid amount from the City's Sealcoat fund that has a balance of approximately $300,000. City staff has prepared the plans and specifications for this work and are requesting Council approval to advertise for bids. OPTIONS: 1. Return to staff for further review. 2.
