1 <br />LA515\146\976114.v4 <br />PURCHASE AGREEMENT <br /> <br />This Purchase Agreement (“Agreement”) is made this ____ day of _____________, 2024 <br />(“Effective Date”), by and between Kathleen Jurek and Edward Jurek, married to each other <br />(“Sellers”), and the City of Lake Elmo, a Minnesota municipal corporation (“Buyer”). The <br />Effective Date, written above, is the date that the last party signed this Agreement. <br /> <br />1. PROPERTY. <br /> <br />A. Sellers are the fee owners of approximately 44.20 acres of real property identified <br />as Washington County PID 1502921410001 and legally described below (the <br />“Property”): <br /> <br />That part of the Southeast Quarter of the Northeast Quarter of Section 15, Township <br />29 North, Range 21 West, Washington County, Minnesota which lies southerly of <br />the North Three-quarters of said Southeast Quarter of the Northeast Quarter and <br />which lies westerly of the East 87.00 feet thereof. <br /> <br />Also, that part of the Southeast Quarter of said Section 15; lying northerly of the <br />north line of Trunk Highway 5 as evidenced by the document recorded in Book 246 <br />of Deeds, page 592; lying easterly of the West 1385.00 feet thereof; and lying <br />westerly of the East 87.00 feet thereof. <br /> <br />Also, that part of the Southeast Quarter of said Section 15, lying southerly of said <br />north line of Trunk Highway 5 as evidenced by the document recorded in Book 246 <br />of Deeds, page 592; lying northerly of the north line of the Chicago Northwestern <br />Railroad, formerly known at the St. Paul, Stillwater and Taylors Falls Railroad; and <br />lying easterly of the West 1385.00 feet thereof. <br /> <br />B. The Property is subject to and encumbered by the following encumbrances <br />(collectively hereinafter referred to as the “Existing Encumbrances”): (i) a lease <br />(the “Farm Lease”) by and between Sellers, as Landlord, and Paul Burandt, as <br />Tenant, for the production of agricultural crops upon the Property that terminates <br />on December 31, 2024; (ii) Trunk Highway 5 along the southerly line of the <br />Property, as evidenced by the document recorded in Book 246 of Deeds, at page <br />592, on file and of record in the Office of the County Recorder, Washington <br />County, Minnesota; (iii) an easement in favor of Northern States Power Company, <br />as described in Book 170 of Deeds, at page 14, on file and of record in the Office <br />of the County Recorder; and (iv) a road easement for Stillwater Lane, as described <br />in Document Number 417383, on file and of record in the Office of the County <br />Recorder. <br /> <br />2. OFFER/ACCEPTANCE. Buyer desires to purchase the Property. In consideration of the <br />mutual agreements herein contained, Buyer offers and agrees to purchase the Property, and Sellers <br />agree to sell and hereby grant to Buyer the exclusive right to purchase the Property, subject to the <br />Permitted Encumbrances as defined herein.
