Data Privacy. This contract is governed by Minnesota Statutes Section 13.05, subdivisions <br />6 and 11, the provisions of which are incorporated by reference into this contract. The City <br />agrees to give the Contractor access to data collected or maintained by the City as necessary <br />to perform the Contractor’s obligations under this Agreement. The Contractor agrees to <br />maintain all data created, collected, received, stored, used, maintained or disseminated by <br />the Contractor consistent with the requirements of the Minnesota Government Data <br />Practices Act, Minnesota Statutes Sections 13.02, et seq. (the “Act”). The Contractor will <br />not release or disclose the contents of data classified as not public to any person except at <br />the written direction of the City. The Contractor agrees to defend and indemnify the City <br />from any claim, liability, damage or loss asserted against the City as a result of the <br />Contractor’s failure to comply with the requirements of this paragraph; provided that the <br />Contractor shall have no duty to defend or indemnify where the Contractor has acted in <br />conformance with the City’s written directions. <br /> <br />13. Governing Law. The laws of the State of Minnesota shall control this Agreement. <br /> <br />14. Severability. The provisions of this Agreement are severable. If any portion of this <br />Agreement is, for any reason, held by a court of competent jurisdiction to be contrary to law, <br />such decision will not affect the remaining provisions of the Agreement. <br /> <br />15. Entire Agreement; Amendments. This Agreement constitutes the entire Agreement <br />between the parties, and no other agreement prior to or contemporaneous with this Agreement <br />shall be effective, except as expressly set forth or incorporated herein. Any purported <br />amendment to this Agreement is not effective unless it is in writing and executed by both <br />parties. <br /> <br />16. No Waiver by the City. By entering into this Agreement, the City does not waive its <br />entitlement to any immunities under statute or common law. <br /> <br />[signature page to follow]
