-5- <br />the impacted event with other acceptable recycling efforts as outline in Exhibit A of this <br />Agreement. <br />15.Conflict of Interest: <br />Grantee affirms that, to the best of its knowledge, this Contract does not present a <br />conflict of interest with any party or entity, which may be affected by the terms of this <br />Contract. The Grantee agrees that, should any conflict or potential conflict of interest <br />become known, it will immediately notify the County of the conflict or potential <br />conflict, and will advise the County whether it will or will not resign from the other <br />engagement or representation. Unless waived by the County, a conflict or potential <br />conflict may, in the County's discretion, be cause for cancellation or termination of this <br />Contract. <br />16.Jurisdiction & Venue: <br />This Contract, amendments, and supplements thereto, shall be governed by the laws of the <br />State of Minnesota.
