The improvements included the installation of city sanitary sewer and watermain, a joint storm water management system including a regional storm water infiltration basin and underground storm water chamber, the reconstruction of city and county roadways, sidewalks, trails, street lighting, streetscape amenities, retaining walls and landscaping. The improvements were installed within both the city and county right-of-ways. ISSUE BEFORE COUNCIL: Should the City Council approve the Cooperative Maintenance Agreement with Washington County outlining the respective ownership and maintenance responsibilities for the Downtown infrastructure improvements? PROPOSAL DETAILS/ANALYSIS: The purpose for Cooperative Maintenance Agreement No. 10721 is to outline the respective ownership and maintenance responsibilities for the Downtown infrastructure improvements between the City of Lake Elmo and Washington County. The general terms of the agreement are summarized below: 1. The city owns and maintains everything in the city right-of-way. 2. The city owns and maintains the regional storm water pond and the 36th Street storm sewer up to the Lake Elmo Avenue connection. 3. The city owns and maintains the sanitary sewer, watermain, landscape plantings, irrigation, and lighting along Lake Elmo Avenue. Repair work for utilities (excavations in the R/W) are done per county permit and at city's expense. 4. The city performs minor maintenance of sidewalks, concrete steps, trails and pedestrian ramps. Minor maintenance includes sweeping, debris removal, patching and crack repair. 5. The county owns and shall perform major maintenance of sidewalks, concrete steps, trails and pedestrian ramps. Major maintenance includes repair and/or replacement. 6. The county will not snow plow the sidewalks and trails. The agreement is silent on whether the city will snow plow trails and sidewalks to leave this decision to the city alone. 7. The county will mow boulevards twice per year along Lake Elmo Avenue. 8. The county owns and maintains retaining walls along Lake Elmo Avenue. 9. The county owns and maintains the storm sewer system in the Lake Elmo Avenue right-of-way including the underground storm water chamber, the storm sewer pipe, catch basins, sump manholes and energy dissipaters. FISCAL IMPACT: No cost estimates have been developed for the ongoing maintenance and replacement costs for the various improvements. RECOMMENDATION: Staff is recommending that the City Council approve, as part of the Consent Agenda, Resolution No. 2017-011 approving Cooperative Maintenance Agreement No. 10721 with Washington County for the Downtown (CSAH 17) Phase 1 and 2 Improvements. If removed from the consent agenda, the recommended motion for the action is as follows: “Move to approve Resolution No. 2017-011 approving Cooperative Maintenance Agreement No. 10721 with Washington County for the Downtown (CSAH 17) Phase 1 and 2 Improvements”. NOW, THEREFORE, BE IT RESOLVED, 1. That Cooperative Agreement 10721 between the City of Lake Elmo and Washington County is hereby approved and the Mayor and City Administrator are hereby authorized execute the agreement on behalf of the City of Lake Elmo. WITNESSETH: WHEREAS, the County reconstructed in 2015, as Phase 1 of this project (Project), a portion of the City streets; Upper 33rd Street North, 36th Street North, and Laverne Avenue in downtown Lake Elmo as shown on Exhibit A; WHEREAS, the County intends to reconstruct in 2016 & 2017, as Phase 2 of this project (Project), CSAH 17 (Lake Elmo Avenue) from County State Aid Highway 14 (Old Trunk Highway 5) to 30th Street and a portion of 30th Street North east of CSAH 17, 36th Street west of CSAH 17, 35th Street west of CSAH 17, and 34th Street west of CSAH 17 in the downtown Lake Elmo as shown on Exhibit A; and WHEREAS, a cooperative effort between the City and County is the appropriate method to facilitate the maintenance of these roadway and infrastructure improvements; and WHEREAS, this Agreement is made pursuant to statutory authority contained in Minnesota Statute 162.17 sub.1 and Minnesota Statute 471.59. NOW THEREFORE, IT IS HEREBY MUTUALLY AGREED AS FOLLOWS: I. PURPOSE The purpose of this agreement is set forth in the above whereas clauses which are all incorporated by reference as if fully set forth herein and shall consist of this agreement and the following:  Exhibit A (Project Phase Map)  Exhibit B (Infiltration Basin/Regional Drainage Pond)  Exhibit C (Bio-Retention Basin)  Exhibit D (36th Street Drainage Pipe)  Exhibit E (Underground Storage System) II. MAINTENANCE/OWNERSHIP A. Upon completion of the Project, the City shall own and maintain all improvements on, under, and adjacent to 30th Street North, Upper 33rd Street North, 34th Street North, 35th Street North, 36th Street North, and Laverne Avenue rights-of-way, including but not limited to: 1. Municipal Utilities, including sanitary sewer and water main. 2. Storm Water Management: Storm sewer trunk lines, lateral lines, catch basins, manholes, drain tile, and rain gardens existing, constructed, or reconstructed on City right-of-way, including the 36th Street storm sewer pipe (Exhibit D). 3. Storm sewer sump manholes and energy dissipaters: The City shall own and maintain all storm sewer sump manholes, and energy dissipaters located within City right-of-way. 4. Infiltration Basin/Regional Drainage Pond: Infiltration basin/regional drainage pond located east of Laverne Avenue and south of Upper 33rd Street North (Exhibit B) constructed under this project. The City will perform major and minor maintenance in accordance with its WASHINGTON COUNTY CONTRACT NO. 10721 DEPT. PUBLIC WORKS DIVISION TRANSPORTATION TERM PERPETUAL Page 2 of 5 Municipal Separate Storm Sewer System (MS4) General Permit. The Minnesota Pollution Control Agency (MPCA) administers the MS4 permit which requires stormwater operators/owners to create a Stormwater Pollution Prevention Program. 5. Signing: All permanent roadway signing on City right-of-way or adjacent to City Streets shall be controlled by the City. 6. Crosswalk and pavement markings: The City shall own and maintain all crosswalk and pavement markings on its City right-of-way or on City Streets existing or constructed under this project. 7. Pavement: The City shall own and maintain all pavement systems existing or constructed on its City right-of-way under this project. 8. Curb and gutter: The City shall own and maintain all curb and gutter on its City right-of-way existing or constructed under this project. 9. Sidewalks, concrete steps, ornamental fence, trails, and pedestrian ramps: The City shall own and maintain all existing, constructed, or reconstructed sidewalks, concrete steps, ornamental fence, trails, and pedestrian ramps on its City right-of-way or on City Streets. 10. Landscaping: All landscape plantings, lighting, and irrigation existing and installed under this project on City right-of-way. 11. Bio-retention Basin: The bio-retention basin located at Reid Park on the north side of 30th Street North (Exhibit C) constructed under this project: The City shall perform major and minor maintenance of the bio-retention basin in accordance with its Municipal Separate Storm Sewer System (MS4) General Permit. The Minnesota Pollution Control Agency (MPCA) administers the MS4 permit which requires stormwater operators/owners to create a Stormwater Pollution Prevention Program. B. Upon completion of the Project, the City shall own and maintain the following improvements on, under, and adjacent to Lake Elmo Avenue (CSAH 17) right-of-way: 1. Municipal Utilities, including sanitary sewer and water main: Roadway pavement, roadway base, roadway subgrade, storm sewer, drain tile, concrete curb and gutter, boulevards, and sidewalks damaged due to repair or maintenance of municipal utility infrastructure shall be repaired by the City. County roadways shall be repaired to the satisfaction of the County and completed after issuance of a permit from Washington County. 2. Sidewalks, concrete steps, trails, and pedestrian ramps located within the City and County right-of-way: The City shall be responsible for minor maintenance of sidewalks, concrete steps, trails, and pedestrian ramps. Minor maintenance shall include sweeping, debris removal, patching, and crack repair. The County will not complete snow removal on sidewalks, trails, or pedestrian ramps within the Lake Elmo Avenue (CSAH 17) or City right- of-way. 3. Landscaping: All landscape plantings, lighting, and irrigation existing and installed under this project on County right-of-way shall be owned and maintained by the City. C. Upon completion of the Project, the County shall own and maintain the following improvements on, under, and adjacent to Lake Elmo Avenue (CSAH 17) right-of-way: 1. Pavement: The County shall own and maintain all pavement systems, roadway pavement, roadway base, and roadway subgrade constructed on its County right-of-way under this project. 2. Curb and gutter: The County shall own and maintain all curb and gutter on its County right- of-way existing or constructed under this project. 3. Boulevard: The County will mow the corridor boulevards within County right-of-way twice per year. The County may perform additional mowing if needed to provide safety sight distance. This portion of the CSAH 17 corridor from 30th St. N. to CSAH 14 is residential in Page 3 of 5 nature with boulevards consisting of sod/grass. 4. Signing: All permanent roadway signing on County roads will be controlled by the County. 5. Crosswalk and pavement markings: All markings on County roads will be controlled by the County. 6. Storm sewer: The County shall own and maintain the storm sewer trunk line and catch basin and leads on its County right-of-way existing or constructed under this project. 7. Storm sewer sump manholes and energy dissipaters: The County shall own and maintain all storm sewer sump manholes, and energy dissipaters located within County right-of-way. 8. Underground Storage System: The underground storage system located at the northeast corner of CSAH 17 and 30th Street North. The County shall perform routine inspections and maintenance and will replace major components up to and including full replacement of the underground storage system (Exhibit E). 9. Retaining Walls and Fencing: Retaining walls located along the west side of CSAH 17 and within the County right-of-way. All retaining walls have fencing installed on top which shall be maintained by the County. 10. Sidewalks, concrete steps, trails, and pedestrian ramps located within the County right-of- way: The County will own and perform major maintenance of sidewalks, concrete steps, trails, and pedestrian ramps. Major maintenance shall include repair and/or replacement of sidewalk and pedestrian ramp panels, steps, and failing trail segments. 11. In order to protect plantings, the County shall not alter inter-maintenance strategies/techniques. D. All maintenance required to be performed by this agreement by the Parties shall be performed in a manner which shall be at the sole discretion of the party so obligated. E. The City and County will follow work zone traffic control procedures required in the Minnesota Manual of Uniform Traffic Control Devices for all maintenance activities. F. The County and City will notify each other at least 24 hours in advance of any maintenance activities requiring a lane closure or permit for work within the other party’s right-of-way. G. The County will control all parking and other regulations on County roads, subject to any previous Agreements between the City and the County. H. The City will control all parking and other regulations on City roads, subject to any previous Agreements between the City and the County. IV. CIVIL RIGHTS AND NON-DISCRIMINATION The provisions of Minn. Stat. 181.59 and of any applicable ordinance relating to civil rights and discrimination shall be considered part of this Agreement as if fully set further herein, and shall be part of any Agreement entered into by the parties with any contractor subcontractor, or material suppliers. V. WORKERS COMPENSATION It is hereby understood and agreed that any and all employees of the County and all other persons employed by the County in the performance of construction and/or construction engineering work or services required or provided for under this agreement shall not be considered employees of the City and that any and all claims that may or might arise under the Worker's Compensation Act of the State of Minnesota on behalf of said employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said County employees Page 4 of 5 while so engaged on any of the construction and/or construction engineering work or services to be rendered herein shall in no way be the obligation or responsibility of the City. It is hereby understood and agreed that any and all employees of the City and all other persons employed by the City in the performance of construction and/or construction engineering work or services required or provided for under this agreement shall not be considered employees of the County and that any and all claims that may or might arise under the Worker's Compensation Act of the State of Minnesota on behalf of said employees while so engaged and any and all claims made by any third parties as a consequence of any act or omission on the part of said City employees while so engaged on any of the construction and/or construction engineering work or services to be rendered herein shall in no way be the obligation or responsibility of the County. VI. INDEMNIFICATION A. The City agrees that it will defend, indemnify and hold harmless the County against any and all liability, loss, damages, costs and expenses which the County may hereafter sustain, incur or be required to pay by reason of any negligent act by the City, its agents, officers or employees during the performance of this agreement. B. The County agrees that it will defend, indemnify and hold harmless the City against any and all liability, loss, damages, costs and expenses which the City may hereafter sustain, incur or be required to pay by reason of any negligent act by the County, its agents, officers or employees during the performance of this agreement. C. To the fullest extent permitted by law, actions by the parties to this Agreement are intended to be and shall be construed as a “cooperative activity” and it is the intent of the parties that they shall be deemed a “single governmental unit” for the purposes of liability, as set forth in Minnesota Statutes, Section 471.59, subd. 1a(b). The parties to this Agreement are not liable for the acts or omissions of another party to this Agreement except to the extent they have agreed in writing to be responsible for the acts or omissions of the other parties as provided for in Section 471.59, subd. 1a. D. Each party’s liability shall be governed by the provisions of Minnesota Statutes, Chapter 466 and other applicable law. The parties agree that liability under this Agreement is controlled by Minnesota Statute 471.59, subdivision 1a and that the total liability for the parties shall not exceed the limits on governmental liability for a single unit of government as specified in 466.04, subdivision 1(a). VII. DATA PRIVACY All data collected, created, received, maintained, or disseminated, or used for any purposes in the course of this Agreement is governed by the Minnesota Government Data Practices Act, Minnesota Statutes 1984, Section 13.01, et seq. or any other applicable state statutes and state rules adopted to implement the Act, as well as state statutes and federal regulations on data privacy. VIII. CONDITIONS The City shall not assess or otherwise recover any portion of its cost for this project through levy on County-owned property.
