BACKGROUND:
In April 2017, the city council approved a development, lease, license and operating agreement
(commonly called lease agreement) with the Friends of Lake Elmo’s Sunfish Lake as it relates to the
Sally Manzara Nature Center. The lease agreement included a provision that the Friends shall include
one member that is appointed by the City Council as a voting member on its Board of Directors. The City
Council is responsible for selecting the person who is to serve on the Friends’ Board of Directors.
In 2017-2018, Council Member Nelson served as the City’s representative on the board. In January 2019,
Council member Bloyer was selected to fill the position. However, he has not been able to attend a
number of the meetings.
The Council discussed this provision of the lease at the November 12th work session and directed staff to
have it removed from the agreement.
ISSUE BEFORE COUNCIL:
Should the City amend the lease agreement to remove the provision providing for a city representative on
the Sally Manzara Board of Directors?
PROPOSAL DETAILS/ANALYSIS:
Included in your packet is a resolution to delete the section of the agreement that allows for the City to
appoint a representative to the board.

RESOLUTION NO. 2019-094
A RESOLUTION AMENDING THE SALLY MANZARA INTERPRETIVE
NATURE CENTER DEVELOPMENT, LEASE, LICENSE AND OPERATING
AGREEMENT
WHEREAS, the City of Lake Elmo approved the Sally Manzara Interpretive
Nature Center Development, Lease, License and Operating Agreement on April 18, 2017;
and
WHEREAS, the Agreement was subsequently signed by Anthony Manzara; and
WHEREAS, the Agreement provides for the City Council to appoint a voting
member to the Board of Directors of the Center; and
WHEREAS, the City Council reviewed this provision at its November 12, 2019
work session and directed staff to have it removed from the agreement; and
NOW THEREFORE BE IT RESOLVED that the City Council of the City of
Lake Elmo hereby deletes:
Article II Nature Center Operations, 1. Friends’ Responsibilities, d. The Friends
shall include one member that is appointed by the City Council as a voting member on its
Board of Directors. The City Council is responsible for selecting the person who is to
serve on the Friends’ Board of Directors.
BE IT FURTHER RESOLVED, that the City Council directs the City
Administrator to provide a copy of this amendment to the Friends of Lake Elmo’s
Sunfish Lake Park and authorizes the City Clerk and Mayor to execute an amendment
document.
