ISSUE BEFORE COUNCIL: Should the City Council approve the Cooperative Cost Share and Cooperative Maintenance Agreements with Washington County for the Trunk Highway (TH) 36 and
Manning Avenue (CSAH 15) Interchange Project? BACKGROUND: Washington County intends to construct a grade separated interchange at the intersection of Trunk Highway (TH) 36 and Manning Avenue (CSAH 15) to improve safety, capacity, and operation of the intersection, the TH 36 corridor and the surrounding area. The project requires the realignment and reconstruction of Linden Avenue North (the entrance to the Sanctuary development in Lake Elmo) that will result in a “stop” condition intersection while yielding to the traffic from the proposed high density and commercial development that is planned in Stillwater Township/future City of Stillwater. A significant part of the project includes a temporary by-pass roadway to provide access to the Sanctuary development and the City’s water supply well during construction.
On January 19, 2021, the City Council approved a Resolution of Support for the preliminary design layout and supported the County’s efforts to proceed with the completion of the final design and plan review for the project. PROPOSAL DETAILS/ANALYSIS: Washington County is requesting the City to enter into a Cooperative Cost Share Agreement and Cooperative Maintenance Agreement for the project. The purpose
for the Agreements are to outline the cost participation requirements by the City and to address the respective ownership and maintenance responsibilities for the new improvements. Key elements of the agreements are as follows:
• The estimated cost share participation by Lake Elmo is $301,700.19, after applying prorated Federal and State grants toward the City’s calculated construction cost participation amount of $1,166,452.
• The City’s estimated cost share is not fixed. The agreement outlines the elements of the project that the City will be responsible for, the invoicing and payment terms, and indicate that the City share pay the actual costs incurred for those project elements.
• Upon completion of the project, the City shall own and maintain, without cost or expense to the County, all improvements constructed under this project within City Right of Way along Linden Avenue. This will include the trail and pedestrian ramps constructed along Linden Avenue, as well as the abandoned watermain line beneath Linden Avenue.
• Improvements within the City Right of Way along Manning Avenue are not included given that the City of Lake Elmo and City of Stillwater are expected to enter into an agreement in the future whereby Stillwater is responsible for the maintenance of retaining wall #3 and Lake Elmo will plow
Manning Avenue south of the interchange. City staff has prepared proposed revisions for both Agreements, along with two Resolutions for council consideration. For each Agreement, the staff proposed revisions are shown in red using track changes. The cost share agreement revisions eliminate the reference to the County Cost Participation Policy, provide clarifications to the process for the County to track and update the City cost share after project bidding and
project completion, and establishes a requirement for the County to submit final payment to ensure that the project is closed out in a timely manner. City staff also prepared proposed language, highlighted in yellow, for council consideration, should the City Council choose to place a cap, or NOT TO EXCEED amount, on the City cost participation. For this option, City staff allocated a 10% contingency over the County’s current estimate. County staff does not
support the City placing a cap on its cost share, however, the City did place a cap on the CSAH15 and CSAH 14 Realignment Project by Washington County and in the resolution for municipal consent for the CSAH 13/Ideal Avenue Phase 2 Project. Revisions in the Agreement for placing a cap on the City cost share include the following:
• Section F.6.f. The total amount that the City will pay to Washington County is NOT TO EXCEED $332,000 after Table 1 has been updated to reflect actual costs.
• Section G.1.b. During construction, the County shall submit to the City partial estimates of work performed by the contractor. The City shall pay to the County its share of the partial estimate as
determined in Section F up to the NOT TO EXCEED amount of $332,000.
• Section H. CONTRACT CHANGES. Any modifications or additions to the final approved plans
and/or specifications of the Project shall be made part of the construction contract through a written amendment to the construction contract and the cost for such changes shall be appropriated as set forth in Section F. of this Agreement until the cost meets the NOT TO EXCEED limit set in Section
6.f. Revisions proposed for the Cooperative Maintenance Agreement include minor clarifications.
FISCAL IMPACT: The County is requesting cost participation in the project by the City of Lake Elmo for the actual construction costs for specified project components and line items, plus a prorated share of the project engineering costs. The current estimated cost share participation by Lake Elmo is $301,700.19. The actual cost share will be determined once the project is complete and the final costs are known. The City’s share of the costs, as assigned by the County, include the realignment and reconstruction of that portion of Linden Avenue North that resides within City right-of-way, including 100% of the costs to abandon the City’s watermain at this intersection. In addition, the County has assigned 100% of the temporary by-pass roadway and 50% of retaining wall #3 (located in Lake Elmo City limits but supporting the portion of Manning Avenue owned and operated by Stillwater). OPTIONS: 1) Approve Resolution 2021-032 Approving Cooperative Agreements with Washington County for the Trunk Highway (TH) 36 and Manning Avenue (CSAH 15) Interchange Project, including the provisions to cap the City cost participation at $332,000.
2) Approve Resolution 2021-033 Approving Cooperative Agreements with Washington County for
the Trunk Highway (TH) 36 and Manning Avenue (CSAH 15) Interchange Project, after
removing the yellow highlighted provisions to cap the City cost participation at $332,000.
3) Approve an amended Resolution, Approving Cooperative Agreements with Washington County
for the Trunk Highway (TH) 36 and Manning Avenue (CSAH 15) Interchange Project, with amended provisions as identified by City Council. RECOMMENDATION: Staff is recommending that the City Council approve a Resolution, approving Cooperative Agreements with Washington County for the Trunk Highway (TH) 36 and Manning Avenue
(CSAH 15) Interchange Project, including the provisions to cap the City cost participation at $332,000. The recommended motion for the action is as follows:
“Move to approve Resolution No. 2021-032 Approving Cooperative Agreements with Washington County for the Trunk Highway (TH) 36 and Manning Avenue (CSAH 15) Interchange Project, including the provisions to cap the City cost participation at $332,000.” ATTACHMENTS: 1. facilitate the construction of these improvements, project cost sharing, and facilitate the maintenance of the items constructed by the Project; and
WHEREAS, this Agreement is made pursuant to statutory authority contained in Minnesota Statute 162.17 sub.1 and Minnesota Statute 471.59.
NOW, THEREFORE, BE IT RESOLVED, 1. That Cooperative Agreement 13753 for the project costs, in a NOT TO EXCEED amount of $332,000, for the Trunk Highway (TH) 36 and Manning Avenue (CSAH 15), between the City of Lake Elmo and Washington County, is hereby approved and the Mayor and City Administrator are hereby authorized to execute the agreement on behalf of the City of Lake Elmo. 2. COOPERATIVE AGREEMENT BETWEEN THE CITY OF
LAKE ELMO AND WASHINGTON COUNTY FOR CONSTRUCTION COST OF
AN INTERCHANGE ON TRUNK HIGHWAY (TH) 36 AT MANNING AVENUE/
COUNTY STATE AID HIGHWAY (CSAH) 15
THIS AGREEMENT, by and between the City of Lake Elmo, a municipal corporation, herein after referred to as
the "City", and Washington County, a political subdivision of the State of Minnesota, hereinafter referred to as
the "County.”
WITNESSETH:
WHEREAS, the County intends to construct a roadway interchange at the intersection of Trunk Highway (TH) 36
and Manning Avenue in the City of Lake Elmo, herein referred to as the “Project” and shown in Exhibit A; and
WHEREAS, both the City and the County will be obligated for certain local costs attending the Project; and
WHEREAS, the City and the County agree to share in the cost ofitems included in the Project requireas detailed
in this Agreement City cost participation in accordance with “Washington County Cost Participation Policy
#8001 for Cooperative Highway Improvement Projects”; and
WHEREAS, the City desires to use Federal Grants, State Funds, and local funds for these improvements; and
WHEREAS, the County desires to use Federal Grants, State Funds, local funds and State Aid for these
improvements; and
WHEREAS, a cooperative effort between the City and County is the appropriate method to facilitate the
construction of these transportation improvements; and
WHEREAS, this Agreement is made pursuant to statutory authority contained in Minnesota Statute 162.17 sub.1
and Minnesota Statute 471.59.
NOW THEREFORE, IT IS HEREBY MUTUALLY AGREED AS FOLLOWS:
A. PURPOSE
The purpose of this agreement is set forth in the above whereas clauses which are all incorporated by
reference as if fully set forth herein and shall consist of this agreement, Exhibit A (Location Map), Exhibit B
(Estimated Cost Splits Map), Exhibit C (Estimated Cost and Cost Splits), Exhibit D (Funding Summary), and
Exhibit E (Post‐Project Right of Way Map).
B. PLANS AND SPECIFICATION PREPARATION
1. The County shall be responsible for the preparation of all the plans and specifications for the Project,
including but not limited to, compliance with all applicable standards and policies and obtaining all
approvals required in formulating the bid specifications for all County and City components of this
Project.
2. The following County project number has been assigned to the Project: SAP 082‐615‐034 (CSAH15).
3. The following City project numbers have been assigned to the Project: 2017.153
4. The following Federal/State project numbers have been assigned to the Project: SP 8204‐74
(Interchange).

C. RIGHT OF WAY AND EASEMENTS
1. The County shall acquire all permanent rights of way, permanent easements, and temporary slope
easements, which will be acquired in the name of the County.
2. Any rights of way, permanent easements, and temporary slope easements that cannot be obtained
through negotiation will be acquired by the County through eminent domain proceedings.
D. ADVERTISEMENT AND AWARD OF CONTRACT
After plans and specifications have been approved by the County, all permits and approvals obtained, and
acquisition of necessary rights‐of‐way and easements, the County shall advertise for construction bids and
at the sole discretion of the County award the contract to the lowest responsible bidder.
E. CONSTRUCTION ADMINISTRATION, OBSERVATION, AND TESTING
The County shall be responsible for the construction administration, inspection, and for the observation and
testing for all construction items.
F. COST PARTICIPATION ITEMS AND ESTIMATED COSTS
The City hereby agrees to be bound to the cost participation provisions in the “Washington County Cost
Participation Policy #8001 for Cooperative Highway Improvement Projects”, which is incorporated into this
agreement by reference. The City’s cost participation is set forth in Table 1 and is broken down into five
categories which are: 1) Construction; 2) Design Engineering; 3) Construction Engineering/Contract
Administration; 4) Right of Way; 5) County‐Furnished Material; 6) Xcel Tower Relocation Cost; and 7)
BCWD Water Reuse Cost.
1. Construction
Construction costs shall be the cost to construct the Project. The County has prepared a statement of
estimated quantities and cost splits hereto attached as Exhibit C. The City shall pay to the County its
share of the total cost as shown in Exhibit C and as reduced through supplemental project funding as
shown in Exhibit D, and set forth in Table 1. After the County has awarded the construction contract,
Exhibit C, and Exhibit D, and Table 1 will be updated to reflect the City’s and County’s share of the
construction costs based on the actual contractor’s unit prices.
2. Design Engineering
Design engineering costs shall be professional design engineering services, project coordination,
preparation of plans and specification, stakeholder engagement, geotechnical studies, and other
administrative functions necessary for the Project. Based on the City’s share of the construction cost,
the City shall pay the prorated cost of design engineering for the entire Project as set forth in Exhibit D
and Table 1. After the County has awarded the construction contract, Exhibit DC and Table 1 will be
updated to reflect the City’s and the County’s prorated share of the Design Engineering based on the
updated construction costactual contractor’s unit prices.
3. Construction Engineering/Contract Administration
Construction engineering/contract administration costs shall be construction observation, construction
testing, construction administration, staking, conducting and recording the pre‐bid, pre‐construction
and weekly construction meetings, reviewing monthly pay estimates, labor compliance, and other
administrative functions necessary for the Project. Construction engineering/contract administration is
10% of the construction cost. The City shall pay 10% of the City’s share of the construction cost for
construction engineering/contract administration as set forth in Exhibit D and Table 1. After the County
has awarded the construction contract, Exhibit D and Table 1 will be updated to reflect the City’s and
the County’s prorated share of the estimated construction engineering/contract administration cost.

Right of Way costs shall be permanent right‐of‐way, permanent utility and/or drainage easements,
temporary easements, title work costs, appraisal costs, relocation specialist costs, relocation costs, and

condemnation commissioner costs. If applicable, the City shall pay their share of the final right of way
cost. The estimated amount is set forth in Table 1.
5. County‐Furnished Material
County‐furnished material costs shall be items such as light poles, traffic signal control equipment, and
street name signs which are separately procured outside of the construction contract and installed
within the Project limits. The City shall pay their share of the final County‐furnished material cost. The
estimated amount is set forth in Table 1.

6. The costs and shares attributable to the City and payable to the County as shown in Table 1 are merely
estimated and a final reconciliation of costs as set forth in Section G below shall be done at the end of
the Project. Actual City costs and shares are based on the following:
a. Construction shall be based on the contractor's unit prices and final quantities at Project
completion including all contract changes, less the City’s share of Federal Highway
Administration (FHWA) and State funding. The City shall pay their share of the cost of the work
that the FHWA and State do not pay, unless the FHWA and State do not pay their grant award
amounts due to the County or County’s consultant’s or contractor’s failure to perform the
project in accordance with the terms of the funding award.
b. Design engineering shall be based on the contractor’s unit prices at the time of contract award.
c. Construction engineering/contract administration shall be based on the contractor’s unit prices
and final quantities at Project completion including all contract changes and liquidated damages.
d. Right of way shall be based on the final costs to acquire right of way.
e. County‐furnished material shall be based on the final costs to acquire County‐furnished
material.
e.f. The total amount that the City will pay to Washington County is NOT TO EXCEED
$332,000 after Table 1 has been updated to reflect actual costs.
G. PAYMENT
1. Construction and Construction Engineering/Contract Administration
a. After the County has awarded the construction contract, the County shall update Exhibit C, and
Exhibit D and Table 1 to conform the Exhibits and Table to the amounts in the awarded bid and
shall invoice the City 10 percent of the City's estimated construction and construction
engineering/contract administration cost, after applying FHWA and State funding allocations,
based on the updated Exhibit C,and Exhibit D and Table 1.
b. During construction, the County shall submit to the City partial estimates of work performed by the

contractor. The City shall pay to the County its share of the partial estimate as determined in Section
F up to the NOT TO EXCEED amount of $332,000.

c. Upon substantial completion of the work the County shall submit to the City a final invoice and final
reconciliation of costs, if any. The reconciliation will add or subtract contract amendments to the
City’s Project components, adjustments for liquidated damages pursuant to Section I., and previous
Project cost payments made by the City to the County.
c.d. The Final Invoice from the County to the City shall be submitted to the City no later than 6 months
after the substantial completion of the project.
2. The costs set forth in Table 1 for design engineering and right of way shall be separate line items on the
invoice and paid by the City on a reimbursable basis.
3. In the event that the City paid more in advance than the actual cost of the City’s portion of the Project,
the County shall refund without interest the amount to the City.
4. The City shall pay 100 percent of an invoice amount within thirty (30) days of receipt.
H. CONTRACT CHANGES
Any modifications or additions to the final approved plans and/or specifications of the Project shall be made
part of the construction contract through a written amendment to the construction contract and the cost
for such changes shall be appropriated as set forth in Section F. of this Agreement until the cost meets the
NOT TO EXCEED limit set in Section 6.f.
I. LIQUIDATED DAMAGES
Any liquidated damages assessed to the contractor in connection with the work performed on the Project
shall be used to adjust the project completion costs thus adjusting the City’s construction
engineering/contract administration costs as stated in F.6.c. No adjustment to construction costs will be
made to the City’s portion of the Project in the event of liquidated damages.
J. CONDITIONS
The City shall not assess or otherwise recover any portion of its cost for this Project through special
assessment of County‐owned property.
K. CIVIL RIGHTS AND NON‐DISCRIMINATION
The provisions of Minn. Stat. 181.59 and of any applicable ordinance relating to civil rights and
discrimination shall be considered part of this Agreement as if fully set further herein, and shall be part of
any Agreement entered into by the parties with any contractor, subcontractor, or material suppliers.
L. WORKERS COMPENSATION
It is hereby understood and agreed that any and all employees of the City and all other persons employed by
the City in the performance of construction and/or construction engineering work or services required or
provided for under this agreement shall not be considered employees of the County and that any and all
claims that may or might arise under the Worker’s Compensation Act of the State of Minnesota on behalf of
said employees while so engaged and any and all claims made by any third parties as a consequence of any
act or omission on the part of said City employees while so engaged on any of the construction and/or
construction engineering work or services to be rendered herein shall in no way be the obligation or
responsibility of the County.
M. INDEMNIFICATION
1. The City agrees that it will defend, indemnify and hold harmless the County against any and all liability,
loss, damages, costs and expenses which the County may hereafter sustain, incur or be required topay
by reason of any negligent act by the City, its agents, officers or employees during the performance of
this agreement.

this agreement.

3. To the fullest extent permitted by law, actions by the parties to this Agreement are intended to be and

4.3. shall be construed as a “cooperative activity” and it is the intent of the parties that they shall be deemed
a “single governmental unit” for the purposes of liability, as set forth in Minnesota Statutes, Section
471.59, subd. 1a.(b). The parties to this Agreement are not liable for the acts or omissions of another
party to this Agreement except to the extent they have agreed in writing to be responsible for the acts
or omissions of the other parties as provided for in Section 471.59, subd. 1a.
5.4. Each party’s liability shall be governed by the provisions of Minnesota Statutes, Chapter 466 and other
applicable law. The parties agree that liability under this Agreement is controlled by Minnesota Statute
471.59, subdivision 1a. and that the total liability for the parties shall not exceed the limits on governmental
liability for a single unit of government as specified in 466.04, subdivision 1(a).
N. DATA PRACTICES
All data collected, created, received, maintained, disseminated, or used for any purposes in the course of
this Agreement is governed by the Minnesota Government Data Practices Act, Minnesota Statutes 1984,
Section 13.01, et seq. or any other applicable state statutes and state rules adopted to implement the Act,
as well as state statutes and federal regulations on data privacy.
IN TESTIMONY WHEREOF the parties have duly executed this agreement by their duly authorized officers.

LAKE ELMO AND WASHINGTON COUNTY
FOR MAINTENANCE OF AN INTERCHANGE ON TRUNK HIGHWAY (TH) 36
AT MANNING AVENUE/ COUNTY STATE AID HIGHWAY (CSAH) 15
THIS AGREEMENT, by and between the City of Lake Elmo, a municipal corporation, herein after referred to as
the "City", and Washington County, a political subdivision of the State of Minnesota, hereinafter referred to as
the "County”.
WITNESSETH:
WHEREAS, the County and City intend to construct and maintain a roadway interchange at the intersection of
Trunk Highway (TH) 36 and Manning Avenue, with portions of the improvements located in the City of Lake
Elmo, herein referred to as the “Project” and shown in Exhibit A; and
WHEREAS, a cooperative effort between the City and County is the appropriate method to facilitate the
maintenance of these transportation improvements; and
NOW THEREFORE, IT IS HEREBY MUTUALLY AGREED AS FOLLOWS:
A. PURPOSE
The purpose of this Agreement is set forth in the above whereas clauses which are all incorporated by
reference as if fully set forth herein and shall consist of this Agreement and Exhibit A (Project Location Map),
and Exhibit B (Post‐Project Right of Way Map).
B. MAINTENANCE/OWNERSHIP
1. Upon completion of this project the City shall own and maintain, without cost or expense to the County,
all improvements constructed under this project within ultimate City Rights of Way on Manning Avenue
South and Linden Avenue including but not limited to:
a. Municipal Utilities, including water main abandoned on Linden Avenue under this project.
b. Trails and pedestrian ramps located within the City right‐of‐way.
2. Upon completion of this project the County shall own and maintain the following under this project:
a. Storm sewer. The County shall own and maintain the storm sewer trunk line and catch basin and
leads on its County right‐of‐way existing or constructed under this project.
b. Signing. All permanent roadway signing on County roads will be controlled by the County.
c. With respect to the constructed corridor boulevard, the County will mow the corridor boulevards a
minimum of twice per year.
d. Curb and gutter. The County shall own and maintain all curb and gutter on its County right‐of‐way
existing or constructed under this project.
e. Pavement. The County shall own and maintain all pavement systems on its County right of way
existing or constructed under this project.
f. Trails and pedestrian ramps located within the County/State right‐of‐way: The City, at their expense,
may, but are not required to, perform snow removal and trail sweeping. The County will own and
perform major maintenance of trails and pedestrian ramps. Major maintenance shall include repair
and/or replacement of pedestrian ramp panels and failing trail or sidewalk segments.

manner which shall be at the sole discretion of the party so obligated.
4. The City and County will follow work zone traffic control procedures required in the Minnesota Manual
of Uniform Traffic Control Devices for all maintenance activities.
5. The County and City will notify each other at least 24 hours in advance of any maintenance activities
requiring a lane closure for work within the other party’s right‐of‐way.
6. The County will control all parking and other regulations on County roads, subject to any previous
Agreements between the City and the County.
C. CIVIL RIGHTS AND NON‐DISCRIMINATION
The provisions of Minn. Stat. 181.59 and of any applicable ordinance relating to civil rights and
discrimination shall be considered part of this Agreement as if fully set further herein, and shall be part of
any Agreement entered into by the parties with any contractor subcontractor, or material suppliers.
D. WORKERS COMPENSATION
It is hereby understood and agreed that any and all employees of the County and all other persons
employed by the County in the performance of construction and/or construction engineering work or
services required or provided for under this Agreement shall not be considered employees of the City and
that any and all claims that may or might arise under the Worker's Compensation Act of the State of
Minnesota on behalf of said employees while so engaged and any and all claims made by any third parties as
a consequence of any act or omission on the part of said County employees while so engaged on any of the
construction and/or construction engineering work or services to be rendered herein shall in no way be the
obligation or responsibility of the City.
E. INDEMNIFICATION
1. The City agrees that it will defend, indemnify and hold harmless the County against any and all liability,
loss, damages, costs and expenses which the County may hereafter sustain, incur or be required to pay
by reason of any negligent act by the City, its agents, officers or employees during the performance of
this Agreement.
2. The County agrees that it will defend, indemnify and hold harmless the City against any and all liability,
loss, damages, costs and expenses which the City may hereafter sustain, incur or be required to pay by
reason of any negligent act by the County, its agents, officers or employees during the performance of
this Agreement.
3. To the fullest extent permitted by law, actions by the parties to this Agreement are intended to be and
shall be construed as a “cooperative activity” and it is the intent of the parties that they shall be deemed
a “single governmental unit” for the purposes of liability, as set forth in Minnesota Statutes, Section
471.59, subd. 1a.(b). The parties to this Agreement are not liable for the acts or omissions of another
party to this Agreement except to the extent they have agreed in writing to be responsible for the acts
or omissions of the other parties as provided for in Section 471.59, subd. 1a.
4. Each party’s liability shall be governed by the provisions of Minnesota Statutes, Chapter 466 and other
applicable law. The parties agree that liability under this Agreement is controlled by Minnesota Statute
471.59, subdivision 1a. and that the total liability for the parties shall not exceed the limits on governmental
liability for a single unit of government as specified in 466.04, subdivision 1(a).
F. CONDITIONS
The City shall not assess or otherwise recover any portion of its cost for this project through special
assessment of County property on County‐owned property.

G. DATA PRACTICES
All data collected, created, received, maintained, disseminated, or used for any purposes in the course of
this Agreement is governed by the Minnesota Government Data Practices Act, Minnesota Statutes 1984,
Section 13.01, et seq. or any other applicable state statutes and state rules adopted to implement the Act,
as well as state statutes and federal regulations on data privacy.
