CITY OF LAKE ELMO <br />WASHINGTON COUNTY <br />STATE OF MINNESOTA <br />RESOLUTION NO.2021-109 <br />A RESOLUTION APPROVING A PURCHASE AGREEMENT FOR THE PURCHASE <br />OF PROPERTY FROM PAUL R. NOVAK IDENTIFIED AS PID: 13.029.21.32.0007 <br />WHEREAS, Paul R. Novak (the "Seller") is the owner of certain real property identified <br />as PID 13.029.21.32.0007 located in the City of Lake Elmo (the "City") as legally described in <br />Exhibit A (the "Property"); and <br />WHEREAS, the City and the Seller have agreed to enter into a Purchase Agreement (the <br />"Agreement) whereby the City will purchase the Property; and <br />WHEREAS, the City finds and determines that the purchase of the Property is in the public <br />interest. <br />NOW, THEREFORE, BE IT RESOLVED, <br />1. The recitals set forth herein are incorporated into and made a part hereof. <br />2. That the City Council hereby approves the Purchase Agreement in substantially the form <br />presented to the City Council, subject to modifications that do not alter the substance of the <br />transaction and that are approved by the Mayor and City Clerk, provided that execution of the <br />Purchase Agreement by those officials shall be conclusive evidence of their approval. <br />3. City staff and officials are authorized to take all actions necessary to perform the City's <br />obligations under the Agreement as a whole, including without limitation execution of any <br />documents to which the City is a party referenced in or attached to the Agreement, and other <br />documents necessary to convey the Property to the City, all as described in the Agreement. <br />ADOPTED BY THE LAKE ELMO CITY COUNCIL ON THE NINETEENTH DAY OF <br />OCTOBER, 2021. <br />CITY OF LAKE ELMO <br />(Seal) <br />ATTEST: <br />J lie ohns n <br />Clerk <br />L,A515\I\755025.v1 <br />
