Home My WebLink About07-24-89 CCMLAKE ELMO CITY COUNCIL WORKSHOP JULY 24, 1989 The City Council met in special workshop on Monday, July 24, 1989 at 7:30 a.m. in the Council chambers of the City Hall. The subject and purpose of the meeting was to accept from Public Financial Systems the draft Financial Feasibility Analysis for improvements to Section 32/33. Present were: Mayor Sue Dunn, Councilmember.s Chuck Graves, Lee Hunt, Don Moe and Todd Williams. Also present were: Public Financial Systems representatives Kathy Aho and Rusty Fifield, City Attorney, Fritz Knaak; City Administrator, Patricia Morrison; Financial Director, Marilyn Banister excused herself at 8:00 a.m. Ms. Aho and Mr. Fifield advised the Council that Lake Elmo and Oakdale have the same options available for financing of the sewer and water infrastructure within Section 32/33. They discussed the four means of financing and recommended of the four G.O. Improvement Bonds and/or G.O. Tax Increment Bonds as the most reasonable approach. They also advised: The City should have an assessment policy in place; principal on bonds should not be deferred further out than three years; the "but for" test for TIF could be met with this project, - the most appropriate TIF would be economic development and riot housing or redevelopment TIF's; maximum life of economic development TIF would be 10 years with a maximum of 8 years of increment collection; that a TIF should be created only when development is there and ready to go; that at that time the City could create a development district and designate individual districts as development occurs; that the City could indicate Section 32/33 as a planned, development district to demonstrate support for developing the area, but not actually designate district, as this sets the clock ticking; The engineer's feasibility report was used for improvement costs, with an increase of two years capitalized interest and 1 1/2% allowance was added for bond sale (bringing costs to $3,875,000); bonds could be issued for 20 years with an estimated interest rate of 7 - 7 1/2%; It was possible to get insurance to cover liability for City (in case of non-payment of assessments to cover debt service of bonds), however, the only real assurance to alleviate risk was for substantial development to come in to assure payment; The affected area is a good, viable developable area; however, the eastern area of Metro is slow in attracting development, and so assurance of timely development not necessarily available; (, City now has for this area land use study, engineering study, economic, financial study; unless Oakdale has additional money it can come up with, they cannot do it any better than Lake Elmo; Oakdale may have more urban image and staffed to deal with developers; Lake Elmo should be thinking in terms of having some financial stakes across the board; City may have to buy into first part in order to get what you want in long run; City may rationalize economic benefit to entire community with development of area; In reference to Citizens league report: with $80,000 home tax rate is low, but it becomes high with average home value and Lake Elmo has a lot of high value houses; City is going to become increasingly responsible for providing services; Section 32/33 will develop if market forces there and developer will. probably work with either city when time is right. Discussion ensued on benefit/detriment of commercial development, annual debt service requirement (Page 13); costs of financing (Page 14), and types of development needed to support this type of expenditure (Pages 18 & 19). It was determined Public Financial Systems would finalize their Financial Report for submission to Council on August 15th. Council workshop adjourned 8:47 a.m. CITY Of LAKE ELMO G City of Lake Elmo July 11, 1989 TO: City Council 777-5510 3800 Laverne Avenue North / Lake Elmo, Minnesota 55042 FROM: Pat Morrison, City Administrator RE: Informational Memo 1. Status of Comprehensive Plan: The Planning Commission, at their meeting of July loth appeared in favor of the content and data of the Comp Plan, as submitted by Staff, but spent the majority of the time discussing the format of the staff's submission, which submission was directed. by Council. A motion was passed, as enclosed, directing that the format be changed back to the Planning Commission's March, 1989 format. Planning Commission members DeLapp and Stevens volunteered to draft the change. 2. Nancy Kuckler: Nancy notified me on Friday that she has accepted a full-time job with Lakeview Memorial Hospital. She did an excellent job in the short time she was here. We have not, as of yet, readvertised for the position. 3. Planning Commission Member Quits: Al Kunde has submitted his resignation from the Planning Commission. Rita Conlin, as First Alternate, will replace him. Th Planning Commission requested a letter of appreciation be submitted to Mr. Kunde. Appointment for Al's replacement will be placed on the July 18th Agenda. 4. Washington County Library Board: The Washington County Board, on July llth, received the recommendation from the Library Board relative to useage of the existing Lake Elmo Bank for an expanded library facility. It appears that an attempt is being made by the Library Board to eventually eliminate rental facilities, and the Board has recommended not purchasing the Bank, but instead review an option to purchase a site and construct a building to serve Oakdale and Lake Elmo closer to a "population center". A letter (as enclosed) was drafted under Sue's signature which was delivered for the County Board's consideration. Also, Don Raleigh dropped off the attached letter indicating the Bank's proposals to turn their facility over to the County. The Council may wish to pursue this by working with the Bank to retain the Library in the Old Village area. CITY OF LAKE July 10, 1989 City of Lake Elmo 510 3800 Laverne Avenue North / Lake Elmo. Box 6 Stillwater, MN 55082 Attn: Commissioner Russ Larkin Dear Commissioners: It has come to our attention that the Board will be considering the recommendation of the Washington County Library Board, relative to the Lake Elmo branch library, at the meeting of July 11. Although we have not had the benefit of reviewing the Library Board's recommendations, it is our understanding that the Board will be recommending that the County not purchase the Lake Elmo Bank Building to upgrade and increase library services for the City of Lake Elmo; that the Library Board will instead recommend, as a long-range alternative, the phasing out of library rental facilities and an alternative site for the Library to serve both Oakdale and Lake Elmo. The Lake Elmo City Council urges you to retain your commitment to the residents of Lake Elmo by retaining a branch library in the Old Village area, or the area recently platted just North of Highway 5. We would further suggest that the purchase of the Lake Elmo Bank Building would provide a fiscally responsible and reasonable alternative to the purchase of a site and the construction of a new building. The library is an intricate part of our Old Village area; it is a facility which the council and residents value and consider to be essential to our community. Sincerely, Susan Dunn Mayor c(MPY May 22, 1989 Mr. Donald Raleigh President State Bank of Lake Elmo 3549 Lake Elmo Blvd., Box 857 Lake Elmo, MN 55042-0457 Dear Don: CERTIFIED PUBLIC ACCOUNTANTS You have requested an outline of your options relative to the disposition of the Bank's current building. To understand the options available, I will first outline the understanding that the Bank has with the Office of the Commissioner of Commerce concerning the building. The Commissioner's office wanted to be assured that the disposition of the building would not lower the Bank's capital. In order to abide by that limitation, the Bank will have to recover the remaining basis in the current building in the form of sale proceeds or tax savings. We have also been working under the assumption that the building would be either gifted or sold to Washington,County for use as a branch library. If the library was to be gifted to the County,'there are logistical problems caused by the Federal and State tax laws which limit the amount that a corporation can deduct as a charitable contribution in any one year. In the case of the Federal tax law, the limit is 10% of the net taxable income before contributions are deducted. The Federal law does allow for a carry over of unused charitable contributions for a period of five years. The Minnesota tax law is similar in that it limits corporate charitable contributions to 15% of the net Minnesota taxable income before contributions are deducted. The Minnesota statutes do not allow for any carry forward of contributions, however. To meet the Commissioner's limitation the gift would have to be made piecemeal. In other words, the Bank would gift an undivided partial interest in the building annually to the County. It should be noted that it would take up to 10 years to complete the gift. The fact that any rental charged on the ungifted portion of the building would have to be at a reasonable market rate for similar commercial space, since anything less could be construed to be a gift which would lengthen the gifting process. 3. The need to be protected by insurance from any potential liability arising out of the use of the building by the County prior to the completion of the entire gift. 4. The fact that the gifting program cannot be spelled out in writing in any binding legal document, since the existence of the document could be construed to be a transfer of the entire building in the year it was drafted. 5. Annual appraisals of the building would have to be made to determine the value of that year's gift. 6. The Bank would have to incur additional expenses in having a detailed tax plan prepared each ,year to assure the maximization of the deduction. 7. The Federal and State tax laws may change in such a way as to limit or eliminate the benefits derived from the gifts to be made in future years. The second option would be for the Bank to sell the building to the County at an amount much below the current appraisal. In order for the Bank to maintain its capital position, the building (which was appraised at $606,000) would have to be sold for $240,000. At that amount, the Bank could recover its depreciated cost basis. With this option, the title is transferred at the time of sale. This method eliminates the problems listed in the discussion of gifting the building and answers the questions raised by the Assistant County Attorney in our meeting on May 8th. As I recall, he expressed concern about the County making capital improvements to a building that it would not have complete ownership of. While the sale of the building to the County was not your intended goal, the complexity of the transaction and the uncertainty of the future tax law makes the gifting option less attractive. LAKE ELMO, MINNESOTA 6WQ-0457. 0 rM-6'MW March 16, 1988 Ms, Judy Bull President Washington County Library Board 908 12th Avenue South Forest Lake, MN 55025 Dear Ms. Bull: The State Bank of Lake Elmo is beginning plans for the construction of a new bank building on State Highway 5 in Lake Elmo. If our plans go well, we,expect to be able to occupy a new building by January 1, 1990. The construction of a new bank building in the Lake Elmo business district, is a major financial commitment and reinforces the Bank's historic concern for the vitality of the Lake Elmo business district. We believe the Lake Elmo Branch of the Washington County Library contributes a great deal to that vitality. We are interested in contributing, if we can, to the support and improvement of the Branch Library. We think we may be able to make a substantial contribution by providing our present bank building as a home for the Library. Our present bank building contains approximately 5,000 square feet. It is located on a tract of land containing approximately 30,000 square feet, the building was originally constructed in 1965 and substantially remodeled in 1979. It seems to us that the size and design of the building, with its ample parking, is ideally suited for a branch library. If you agree, we are willing to consider making a gift of this building to the Library Board on the following conditions: 1. The building would have to be used for the Lake Elmo Branch Library and related purposes for at least ten (10) years, or it would go back to the Bank. �.y Ms. Judy Bull March 16, 1988 Page Two.... 2. The building would be available to the library for occupancy on January 1, 1990 or as soon thereafter as the Bank is able to move to its new building. 3. The Library Board and the Bank would have to agree to the appraised value of the building, as determined by an independent fee appraiser to be employed by the Bank. We believe the appraised value of the building would be approximately $350,000.00, exclusive of Bank - related features and the land on which it is located, based on our estimate of replacement cost less depreciation. 4. The transaction would have to be approved, as to form and substance, by the Bank's legal counsel and CPAs so as to qualify as a charitable gift deductible for income taxes under State and Federal regulations. 5. The transaction would have to be approved by State and Federal Bank regulatory authorities having jurisdiction over banks in such matters. If the possibility of a gift of our present bank building to the County Library Board, for the purpose and under the conditions outlined above, is of interest to you please let us know. We will, then, ask our professional advisors to put together a more detailed proposal with the hope that we can find a way to put the present Bank building to good use when our new building is ready for occupancy. Wisniewski Director of Public Works/County Engineer Washington County Public Works Dept. 11660 North Myer= Road Stillwater, MN 55082 RE: Proposed Gift of Building for Branch Library Dear Mr. Wisniewski: Enclosed is a copy of a letter from our accountant, Tom Williams, dated May 22, 1989. As you can see, the letter is addressed to me and describes the options available to us if we are to make a gift (or partial gift) of our present building for a branch library. i' As Mr. Williams' letter explains, the Commissioner of Commerce has granted approval of our proposal to give our present building to Washington County for library purposes, but that approval is based on the condition that we do not reduce our capital as a result of the gift. Our capital basis in the building is now in excess of $200,000. When we first proposed the gift to the County, we anticipated making the gift and taking a tax deduction based on the $606,000 appraised value of the building. The present value of that tax deduction, as calculated by our accountants, is approximately $240,000; by securing that tax deduction, we would satisfy the condition of the Commissioner's, Unfortunately, the changes in the Federal tax laws have made the gifting a very complicated transaction. The steps in the transaction would have to be as outlined in Tom Williams' letter. At this point, we renew our offer to give the building to the County for library purposes as proposed in my original letter, dated March 16, 1988 (a copy of which is enclosed). As originally proposed, that gift would have to be made as recommended by our CPA's and as approved by the Commissioner of Commerce, If we are to complete the transaction on that basis, we should review the seven steps outlined by Tom Williams and describe the gifting program in a letter of intent (item #4 paints out that we cannot have a binding legal agreement). Wisniewski May 23, 1989 Page Two If, for some reason, the terms of the proposed gift are not acceptable to the County, then we offer, as an alternative, to sell you the building for $240,000, which is substantially below the present appraised value of $606,000. The purchase at this price would satisfy the requirement imposed by the Commissioner of Commerce and would, still, represent a substantial gift to the County. The choice is up to you, we at the Bank are still convinced that our present building would make an excellent County branch library. We would like to make a gift to the County for that purpose. If the County chooses the less complication purchase/gift arrangement, we would consider with our accountants an installment payment arrangement for the $240,000 purchase price. On the other hand, if you prefer the more complicated gifting transaction, we are confident we can work out the details. Please let me know when we can meet with you and discuss the details.
