of this License Agreement for Retaining Wall and Fence are intended for the benefit of the <br />parties hereto and are not intended to create any third party beneficiaries. <br />5.3 VALIDITY. If any portion, section, subsection, sentence, clause, paragraph or <br />phrase of this License Agreement for Retaining Wall and Fence is for any reason held to be <br />invalid, such decision shall not affect the validity of the remaining portion of this License <br />Agreement for Retaining Wall and Fence. <br />5.4 AMENDMENT. The parties hereto may by mutual written agreement amend this <br />License Agreement for Retaining Wall and Fence in any respect. Any agreement on the part of <br />any party for any such amendment must be in writing. <br />5.5 GOVERNING LAW. This License Agreement for Retaining Wall and Fence <br />shall be governed by and construed in accordance with the laws of the State of Minnesota. <br />5.6 NOTICE. Any notice required to be given under this License Agreement for <br />Retaining Wall and Fence shall be sufficiently given by one party to the other if in writing and if <br />and when delivered or tendered either in' person or by depositing it in the United States mail in a <br />sealed envelope, by certified mail, return receipt requested, with postage and postal charges <br />prepaid, addressed as follows: <br />If to City: City of Lauderdale <br />Attention: City Administrator <br />1891 Walnut Street <br />Lauderdale, MN 55113 <br />If to Owners: Thomas and Andrea Moffatt <br />1773 Fulham Street <br />Lauderdale, MN 55113 <br />or to subsequent owners as provided in records maintained by Ramsey County, Property Records <br />and Revenue Department. Notices shall be deemed to have been duly given on the date of <br />service if served personally on the party to whom notice is to be given, or on the third day after <br />mailing if mailed as provided above. <br />5.7 COUNTERPARTS. This License Agreement for Retaining Wall and Fence may <br />be executed in any number of counterparts, each of which shall be deemed an original but all of <br />which shall constitute one and the same instrument. <br />5.8 HEADINGS. The subject headings of the paragraphs and subparagraphs of this <br />License Agreement for Retaining Wall and Fence are included for purposes of convenience only, <br />and shall not affect the construction of interpretation of any of its provisions. <br />IN WITNESS WHEREOF, the parties have executed this License Agreement for <br />A-4 <br />361051 REB NW415-94 <br />
