Any purported amendment shall not be effective unless it shall <br />be set forth in writing and executed by both parties or their respective successors or assigns. <br /> <br />22. BINDING EFFECT; ASSIGNMENT. This Purchase Agreement shall be binding <br />upon and inure to the benefit of the parties and their respective heirs, executors. <br />administrators, successors and assigns. Buyer shall not assign its rights and interest <br />hereunder without notice to Seller, and Seller shall give notice to Buyer of assignment of its <br />interests in the manner prescribed in paragraph 23. <br /> <br />23. NOTICE. Buyer and Seller agree to cooperate with the <br />other and their representatives regarding any reasonable requests made subsequent to the <br />execution of this Purchase Agreement to correct any clerical errors in this Purchase <br />Agreement and to provide allY and all additional doCllll1entation deemed necessary by either <br />party to effectuate the transaction contemplated by this Purchase Agreement. <br /> <br />26.
