STRIKETHROUGH VERSION <br />Coalition between Board meetings, but at all times, shall be subject to the control and <br />direction of the Board. <br />The Operating Committee shall meet as needed at a time and place to be determined by <br />the Chair of the Operating Committee. <br />The Board may establish such other committees, task forces or working groups as it <br />deems appropriate. <br />6) MEETINGS. The Coalition shall meet on call of the president, the Executive Vice <br />president and Chief Oneratin~ Officer or of the Operating Committee. <br />7) FINANCIAL MATTERS. Coalition funds may be expended by the Board. Other legal <br />instruments shall be executed by Coalition officers with authority granted by the Board. <br />The Board shall have no authority to expend funds in excess of the Coalition funds or <br />incur any debt. <br />The financial contribution of the members in support of the Coalition shall be P~ <br />in 11 B r .Each of the members shall, by February <br />2nd of each year, pay to the Coalition an amount as annually determined by the Board <br />. The <br />Board may authorize changes in the P°.- _~r_+~ ='~~~•a° member assessment for all <br />members upon majority vote. The annual member assessment levy shall be determined <br />by October 1st of the preceding year. <br />The Board may receive financial contributions from counties. non-profit organizations <br />private associations, entities or financial institutions. The Board may make such <br />ounties. non-profit organizations, associations, entities or institutions honorary associate <br />members. Honorary associate members may send representatives to Board meetings, but <br />shall not be entitled to representation on the Board or have any voting rights. <br />8) BYLAWS. The Board of Directors shall adopt such bylaws and procedures as it deems <br />appropriate for the administration of the Coalition and the conduct of its meetings. Such <br />bylaws may be adopted and amended only by a majority vote of all Board Members. <br />9) OFFICERS. At the first meeting of the Board of Directors in each year, the Board will <br />elect from its members a President, a Vice President, a Treasurer and a Secretary and <br />such other officers as it deems necessary to conduct its meetings and affairs. <br />10) POWERS. <br />A. The Coalition may employ such persons as it deems necessary to accomplish its <br />purposes. <br />B. The Coalition may contract with any members, other governmental units or other <br />entities to accomplish its purposes. <br />
