DRAFT <br /> iparties as follows: 4.15.2004 <br /> Authority: The Mounds View Economic Development <br /> Authority <br /> 2401 Highway 10 <br /> Mounds View,MN 55112-1499 <br /> Developer: Pro Craft Development,LLC <br /> ATTN: Jim Melcher <br /> 102 Bridgewater Drive <br /> Vadnais Heights,MN 55127 <br /> or at such other address with respect to either such party as that party may, from time to <br /> time,designate in writing and forward to the other as provided in this Section. <br /> 19.4. Construction. The captions and headings of the various sections of this <br /> Agreement are for convenience only and are not to be construed as defining or as limiting in <br /> any way the scope or intent of the provisions hereof. Wherever the context requires or <br /> permits, the singular shall include the plural, the plural shall include singular, and the, <br /> masculine, feminine and neuter shall be freely interchangeable. <br /> 19.5. Assignability. This Agreement and the rights set out herein may be assigned <br /> by Developer only upon notice to, and approval by, Authority, provided, however, any <br /> assignment shall not release Developer from any liability under this Agreement. <br /> 19.6. Entire Agreement. This Agreement sets forth the entire understanding of the <br /> parties and may be amended, modified or terminated only by an instrument signed by the <br /> parties. <br /> 19.7. Counterparts. For the convenience of the parties, any number of counterparts <br /> hereof may be executed and each such executed counterpart shall be deemed an original,but <br /> all such counterparts together shall constitute one in the same Agreement. <br /> 19.8. Binding Effect. This Agreement (including without limitation, the <br /> representations and warranties set forth in Section 7 hereof) shall inure to the benefit of and <br /> bind the respective heirs, executors, administrators and assigns of Developer and Authority, <br /> including without limitation any successor in interest to either Developer or Authority with <br /> respect to this Agreement or the Property or both. <br /> 19.9. Conflict of Interests; Authority Representatives Not Individually Liable. The <br /> Authority and the Developer, to the best of their respective knowledge, represent and agree <br /> that no member, official, or employee of the Authority shall have any personal interest, <br /> direct or indirect, in this Agreement, nor shall any such member, official, or employee <br /> SJR-245249v4 <br /> MU205-29 <br /> 16 <br />
