The waiver by Grantor or Grantees of any breach of any term of this Agreement <br /> shall not be deemed a waiver of any prior or subsequent breach of the same term or any <br /> other term of this Agreement. <br /> 14. Entire Agreement. This Agreement, together with any exhibits hereto, which are <br /> incorporated by reference, constitutes the complete and exclusive statement of all mutual <br /> understandings between the parties with respect to this Agreement, superseding all prior <br /> or contemporaneous proposals, communications, and understandings, whether oral or <br /> written, concerning this Agreement. This Agreement may be modified or amended only <br /> by court order or by a writing executed by all the parties hereto under the provisions of <br /> this Agreement. <br /> 15. Headings. Any headings appearing at the beginning of the several sections contained in <br /> this Agreement have been inserted for identification and reference purposes only and <br /> shall not be used in the construction and interpretation of this Agreement. <br /> 16. Severability. If any part of this Agreement shall be held invalid, it shall not affect the <br /> validity of the remaining parts of this Agreement, provided that such invalidity does not <br /> materially prejudice either party under the remaining parts of this Agreement and this <br /> Agreement shall be construed as if the unlawful or unenforceable provision or application <br /> had never been contained herein or prescribed hereby. <br /> 17. Choice of Law and Venue. This Agreement shall be governed by and construed in <br /> accordance with the laws of the State of Minnesota. Any disputes, controversies, or <br /> claims arising out of this Agreement shall be heard in the state or federal courts of <br /> Minnesota, and all parties to this Agreement waive any objection to the jurisdiction of <br /> these courts,whether based on convenience or otherwise. <br /> 4 <br /> 467428v3 SJR MU210-5 <br />
