This Agreement shall be interpreted in accordance with the laws of the State of Minnesota. 13. In the event the City is unable to secure funds from the State of Minnesota to reimburse the County for its expenses and payments to the consultant under this agreement or any other agreement or is otherwise unable to reimburse the County before completion of the project, it shall immediately notify the County of such inability so that the County may terminate its agreement with the consultant. Upon such notice by the City the County may also terminate this Agreement in its discretion. Notwithstanding termination. of this Agreement by the County due to the City's inability to obtain funds from the State of Minnesota, the City shall remain liable to reimburse the County for all finds expended or owing to the consultant for work done prior to termination by the County of its contract with the consultant. 1N WITNESS WHEREOF, the parties have caused this Agreement to be executed effective as of the last of the dates indicated below.
