12.2.1.3 as a result of a decision by a court of competent jurisdiction. <br />12.2.2 The County may terminate this Agreement on twenty-four calendar months' <br />written notice of action of the County Board. <br />12.2.3 A Member may not withdraw from this Agreement during the Initial Term. <br />12.2.4 Following the end of the Initial Term, a Member may withdraw from this <br />Agreement only at the same time it withdraws from the Dispatch Agreement. <br />A Member may only terminate this Agreement at the end of a calendar year <br />by action of its governing body and upon a minimum of twelve (12) months <br />prior written notice to the other Parties to this Agreement. <br />12.2.5 A Member that withdraws forfeits any claim to any outstanding fund balance <br />in the System Replacement and Investment Funds. <br />12.2.6 Withdrawal from this Agreement by a Member shall not constitute <br />withdrawal by any other Member. <br />12.3 Indemnification and Insurance <br />12.3.1 Each Party agrees that it will be responsible for its own acts and the acts of <br />its employees, elected officials, and agents as they relate to this Agreement <br />and for any liability resulting therefrom, to the extent authorized by law, and <br />shall not be responsible for the acts of other Parties to this Agreement or <br />their employees, elected officials, and agents, or for any liability resulting <br />therefrom. Each Party's liability shall be governed and limited by the <br />Municipal Tort Claims Act, Minn. Stat. Chapter 466 and other applicable law. <br />12.3.2 The County agrees to maintain property insurance coverage throughout the <br />Term of this Agreement, including the Initial Term and all Renewal Terms, on <br />the ECC facility and all of the County -owned equipment. <br />12.3.3 The County and each Member waive all rights against the other Parties for <br />damages caused by fire or other perils to the extent covered by property <br />insurance obtained pursuant to this Section. The policies shall provide such <br />waivers of subrogation by endorsement or otherwise. A waiver of <br />subrogation shall be effective as to a person or entity even though that <br />person or entity would otherwise have had a duty of indemnification, <br />contractual or otherwise, did not pay the insurance premium directly or <br />indirectly, or had or did not have an insurable interest in the property <br />damaged. <br />12.4 Non -Assignability <br />12.4.1 No Party shall assign any interest in this Agreement nor transfer any interest <br />in the same, whether by subcontract, assignment or novation. <br />12.5 Compliance With Applicable Law <br />12.5.1 All Parties agree to comply with all federal, state and local laws, resolutions, <br />ordinances, rules, regulations and executive orders pertaining to unlawful <br />CAD and Mobile Data Agreement Ramsey County and User Members Page 36 of 48 <br />
