law. Nor shall Comcast apply or seek to apply all or any part of the amount <br />of any of said taxes or fees of general applicability as a deduction or other <br />credit from or against any of its franchise fee obligations, except as <br />expressly permitted by law. <br />vii. Comcast shall ensure that persons or entities that only subscribe to non - <br />cable service (e.g., persons who subscribe only to high-speed Internet <br />access, telephone service, alarm monitoring, or a combination of services <br />that does not include cable service) are not assessed cable service franchise <br />fees on ancillary charges imposed by Comcast on such subscribers, <br />including but not limited to late fees, convenience fees and non -sufficient <br />funds (NSF) charges, unless the imposition of cable service franchise fees <br />is permitted by applicable laws or regulations. <br />4. Access to Records. The City/Commission shall have the right to inspect, upon <br />reasonable notice and during normal business hours, or require Grantee to provide within a <br />reasonable time copies of any records maintained by Grantee which relate to System operations <br />including specifically Grantee's accounting and financial records and which are reasonably <br />necessary for determining compliance with this Agreement. <br />5. Reuorts and Maus to be Filed with Cit <br />a. Grantee shall file with the City/Commission, at the time or payment of the <br />Franchise Fee, a report of all Gross Revenues in form and substance as required by <br />City/Commission, an example of which is attached hereto as Exhibit E. <br />b. Grantee shall prepare and furnish to City/Commission, at the times and in <br />the form prescribed, such other reasonable reports with respect to Grantee's operations <br />pursuant to this Franchise as City/Commission may require provided that such reports shall <br />be consistent with the way Grantee maintains the information in the ordinary course of <br />business, all requests are reasonably and directly related to the enforcement of this <br />Agreement, all produced information is subject to an acceptable confidentiality agreement, <br />and Grantee shall have no less than 20 business days to produce such information with <br />further extensions reasonably granted as needed based on the nature of the request. <br />C. If required by City/Commission, Grantee shall furnish to and file with <br />City/Commission the maps, plats, and permanent records of the location and character of <br />all facilities constructed, including underground facilities, and Grantee shall file with <br />City/Commission updates of such maps, plats and permanent records annually if changes <br />have been made in the System. <br />6. Periodic Evaluation. <br />a. The City/Commission may require evaluation sessions at any time during <br />the term of this Franchise, upon fifteen (15) days written notice to Grantee, but no <br />frequently than one every twenty-four (24) months. <br />22 <br />
