Upon satisfying <br /> these goals, nothing herein shall beconstrued as imposing on the. <br /> Developer any obligation beyond any obligation otherwise imposed <br /> by law to cause such minimum employment and wage levels to be <br /> maintained. In the event that these goals are not met, the <br /> Developer, the City shall enter into an agreement providing for <br /> the repayment to the City of the financial assistance provided by <br /> the City to the Developer pursuant to this Agreement. If the <br /> Jobs Act is amended or repealed, this Section 11. 9 and Section <br /> 11 . 10 (as applied to the Jobs Act) shall be deemed amended or <br /> shall terminate and be of no force and effect to conform to said <br /> amendment or repeal, as the case may be. <br /> Section 11. 10. Reports. Subject to Section 11.9, the <br /> Developer shall provide the City reports in a timely manner with <br /> such information about the Project as the City may reasonably <br /> request, including information regarding goals as to minimum <br /> employment and wage levels set forth in Section 11.9, for <br /> purposes of satisfying any reporting requirements imposed by law <br /> on the City. <br /> Section 11.11.. City Approvals. Any approval, execution of <br /> documents, or other action to be taken by the City pursuant to <br /> this Agreement, for the purpose of carrying out the terms of this <br /> Agreement or for the purpose of determining sufficient ' <br /> performance by Developer under this Agreement, may be made, <br /> executed or taken by the Mayor and Administrator of the City <br /> without further approval by the City Council. The Mayor and <br /> Administrator of the City may, but shall not be required to, <br /> consult with other City staff with respect to such matters. <br /> Section 11.12 . Rule of Construction. The parties agree that <br /> this Agreement is not intended, nor shall it be construed, as a <br /> joint venture or other partnership between the City and the <br /> Developer or as empowering the Developer to act as an agent of <br /> the City, it being the intent of the parties that the Developer <br /> is at all times acting as an independent contractor and not as a <br /> partner or agent of the City. <br /> 965316.Red <br /> v2 is Vi; i2/it/ss 30 <br />
