5.7 All services provided by the Fire Department, its officers, employees, agents and <br /> representatives pursuant to this Agreement shall be provided by such persons as independent <br /> contractors,not as employees of the Municipality for any purpose. With respect to such individuals, <br /> the Fire Department shall remain responsible for: <br /> (a) Federal and State income tax withholding; <br /> (b) Workers' compensation; <br /> (c) Unemployment compensation; and <br /> (d) FICA. <br /> 5.8 The execution,delivery and performance of this Agreement by the Fire Department <br /> and the consummation of the transactions contemplated hereby do not and will not conflict with the <br /> Fire Department's Articles of Incorporation or Bylaws. <br /> ARTICLE VI. DUTY TO COOPERATE <br /> 6.1 The Fire Department shall have all reasonable and necessary cooperation and <br /> assistance from the Municipality,its officers,agents,and employees as may be reasonably necessary <br /> or desirable to facilitate the Fire Department's performance of this Agreement. <br /> 6.2 The Municipality shall have all reasonable and necessary cooperation and assistance <br /> from the Fire Department, its officers, agents, and employees as may be reasonably necessary or <br /> desirable to facilitate the Municipality's performance of this Agreement. <br /> ARTICLE VII. INDEMNIFICATION AND RESPONSIBILITY <br /> 7.1 On or before the date hereof, the Municipality will, by resolution, approve this <br /> Agreement and appoint the Fire Department and its designated representative(s) as its "building <br /> official"or"his authorized representative"(as those terms are defined below). <br /> 7.2 The Municipality acknowledges, represents, warrants and agrees that the Fire <br /> Department and its officers, employees, representatives and agents will be serving as a"building <br /> official"or"his authorized representative"within the meaning and contemplation of§ 16B.65 of the <br /> Minnesota Statutes and § 104.2.6, § 202-204(f) or other comparable provision of the Uniform <br /> Building Code, and will be rendering an essential public service in connection with the services <br /> performed under this Agreement. <br /> 7.3 The Municipality acknowledges and agrees as follows: <br /> THE ENFORCEMENT AND ADMINISTRATION OF THE MINNESOTA STATE BUILDING <br /> CODE IS A PUBLIC SERVICE AND IS OF NECESSITY LIMITED IN NATURE. <br /> CONSEQUENTLY,THIS BUILDING PERMIT OR CERTIFICATE OF OCCUPANCY OR ANY <br /> BUILDING INSPECTIONS OR SERVICES RENDERED BY THE MUNICIPALITY,THE FIRE <br /> Doc# 1100691\7 4 <br />
