EXHIBIT <br /> III <br /> AGREEMENT <br /> This Agreement is made between the Fridley Housing and Redevelopment Authority(hereinafter. <br /> the "HRA") and the Mounds View Economic Development Authority (hereinafter. "MEDA") on <br /> this day of . 1998. <br /> The HRA agrees to execute a contract with Robert Gerloff Residential Architects,Kristi Johnson, <br /> and Peter Musty (hereinafter, the "Architects") in the amount of$60,000.00 for the preparation <br /> of a remodeling plan book for housing in fully developed and/or inner ring cities of the Twin <br /> Cities metropolitan area. <br /> MEDA agrees to pay $5,000.00 to the HRA as its share of the costs to be incurred by the HRA <br /> for the services of the Architects in preparing the remodeling plan book, as described in Exhibit <br /> 1 to this Agreement. As a condition to MEDA's responsibility to perform under this Agreement. <br /> the HRA must procure the participation of at least eleven other cities. If this condition is not <br /> satisfied. MEDA is excused from performing under the contract. <br /> The HRA agrees to produce a remodeling plan book and provide copies of the remodeling plan <br /> 0 book to MEDA and/or a computer disk containing the remodeling plan book. <br /> The HRA acknowledges that it has sole responsibility for paying all amounts due to the <br /> Architects for preparation of the remodeling plan book. The HRA agrees that if, after paying the <br /> Architects' fees, insufficient funds remain for publishing and printing the remodeling plan book, <br /> the HRA will provide MEDA with a copy of the computer disk produced by the Architects with <br /> the remodeling plan book on the disk. <br /> Except for any breach of the representations of the HRA, any willful misrepresentation or any <br /> willful or wanton misconduct of the HRA, or the negligence or other wrongful act or omission <br /> of any officers. agents and employees of the HRA.MEDA agrees to indemnify and hold harmless <br /> the HRA and its officers, agents and employees against any claim, demand. suit action or other <br /> proceeding arising pursuant to this Agreement resulting from actions or failures to act by the <br /> HRA or its governing body members, officers, agents or employees, provided that the foregoing <br /> indemnification shall not be effective for any actions of the HRA that are not contemplated by <br /> this Agreement. <br /> • <br /> The HRA agrees that the $5,000 paid by MEDA pursuant to this Agreement will be used solely <br /> for the purpose of producing a remodeling plan book as described in this Agreement The HRA <br /> further agrees to refund any unused portion of the $5.000 paid by MEDA. <br /> • s.-��3gg�7 <br /> =1O-12 1 <br /> 219-1 80/P0'd 995-1 OtE82EEZ19 HAM 7 A03NN3)I-mold me05:8O 88-81-gad <br />
