Dec 3 '98 1843 P.06 <br /> WORKERS' COMPENSATION <br /> By executing this Agreement, ETC certifies that they have reviewed the provisions of the <br /> Minnesota Statutes with respect to workers' compensation, and ETC restates that it is an <br /> independent contractor and certifies that ETC will comply with the provisions of the Workers' <br /> Compensation Statute as an independent contractor before commencing the performance of <br /> work in this Agreement. <br /> INDEMNITY <br /> ETC shall indemnify City against any and all losses, liabilities, damages, costs and <br /> expenses, (including costs of defense, settlement, and reasonable attorney's fees (by reason of <br /> liability imposed by law upon City) for damages as a result of bodily injury, including death, at <br /> anytime resulting therefrom sustained by any person or persons or on account of damaged <br /> property, including lessor, arising out of or as a consequence of performance of the services <br /> pursuant to this Agreement and caused by the negligent acts or omissions of ETC. <br /> INSURANCE <br /> • <br /> ETC agrees to provide the City with a copy of its Certification of Insurance for catering <br /> and all appropriate licenses. The amounts of insurance shall be no less than the statutory <br /> amounts required by Cities. <br /> GOALS, PRINCIPALS AND POLICIES <br /> • <br /> In connection with the exercise of this agreement, ETC shall act in a manner consistent <br /> with the City's basic goals, principals and policies. <br /> GOOD FAITH <br /> In the event that any agreement, approval, consent, or other action or decision is <br /> permitted or is required hereunder, the parties shall act in good faith and in a reasonable <br /> manner in connection therewith, <br /> IMPLEMENTATION OF AGREEMENT <br /> The parties agree that any disagreement, dispute or claim that arises regarding the <br /> exercise of this Agreement shall be resolved as follows: <br /> • 5 <br />
