(hereinafter referred to as "Continental") and US West, <br /> Inc., or a wholly owned subsidiary thereof(hereinafter referred to as "US West"). <br /> Federal Communications Commission Form 394 ("FCC 394") dated April 19, 1996, was <br /> received by the various Franchise Authorities (hereinafter "Authority" or "Authorities") on dates <br /> ranging from April 19 through April 22. This transaction is designed to follow immediately as <br /> it relates to the Authorities' systems, the transfer of Meredith/New Heritage Strategic Partners, <br /> L.P. to Continental. Federal law provides for a 120 day review period from the date of receipt <br /> of FCC 394, together with all exhibits and any additional information required by the terms of the <br /> OFranchise Agreement or operative state or local law.
