NATIONAL SPORTS CENTER <br /> • ICE ARENA <br /> MASTER AGREEMENT <br /> I. Purpose <br /> THIS MASTER AGREEMENT shall be effective as of the first day of January 1997, and is <br /> made and entered into by and between the State of Minnesota acting through the Minnesota <br /> Amateur Sports Commission (hereinafter referred to as "MASC"), the City of Mounds View, <br /> Minnesota a political subdivision of the State of Minnesota (hereinafter referred to as "Mounds <br /> View"), the City of Arden Hills, Minnesota, a political subdivision of the State of Minnesota <br /> (hereinafter referred to as "Arden Hills"), the City of New Brighton, Minnesota, a political <br /> subdivision of the State of Minnesota (hereinafter referred to as "New Brighton"), the City of <br /> Shoreview, Minnesota, a political subdivision of the State of Minnesota (hereinafter referred to as <br /> "Shoreview"), Ramsey County, a political subdivision of the State of Minnesota (hereinafter referred <br /> to as "Ramsey") (Mounds View,Arden Hills, New Brighton, Shoreview and Ramsey referred t o <br /> herein as "MANSR", the City of Blaine, Minnesota, a political subdivision of the State of Minnesota <br /> (hereinafter referred to as "Blaine"), and the City of Coon Rapids, Minnesota, a political subdivision <br /> of the State of Minnesota (hereinafter referred to as "Coon Rapids") (each of the parties hereto other <br /> than MASC collectively referred to herein as "the Subdivisions"). <br /> WITNESSETH: <br /> WHEREAS, MASC desires to design, construct, own and operate a four sheet ice arena and <br /> auxiliary facilities (hereinafter referred to as the "Facility") to be located on the property owned by <br /> MASC consisting of the National Sports Center located at 1700 105th Avenue NE, in the City of <br /> 0 Blaine, Minnesota (hereinafter referred to as the"NSC") pursuant to authority granted to it under <br /> Minnesota Statutes, Chapter 240A(hereinafter referred to as the "MASC Act"): and <br /> 'WHEREAS, the Subdivisions wish to enter into an agreement with MASC under Minnesota <br /> Statutes, Section 471.59 under which the Subdivisions will participate in the financing of the <br /> ownership and operation of the Facility agree to purchase certain portions of the ice time available in <br /> the Facility, and provide certain guarantees need to accomplish the financing of the Facility, all <br /> pursuant to authority granted to them pursuant to Minnesota Statutes, Sections 471.59, and <br /> 471.191, Minnesota Statutes, Chapter 475 and various general and special laws and charter <br /> provisions governing the operation of the Subdivision, and <br /> WHEREAS, the MANSR Subdivisions have entered into certain Supplemental Agreements <br /> regarding the contribution of capital to the Facility attached hereto as Exhibit A; and <br /> The purpose of this agreement is to enable WHEREAS, each of the Subdivisions have adopted <br /> resolutions approving participating the financing of the construction and operation of the Facility <br /> pursuant to this Master Agreement in the form for each Subdivision as attached in Exhibit B; and <br /> WHEREAS, the facility is intended to be financed with capital contributions from the <br /> parties hereto and with the proceeds of bonds be issued by the Anoka County Housing and <br /> Redevelopment Authority (hereinafter referred to as the "HRA"), further secured through the <br /> issuance of general obligation bonds of Anoka County (hereafter referred to as "Anoka County"), <br /> pursuant to a resolution or resolutions of the HRA and Anoka county and an agreement among the <br /> HRA, Anoka County and MASC governing the issuance of the bonds, the security for the bonds, <br />
