August 9, 1996 <br /> Page 5 <br /> Authorities, as well as the cadre of Continental officers and staff which are represented as being <br /> merged into US West's operating subsidiary, albeit unformed as of this drafting. <br /> In analyzing the transaction, the Authority must consider whether US West meets all of <br /> the criteria originally considered in the granting of the Franchise. Note, however, that this <br /> analysis is not a comparison between Continental and US West. Rather, this analysis is an <br /> application of factors to determine whether US West satisfies the standards to the reasonable <br /> satisfaction of the Authority.. <br /> The Authority should focus on the following factors in determining whether to approve <br /> 0 or deny the transfer: <br /> i. Legal and character qualifications of US West and its operating subsidiary; <br /> ii. Technical ability of US West, its operating subsidiary and staff; <br /> iii. Financial stability of US West, its operating subsidiary; and <br /> iv. Other appropriate factors. <br /> This office has conducted an extensive review of all relevant materials on behalf of the <br /> Authority. This report is a "shorthand" synthesis of that review in an attempt to fully inform the <br /> Authority without overwhelming the decision-making body with detail and minutia. Obviously, <br /> our review extended far beyond the summary of this report, and we will be available to further <br /> expand on this summary should the Authority have any questions. <br /> 0 <br />
