ATM Space Agreement Date: 1-8-15 Merchant: Mounds View Community Center ATM Owner: ATM Source Address: 5394 Edgewood Drive, Mounds View MN 55112 Address: 8535 Hwy 65, Suite 106, Blaine, MN 55434 General Terms 1. ATM Source, Inc. will provide the ATM, repairs, monthly ATM operating costs, and ATM insurance for the cash dispensing machine at your location within four weeks of the date of this Agreement and will be located there for a period of (5) years and automatically renew for an additional (30) days thereafter, unless terminated by either party by giving the other party written notice of intent not to renew at least ninety (90) days prior to the expiration date of the original term or any renewal thereof. Merchant has the option to purchase this ATM or a different ATM from ATM Source and will continue to process the ATM with ATM Source. The current ATM and all cash inside the ATM will be solely owned and property of ATM Source, Inc. 2. The machine will be located at Mounds View Community Center, 5394 Edgewood Dr, Mounds View, MN 55112. 3. Merchant will be responsible for providing a dedicated 110 volt outlet and internet cable from the router to the ATM, both within 3 feet of each other where the ATM will be bolted to the floor. Merchant agrees to indemnify and hold harmless ATM Source from any direct or indirect claims, liabilities or costs arising from the operation and use of or around the ATM. 4. Income based on $ 1.95 surcharge and will be paid as follows: $ .50 cents per surcharged withdrawal paid to Merchant after the ATM has completed 125 surcharged withdrawals per month, as long as the networks and regulation allow ATM surcharging. Income on all surcharged transactions will be sent via ACH to Merchant’s account at the address listed above by the 30th of the following months transactions. 5. Either party may cancel the Agreement at the end of the term by providing written notice. ATM Source may cancel the agreement at any time if surcharged withdrawals average below 125 per month. 6. Merchant is expected to list the ATM with their insurance company as “property of others.” Coverage for fire vandalism and all-risk perils (special perils), showing ATM Source as loss payee is to be provided. 7. While this agreement is in effect, merchant will not allow any other ATM service provider to operate an ATM cash dispensing machine at the location listed above. 8. Any ATM signage displayed must be approved by ATM Source and merchant. 9. If Merchant decides to cancel this agreement, notice shall be sent by certified mail, addressed as shown above giving proper notice, as listed in line item one. ACH AUTHORIZATION RELEASE (PLEASE TYPE OR PRINT - ATTACH VOIDED CHECK) _______________________ hereby authorizes ATM SOURCE to initiate ACH transfer entries for Adjustments, Error Corrections, Daily Transaction Settlement, and any fees owed to ATM SOURCE, through our Demand Deposit Account at: Financial Institution Name: Phone: : Address: Routing Transit Number: Account Number: All disputes concerning this Agreement shall be resolved through arbitration and the American Arbitration Association of Minneapolis Minnesota. Merchant will notify ATM Source if surcharge sticker, Braille stickers, and/or bank or card network stickers are not located on ATM and if audio jack isn’t working.
