Construction. The captions and headings of the various sections of this <br /> Agreement are for convenience only and are not to be construed as defining or as limiting <br /> in any way the scope or intent of the provisions hereof. Wherever the context requires or <br /> permits, the singular shall include the plural, the plural shall include singular, and the, <br /> masculine, feminine and neuter shall be freely interchangeable. <br /> 19.5. Assignability_. This Agreement and the rights set out herein may be <br /> assigned by Developer upon notice to Authority,provided, however, any assignment shall <br /> not release Developer from any liability under this Agreement. <br /> 19.6. Entire Agreement. This Agreement sets forth the entire understanding of <br /> the parties and may be amended, modified or terminated only by an instrument signed by <br /> the parties. <br /> • 19.7. Counterparts. For the convenience of the parties, any number of <br /> counterparts hereof may be executed and each such executed counterpart shall be deemed <br /> an original, but all such counterparts together shall constitute one in the same Agreement. <br /> 19.8. Binding Effect. This Agreement (including without limitation, the <br /> representations and warranties set forth in Section 7 hereof) shall inure to the benefit of <br /> and bind the respective heirs, executors, administrators and assigns of Developer and <br /> Authority, including without limitation any successor in interest to either Developer or <br /> Authority with respect to this Agreement or the Property or both. <br /> 19.9. Conflict of Interests: Authority Representatives Not Individually Liable. <br /> The Authority and the Developer, to the best of their respective knowledge, represent and <br /> agree that no member, official, or employee of the Authority shall have any personal <br /> interest, direct or indirect, in this Agreement, nor shall any such member, official, or <br /> employee participate in any decision relating to this Agreement which affects his or her <br /> personal interests or the interests of any corporation, partnership, or association in which <br /> he or she is directly or indirectly interested. No member, official, or employee of the <br /> Authority shall be personally liable to the Developer, or any successor in interest, in the <br /> event of any default or breach by the Authority, or for any amount which may become <br /> due to the Developer or successor or on any obligations under the terms of this <br /> • Agreement. <br /> 19.10.
