ADDENDUM TO ROYAL VENDING SERVICE PROMISE AGREEMENT <br /> <br /> <br /> <br /> THIS ADDENDUM TO ROYAL VENDING SERVICE PROMISE <br />AGREEMENT is entered into on this ____ day of April, 2008, by and between <br />the City of Mounds View, a municipal corporation under the laws of the State of <br />Minnesota (“City”), and Royal Vending, Inc., a Minnesota corporation <br />(“Operator”). <br /> <br />WITNESSETH: <br /> <br />WHEREAS, City and Operator desire to amend certain provisions of the <br />Operator’s Royal Vending Service Promise Agreement (“Agreement”); <br /> <br /> WHEREAS, City and Operator desire to permit the City to cancel with or <br />without cause the Agreement with thirty (30) days notice to Operator; and <br /> <br /> WHEREAS, City and Operator desire to permit City to establish guidelines <br />for items available in Operator’s vending machines. <br /> <br /> NOW, THEREFORE, the Agreement is hereby amended as follows: <br /> <br />1. The first sentence of paragraph nine (9) of the Agreement shall be <br />amended to be stated as follows: <br /> <br />This Agreement may be cancelled by City for any reason with thirty <br />(30) days notice to Operator. <br /> <br />2. The Agreement shall include a vending items suggestions <br />paragraph as set forth below: <br /> <br />12. Vending Items Suggestions. At all times during the <br />Agreement, the City shall be permitted to make suggestions <br />to Operator on the items available for purchase from <br />Operator’s vending machines. City’s suggestions are not <br />limited to, but may include requests for specific types or <br />brands of items and heart-healthy offerings. Operator <br />agrees to respond to City’s suggestions in a timely and good <br />faith manner. <br /> <br />3. With these amendments, City and Operator ratify and affirm the <br />Agreement. Except as amended herein, all terms, conditions, provisions, <br />covenants and agreements contained in the Agreement are hereby ratified and <br />affirmed in their entirety. The terms used herein and not otherwise defined in this <br />Addendum shall have the same meaning as set forth in the Agreement.
