<br /> <br />RESOLUTION 7386 <br /> <br />CITY OF MOUNDS VIEW <br />COUNTY OF RAMSEY <br />STATE OF MINNESOTA <br /> <br />AUTHORIZE EXECUTION OF AN ASSIGNMENT, ASSUMPTION AND CONSENT <br />AGREEMENT TO LEASE <br /> <br />WHEREAS, the City of Mounds View, as landlord (“Landlord”), and Creative Kids <br />Child Care Center II, Inc., a Minnesota corporation, as tenant (“Tenant”) entered into a <br />leased dated November 20, 2006 (“Lease”); and <br /> <br /> WHEREAS, Tenant intends to sell the Creative Kids Child Care Center II, Inc. <br />company (“Company”) to Rajiv Garg, an Individual, and Sangeeta Jain, an Individual <br />(collectively “Assignee”); and <br /> <br />WHEREAS, in connection with the sale of the Company to Assignee, Tenant has <br />requested that Landlord consent to the assignment of the Lease to Assignee by executing <br />the document entitled Assignment, Assumption and Consent Agreement to Lease <br />(“Agreement”) which is attached hereto as Exhibit A. <br /> <br /> NOW, THEREFORE, BE IT RESOLVED by the City Council of the City of Mounds <br />View, Ramsey County, Minnesota as follows: <br /> <br />1. The Recitals set forth above are incorporated into this Resolution <br />as if fully set forth herein. <br /> <br />2. The Agreement is deemed acceptable and the Mayor and Clerk- <br />Administrator are authorized to execute the Agreement and to take all <br />necessary and reasonable steps to effectuate the Agreement. <br /> <br />3.
