<br />18 <br />516911v4 JAE MU205-47 <br />ARTICLE VIII <br /> <br />Prohibitions Against Assignment and Transfer; Indemnification <br /> <br /> <br />Section 8.1. Representation as to Development. The Developer represents and agrees that its <br />purchase of the Development Property, and its other undertakings pursuant to the Agreement, are, and <br />will be used, for the purpose of development of the Development Property and not for speculation in land <br />holding. <br /> <br /> Section 8.2. Prohibition Against Developer’s Transfer of Property and Assignment of <br />Agreement. The Developer represents and agrees that until either the issuance of the Certificate of <br />Completion for the Minimum Improvements or the Termination Date, as applicable: <br /> <br /> (a) Except as specifically described in this Agreement, the Developer has not made or <br />created and will not make or create or suffer to be made or created any total or partial sale, assignment, <br />conveyance, or lease, or any trust or power, or transfer in any other mode or form of or with respect to <br />this Agreement or the Development Property or any part thereof or any interest therein, or any contract or <br />agreement to do any of the same, to any person or entity (collectively, a “Transfer”), without the prior <br />written approval of the Authority’s board of commissioners. The term “Transfer” does not include <br />(i) made or granted by way of security for, and only for, the purpose of obtaining construction, interim or <br />permanent financing necessary to enable the Developer or any successor in interest to the Development <br />Property or to construct the Minimum Improvements or component thereof; (ii) any lease, license, <br />easement or similar arrangement entered into in the ordinary course of business related to operation of the <br />Minimum Improvements; (iii) acquisition of a controlling interest in Developer by another entity or <br />merger of Developer with another entity; (iv) any sale, conveyance, or transfer in any form to any <br />Affiliate; (v) a transfer to a third party if the Developer is unable to commence construction by the date <br />provided in Section 4.3 hereof and the Authority terminates this Agreement pursuant to Section 9.2(b) <br />hereof; or (vi) transfers of partnership interest in the Developer, pursuant to the Developer’s Amended <br />and Restated Agreement of Limited Partnership dated ______________. <br /> <br /> (b) If the Developer seeks to effect a Transfer requiring the approval of the Authority after <br />the issuance of the Certificate of Completion, the Authority shall be entitled to require as conditions to <br />such Transfer that: <br /> <br /> (1) any proposed transferee shall have the qualifications and financial responsibility, <br />in the reasonable judgment of the Authority, necessary and adequate to fulfill the obligations <br />undertaken in this Agreement by the Developer as to the portion of the Development Property to <br />be transferred; and <br /> <br /> (2) Any proposed transferee, by instrument in writing satisfactory to the Authority <br />and in form recordable in the public land records of the County, shall, for itself and its successors <br />and assigns, and expressly for the benefit of the Authority, have expressly assumed all of the <br />obligations of the Developer under this Agreement as to the portion of the Development Property <br />to be transferred and agreed to be subject to all the conditions and restrictions to which the <br />Developer is subject as to such portion; provided, however, that the fact that any transferee of, or <br />any other successor in interest whatsoever to, the Development Property, or any part thereof, shall <br />not, for whatever reason, have assumed such obligations or so agreed, and shall not (unless and <br />only to the extent otherwise specifically provided in this Agreement or agreed to in writing by the <br />Authority) deprive the Authority of any rights or remedies or controls with respect to the <br />Development Property, the Minimum Improvements or any part thereof or the construction of the
