Mounds View EDA January 11, 2010 <br />Regular Meeting Page 2 <br /> <br />Attorney. However, the EDA postponed its approval of the revised bylaws because the EDA first 46 <br />wanted to clarify and change certain duties of the EDA’s Treasurer and to elect and appoint EDA 47 <br />officers. In September of 2008, those revisions were completed. Economic Development 48 <br />Specialist Steinmetz summarized the revisions and presented staff’s recommendation to approve 49 <br />the revised bylaws, advising the revisions were also reviewed by City Attorney Riggs. 50 <br /> 51 <br />Commissioner Mueller referenced Section 5.4, and suggested “The Authority” should indicate 52 <br />“The Authority’s” since it speaks to the ownership of the detailed financial statement. The EDA 53 <br />agreed with this revision. 54 <br /> 55 <br />Vice President Stigney referenced Section 3.2, Vacancies, noted that the position of Assistant 56 <br />Treasurer is not a member nor elected, it is appointed by the Authority, and should not be 57 <br />referenced in the first sentence. He suggested the last sentence indicate: “When the office of 58 <br />Executive Director or Assistant Treasurer becomes vacant, the Authority shall appoint a 59 <br />successor.” The EDA agreed with these revisions. 60 <br /> 61 <br />Vice President Stigney referenced Section 3.5, Order of Business, that indicates: “At the regular 62 <br />meetings of the EDA, the following shall be the order of business” and then it lists items that 63 <br />have never been included on the EDA agenda, such as bills and communications. Following 64 <br />discussion, the EDA agreed to revise Section 3.5 to indicate: “At the regular meetings of the 65 <br />EDA, the following may be the order of business.” 66 <br /> 67 <br />Vice President Stigney referenced Section 2.8 indicating: “The Assistant Treasurer shall be 68 <br />elected by the Board” but it would be more consistent with the EDA’s bylaws and State statutes 69 <br />to indicate: “The Assistant Treasurer shall be appointed” by th e Board,” the same as for the 70 <br />Executive Director. The EDA agreed with this revision. 71 <br /> 72 <br />Vice President Stigney referenced Section 3.1 and an inconsistency in language indicating: “The 73 <br />President, Vice President, Secretary, and Assistant Treasurer shall be elected annually at the first 74 <br />meeting of the year;” however, only the positions of President, Vice-President, Treasurer, and 75 <br />Secretary need to be annually elected. He stated this section should not reference Assistant 76 <br />Treasurer. The EDA agreed with this revision. 77 <br /> 78 <br />Executive Director Ericson explained staff tried to mirror the language contained in State 79 <br />statutes. He noted the Assistant Treasurer position is an elected position by the Authority in the 80 <br />Statutes but the EDA can indicate this position is appointed. He stated staff will revise the 81 <br />bylaws so wording is consistent to indicate the positions of Assistant Treasurer and Executive 82 <br />Director are appointed positions and handled in the same manner. The EDA agreed with this 83 <br />revision. 84 <br /> 85 <br />President Flaherty reviewed bylaws language and noted it does not differentiate that the 86 <br />Executive Director and Assistant Treasurer are not voting members of the Authority, which 87
