2. Termination a. A three year agreement with an annual review process during which either the City or District 621 may terminate this agreement with or without cause upon sixty(60) days written notice to the other party. The City shall be entitled to receive a proportionate payment for the services provided by the police school resource officer up to the date of termination. 3. Hold Harmless a. No party to this agreement shall be deemed to assume responsibility for the acts or omissions of the officers, agents or employees of the other parties hereto. Each party will indemnify and hold harmless the other parties to this agreement for the acts or omissions of the officers, agents and employees of the indemnifying party; provided, however, that nothing herein shall be deemed a waiver by any of the parties of the limitations on liability set forth in Minnesota Statutes, Chapter 466; and provided further that the indemnifying party shall not be obligated to indemnify the other parties for any amount in excess of the limitations on liability set forth in Minnesota Statutes, Section 466.04, less any amounts which the indemnifying party is required to pay on its own account or on account of its officers, agents or employees for the same occurrence. 4. Alterations Any alterations, variations, modifications, or waivers of provisions of this Agreement shall only be valid when reduced to writing and signed by authorized representatives of both parties. 5. Data Practices a. All data collected, created, received, maintained or disseminated by the parties to this Agreement is governed by the Minnesota Government Data Practices Act, MN Statute Chapter 13, and other applicable state statutes, and any state rules adopted to implement the Act and statutes, as well as federal statutes and regulations on data privacy.
