<br /> <br />2. Termination <br /> <br />a. A three year agreement with an annual review process during <br />which either the City or District 621 may terminate this agreement <br />with or without cause upon sixty(60) days written notice to the other <br />party. The City shall be entitled to receive a proportionate payment <br />for the services provided by the police school resource officer up to <br />the date of termination. <br /> <br />3. Hold Harmless <br /> <br />a. No party to this agreement shall be deemed to assume <br />responsibility for the acts or omissions of the officers, agents or <br />employees of the other parties hereto. Each party will indemnify <br />and hold harmless the other parties to this agreement for the acts <br />or omissions of the officers, agents and employees of the <br />indemnifying party; provided, however, that nothing herein shall be <br />deemed a waiver by any of the parties of the limitations on liability <br />set forth in Minnesota Statutes, Chapter 466; and provided further <br />that the indemnifying party shall not be obligated to indemnify the <br />other parties for any amount in excess of the limitations on liability <br />set forth in Minnesota Statutes, Section 466.04, less any amounts <br />which the indemnifying party is required to pay on its own account <br />or on account of its officers, agents or employees for the same <br />occurrence. <br /> <br />4. Alterations <br />Any alterations, variations, modifications, or waivers of provisions of this <br />Agreement shall only be valid when reduced to writing and signed by <br />authorized representatives of both parties. <br /> <br />5. Data Practices <br /> <br />a. All data collected, created, received, maintained or disseminated by <br />the parties to this Agreement is governed by the Minnesota <br />Government Data Practices Act, MN Statute Chapter 13, and other <br />applicable state statutes, and any state rules adopted to implement <br />the Act and statutes, as well as federal statutes and regulations on <br />data privacy. <br /> <br /> <br />
