<br />required to make payment on any such lease. <br /> <br />11. Operate and provide the catering and food service in accordance with all federal, state, <br />and local laws, regulations, ordinances, and City policies. ETC will obtain all permits, <br />licenses, and certifications necessary to ensure compliance with all federal, state and local <br />laws, regulations and ordinances. <br /> <br />12. Affirms, that to the best of its knowledge, its involvement in this Agreement does not <br />result in a conflict of interest with any party or entity, which may be affected by the terms <br />of this Agreement. ETC agrees that, should any conflict or potential conflict of interest <br />become known, ETC will immediately notify the City of the conflict or potential conflict. <br /> <br />B. The City=s Duties and Responsibilities. The City agrees to provide the resources to <br />maintain the Facility and associated equipment. In addition, the City agrees to do the following: <br /> <br />1. Maintain liability insurance in accordance with limits established by Minnesota statutes. <br /> <br />2. Provide and maintain the following equipment at the Facility for use by ETC: <br /> a. Ice machine; <br /> b. Refrigerator; <br /> c. Designated area for storage of linens, china, flatware, serving pieces, etc.; and <br /> d. Kitchen facilities as they presently exist at the Center. <br /> <br />3. Provide access for events to ETC for the following: <br />a. Banquet room, kitchen, and storage area; <br />b. Tables and chairs. <br /> <br />4. Ensure that the Facility is cleaned and set up for the event. <br /> <br />5. Provide general custodial services and maintenance for the Facility, other than the service <br />required to be provided by ETC in Article IV, Section 9, and agree to keep the Facility <br />and related equipment in good repair. <br /> <br />ARTICLE V: TERMINATION <br /> <br />If ETC fails to perform any of the terms, conditions, or requirements of this Agreement, the City <br />will give ETC thirty (30) day=s written notice of such failure. After receipt of the written notice <br />of such failure, ETC will have up to thirty (30) days to correct the problem, except that the City, <br />at its sole discretion, may in any case take immediate steps at ETC=s expense to correct a <br />problem in order to protect the health, safety and welfare of the City and the public prior to the <br />end of the thirty (30) day period without affecting the City=s right to terminate ETC. If ETC <br />fails to correct the problem related to the performance of any of the terms, conditions or <br />requirements of this Agreement within the aforesaid thirty (30) day period for such provision, the <br />City may terminate the Agreement by giving ETC thirty (30) day=s written notice of such
