<br /> <br />accordance with the Partnership Agreement by Investor Limited Partner and the replacement of <br />the general partner with an affiliate of Investor Limited Partner, or (d) an amendment of the <br />Partnership Agreement (i) resulting from transfers as described above or (ii) which does not <br />materially and adversely affect the ability of Mortgagor to perform Mortgagor’s obligations <br />under this Mortgage and the Note. Mortgagee further agrees that if its consent is required <br />hereunder as a condition to (a) the transfer of the limited partner interests in Mortgagor owned by <br />the Investor Limited Partner to a party that is not an affiliate of Investor Limited Partner, or (b) <br />the replacement of the general partner of Mortgagor with a party that is not an affiliate of <br />Investor Limited Partner, such consent shall not be unreasonably withheld, conditioned, or <br />delayed. <br />SECTION 4.6. NOTICE. Any notices to be delivered hereunder shall be delivered to the <br />addresses of the appropriate parties as set forth in that certain Loan Agreement by and between <br />the Mortgagor and Mortgagee dated even herewith (the “Loan Agreement”). <br />THIS MORTGAGE IS EXEMPT FROM MORTGAGE REGISTRATION TAX IMPOSED BY <br />MINNESOTA STATUTES, §287.035, PURSUANT TO MINNESOTA STATUTES, § 287.04, <br />BECAUSE THE PRINCIPAL AMOUNT OF THE ORIGINAL MORTGAGE LOAN <br />REFERRED TO HEREIN IS MADE UNDER A LOW AND MODERATE INCOME OR <br />OTHER AFFORDABLE HOUSING PROGRAM AND THE MORTGAGEE IS THE CITY OF <br />MOUNDS VIEW. <br />[The remainder of this page has been left blank intentionally.] <br />
