Coalition between Board meetings, but at all times, shall be subject to the control and <br />direction of the Board. <br />The Operating Committee shall meet as needed at a time and place to be determined by <br />the Chair of Operating Committee. <br />The Board may establish such other committees, task forces or working groups as it <br />deems appropriate. <br />6) MEETINGS. The Coalition shall meet on call of the President, the Executive Director or <br />chair of the Operating Committee. <br />7) FINANCIAL MATTERS. Coalition funds may be expended consistent with the annual <br />operating budget adopted by the Board. Other legal instruments shall be executed by <br />Coalition officers with authority granted by the Board. The Board shall have no <br />authority to expend funds in excess of the Coalition funds or incur any debt. <br />The financial contribution of the members in support of the Coalition shall be <br />determined annually by the Board. Each of the members shall, by February 2 of each <br />year, pay to the Coalition an amount as annually determined by the Board. The Board <br />may authorize changes in the member assessment for all members upon majority vote. <br />The annual member assessment levy shall be determined by October 1 of the preceding <br />year. <br />Special member assessments may be made upon Board approval by majority vote for a <br />project and program not budgeted, however, members shall retain the right to participate <br />in such project or program in their sole discretion. <br />The Board may receive financial contributions from counties, non-profit organizations, <br />private associations, entities or financial institutions. The Board may make such <br />counties, non-profit organizations, associations, entities or institutions associate <br />members. Associate members may send representatives to Board meetings, but shall not <br />be entitled to representation on the Board or have any voting rights. <br />8) BYLAWS. The Board of Directors shall adopt such bylaws and procedures as it deems <br />appropriate for the administration of the Coalition and the conduct of its meetings. Such <br />bylaws may be adopted and amended only by a majority vote of all Member Cities. <br />9) OFFICERS. At the first meeting of the Board of Directors in each year, the Board will <br />elect from its members a President, a Vice President, a Treasurer and a Secretary and <br />such other officers as it deems necessary to conduct its meetings and affairs. The offices <br />of Treasurer and Secretary may be held by the same person. <br />10) POWERS. <br />A. The Coalition may employ such persons as it deems necessary to accomplish its <br />P <br />
