Governing Law <br />This Agreement and each transaction consummated hereunder shall be deemed to be made under <br />the internal laws of the State of Minnesota and shall be construed in accordance with and <br />governed by the laws of the State of Minnesota, without regard to the choice of law rules of that <br />state, except to the extent that any such laws may now or hereafter be preempted by Federal law. <br /> <br />26. Counterparts <br />This Agreement may be executed in several counterparts, each which shall be deemed an original, <br />and all of which shall together constitute one and the same instrument. <br /> <br />27. Force Majeure <br />CEE and Client shall be excused from performing in accordance with this Agreement in the event <br />of an occurrence of “Force Majeure”. Force Majeure is defined as fire, floods, earthquake, <br />tornado, explosion, catastrophe, accident, war or war-like operations (whether or not a state of <br />war is declared), riot, Acts of God, acts of terrorism, insurrection, order of a Governmental Body <br />and applicable laws that prevent performance, to the extent (i) such event of Force Majeure is <br />beyond the reasonable control of the Party claiming Force Majeure, and (ii) the Party claiming <br />Force Majeure gives prompt written notice of the same to the other Party. In the event of any <br />such delay, the sole remedy shall be a time extension for the completion dates required by the <br />Agreement, which extension shall be the time period lost by reason of the Force Majeure. <br />
