1 <br />696545v1MU205-13 <br /> <br /> <br /> <br />RESOLUTION 21-EDA-340 <br /> <br />THE MOUNDS VIEW ECONOMIC DEVELOPMENT AUTHORITY <br />COUNTY OF RAMSEY <br />STATE OF MINNESOTA <br /> <br />RESOLUTION APPROVING HOME ENERGY VISIT AGREEMENT BETWEEN <br />THE ECONOMIC DEVELOPMENT AUTHORITY <br />AND THE CENTER FOR ENERGY AND ENVIRONMENT <br /> <br />WHEREAS, the City of Mounds View (the “City”) is a municipal corporation and political <br />subdivision duly organized and existing under the Constitution and laws of the State of Minnesota; <br />and, <br /> <br />WHEREAS, the Mounds View Economic Development Authority (the “EDA”) is a public <br />body corporate and politic under the laws of the state of Minnesota; and, <br /> <br />WHEREAS, the EDA has also been granted the statutory powers of a Housing and <br />Redevelopment Authority pursuant to Minnesota Statues, Section 469.091, Subdivision 1; and, <br /> <br />WHEREAS, the EDA currently operates a housing loan program (the “Loan Program”) <br />pursuant to its authority under state law; and, <br /> <br />WHEREAS, the EDA has previously entered into an agreement with the Center for Energy <br />and Environment (“CEE”) to act at the principal servicer of the Loan Program pursuant to the <br />terms of a loan origination agreement (the “Origination Agreement”); and, <br /> <br />WHEREAS, the EDA also previously entered into an agreement with CEE to conduct <br />“Home Energy Squad Enhanced visits” as requested by residents of the City (“Agreement to <br />Perform Home Energy Squad Enhanced Visits”), a copy of which is attached as Exhibit A; <br /> <br />WHEREAS, the EDA intends to enter into a similar agreement to conduct similar “Energy <br />Saver visits” and “Energy Planner visits” from January 1, 2021 through December 31, 2023 <br />(“Agreement to Perform Home Energy Squad Energy Saver and Energy Planner visits”), a copy <br />of which is attached as Exhibit B, which shall be referred to as the “Agreement;” and, <br /> <br />NOW, THEREFORE, BE IT RESOLVED, by the Board of the Mounds View Economic <br />Development Authority that the recitals and exhibits, if any, set forth in this Resolution are <br />incorporated into and made a part of this Resolution. <br /> <br />NOW, THEREFORE, BE IT FURTHER RESOLVED, that the Board of the Mounds <br />View Economic Development Authority do hereby approve the Agreement, subject to <br />modifications approved by the City Attorney that do not materially alter the EDA’s rights and
